WHEREAS, the State of California has acquired right of
way for and has constructed a road connection in the City of
Newport Beach, near the intersection of Newport and Westminster
Avenues, road 07- Ora -55; and
WHEREAS, by City Council Resolution No. 8709, dated
February 23, 1976, the City of Newport Beach agreed to accept the
road connection, upon relinquishment thereof to said City by the
State of California; and
WHEREAS; this Commission has found and determined, and
does hereby find and determine, that it is desirable and in the
public interest that said collateral facility be relinquished to
the City of Newport Beach for use as a city street;
NOW, THEREFORE, IT IS VOTED by the California Highway
Commission that it relinquish, and it does hereby relinquish,
to the City of Newport Beach, effective upon the recordation of a
certified copy hereof with the Recorder of Orange County, all of
the State of California's right, title and interest in and to
said collateral facility in said City, together with the right of
way and appurtenances thereof, described as follows:

WHEREAS, STATE and C1'ty entered into Agreement No. 2918, .
obscuted by C24Y on July 27, 1972, providing for distribution of
cost for modification of traffic control signal system and safety
lighting at the intersection of %stainster Avenue- He"itai Road
with State Highway Route 55 (Newport Boulevard), and
WHEREAS, Agreement No. 2918 provides STATE'S share of
the modification of traffic control signal system and safety
lighting shall not exceed $210,000 unless otherwise provided for
in a subsequent agreement between CITY and STATE# and
WHEREAS, the actual mount of STATE'S share based on
construction crests is $29,189.10.
NOW IT IS THEREFORE AGREED that STATE'S share of the
modification of traffic control signal system and safety lighting
be increased to $29.189.10, the actual STATE`S share.
Nothing in this Supplemental Agreement shall be
construed as changing any provisions of Agreement No. 2918
except as herein stated.
IN WrTMS WHEREOr, the parties hereto have caused
this Agreement to be executed by their respective officers, duly
authorised, the provisions of which Agreement are effective as
of the day, month and year first bereinabove written.

Attached are four copies of the subject agreement. This agree-
ment is scheduled to be submitted for Council consideration on October 9,
1973. If authorized, please execute the three copies bound in blue. The
other copy is for your files.
When and if this agreement is executed by the City the three
copies bound in blue and three certified copies of the Council resolution
should be returned to me for transmittal to the State.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF NEWPORT BEACH AUTHORIZING THE EXECUTION
OF A SUPPLEMENTAL AGREEMENT BETWEEN THE CITY
OF NEWPORT BEACH AND THE STATE OF CALIFORNIA
IN CONNECTION WITH MODIFICATION OF TRAFFIC
SIGNAL AT HOSPITAL ROAD AND NEWPORT BOULEVARD
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain supplemental agreement
between the City of Newport Beach and the State of California
for the modification of the traffic signal at Hospital Road
and Newport Boulevard; and
WHEREAS, the City Council has considered the terms
and conditions of said agreement and found them to be fair and
equitable and in the best interests of the City;
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Newport Beach that said supplemental agreement
above described is approved, and the Mayor and City Clerk are
hereby authorized and directed to execute the same on behalf
of the City of Newport Beach.

hereinafter referred to as
"STATE"

WHEREAS, STATE and CITY contemplate modification
of traffic control signal system and safety lighting at the
intersection of Westminster Avenue- Hospital Road with State
Highway Route 55 (Newport Boulevard), all of which is situated
Within the City of Newport Beach, and desire to specify
herein the terms and conditions under which said system is
to be modified, financed and maintained.
NOW, THEREFORE, in consideration of the covenants
and conditions herein contained, the parties hereto agree
as follows:
SECTION I
CITY AGREES:
(1) To modify the traffic control signal system
and safety lighting hereinbefore mentioned, through construction
by contract with construction contractor licensed by the State
of California, said contract to be carried out in accordance
with laws governing CITY with reference to the character of
the work to be done thereunder, and to be completed in con-
formity with plans and specifications of CITY or STATE, and to
the satisfaction of and subject to the approval of STATE.

(2) To bear CITY'S share of design engineering
costs, construction engineering costs, and construction costs
required to complete the.modification referred to herein, such
share to be a sum bearing ,same proportion tothe total
cost of modification of the traffic control signal system and
safety lighting as the number of logs of highways under juris-
diction of CITY at the intersection involved bears to the total
number of legs of highways at such intersection.
(3) To reimburse STATE for CITY'S proportionate
share of the cost of maintenance and operation of said traffic
control.signal system and safety lighting, such share to be
determined in the manner provided in that Agreement for Main-
tenance of State highways within the CITY which is in effect
at the time said costs are incurred, or if no such agreement
exists, such share to be a sum bearing the same proportion to
the total cost of maintenance and operation of said traffic
control signal system and safety lighting as the number of
legs of highways under jurisdiction of the CITY bears to the
total number of legs of highways at such intersection.

(4) To apply for necessary encroachment permits,
for work within the State Highway right of way, in accordance
with STATE'S standard permit pr4O4dtire.
SECTION II
STATE AQ$3
(1) oaf pay to CITY, promptly upon rendition of a
statement therefor, STATE'S share of the design engineering
costs, construction engineering costs, and construction costs
required'to complete the modification referred to herein,
such share to be a sum bearing the same proportion to the
total coat of modification of the traffic control signal
system and safety lighting as the number of legs of highways
under jurisdiction of STATE at the intersection involved
bears to the total number of legs of highways at such inter-
section.
It is estimated that STATE'S share of the modifica-
tion is $21,000. The actual amount of STATE'S share will be
determined after the modification is completed, but in no
event shall STATE'S share exceed $21,000 unless otherwise
provided in a subsequent agreement between CITY and STATE.

(2) To maintain anot operate the entire traffic
control signal system and safety lighting as modified.
§WTION III
It is mutually lil4orstood and agreed:
(1) That design engineering costs, including all
overhead charges attributed to design engineering, are to be
19.3 percent of construction costs of the modification; and
that construction engineering costs, including all overhead
charges attributed to construction engineering, are to:be
11.3 percent of construction costs of the modification,
(2) That obligations of STATE under terms of this
Agreement are subject to the allocation of funds by the
California Highxay Commission.
(3) That neither STATE nor any officer or employee
thereof shall be responsible for any damage or liability
occurring by reason of anything done or omitted to be done
by CITY under or in connection with any work, authority or
jurisdiction delegated to CITY under this Agreement. It is
also understood and agreed that, pursuant to Government Code
Section 895.4, CITY shall fully indemnify and hold STATE

harmless from any liability imposed for injury (as defined.-..
by Government Code Section 310.8) occurring by reason of
anything done or omitted to be d_)yy CITY under or`in
connection with any work, authority or jurisdiction delegated
to CITY under this Agreement.
(4) That neither CITY nor any officer or employee
thereof, is responsible for any'#Apage or liability occurring
by reason of anything done or omit*" to be done by STATE under
or in connection with any work, authority or jurisdiction not
delegated to CITY under this Agreement. It is also understood
and agreed that, pursuant to Government Code Section 895.4,
STATE shall fully indemnify and hold CITY harmless from any
liability imposed for injury (as defined by Government Code
Section 810.8) occurring by reason of anything done or omitted
to be done by STATE under or in connection with any work,
authority or jurisdiction not delegated to CITY under this
Agreement.
(5) That, should any portion of the project be
financed with Federal Funds or State Gas Tax Funds all applicable
procedures and policies relating to the use of such funds shall
apply notwithstanding other provisions of this Agreement.

(6) That if at any time it is determined that any
portion of the total eligible project costs are to be
financed 9rom TOPICS funds, the STATE share will be based
on the sum of participating items remaining after the TOPICS
funds have been deducted.
IN FITNESS WHEREOF, the parties hereto have caused
this Agreement to be executed by their respective officers,
duly authorized, the provisions of which Agreement are
effective as of the day, month and year first hereinabove
written.
