A G R E E M E N T
THIS AGREEMENT, made and entered into this 21 67-
day of 1972, by and between the CITY OF NEWPORT
BEACH, a municipal corporation, hereinafter referred to as
"CITY," and F. T. ANDREWS, INC., a California corporation,
hereinafter referred to as "CONSULTING ENGINEERS:"
W I T N E S S E T H:
WHEREAS, CITY has determined that it is desirable
and necessary to replace the plumbing in public restrooms in
the City of Newport Beach; and
WHEREAS, prior to such work being performed it is
necessary to have plans, specifications and estimates pre-
pared for such work; and
WHEREAS, CONSULTING ENGINEERS are qualified to
prepare such plans, specifications and estimates, and have
offered to perform said services for the CITY:
NOW, THEREFORE, THE CITY AND CONSULTING ENGINEERS,
in consideration of the mutual covenants and agreements here-
inafter contained, do hereby agree each with the other as
follows:
I
CITY hereby retains and employs:CONSULTING ENGINEERS
to perform those functions set forth in Paragraph II herein.
II
CONSULTING ENGINEERS hereby agree to furnish pro-
fessional architectural and engineering services consisting
of preparing plans, specifications and cost estimates, shop
drawing checking and periodical field inspection in connection
with the replacement of the plumbing in the public restrooms
located at the Newport Pier, 15th Street, Balboa Pier, Buck

Gully and in the two public restrooms at the Corona del Mar
Main Beach. Printing of the drawings and specifications for
coordination and approval is included in the scope of this
Agreement.
III
CITY agrees to compensate CONSULTING ENGINEERS at
the following rate:
Engineers and Designers
$20.00
per
hour
Draftsmen
17.50
per
hour
Clerical Employees
7.50
per
hour.
In no event shall the amount of this contract exceed six
thousand four hundred dollars ($6,400.00). Payment to
CONSULTING ENGINEERS of an amount (based upon the above -
noted hourly rates) not to exceed eighty -five percent (85 %)
of the maximum contract price shall be made by CITY upon
CITY'S acceptance and approval of all plans, specifications
and estimates prepared by CONSULTING ENGINEERS. Payment to
CONSULTING ENGINEERS of an amount (based upon the above -noted
hourly rates) not to exceed fifteen percent (15 %) of the maxi-
mum contract price shall be made by CITY only if CITY enters
into a contract with a third party for the replacement of the
plumbing in the public restrooms and only if said work is
supervised by CONSULTING ENGINEERS in a manner acceptable to
CITY.
IV
This Agreement shall remain in force and effect until
all services referred to in Paragraph II have been completed,
unless CITY elects to terminate this Agreement at an earlier
date. CITY reserves the right to terminate this Agreement at
any time. In the event CITY exercises its right of termination,
it shall be liable to pay CONSULTING ENGINEERS only for services
performed prior to the receipt of the notice of termination

This Agreement may be modified, altered or amended
provided that a written instrument containing such modifica-
tions, alterations or amendments be executed by the parties
hereto.
IN WITNESS WHEREOF, the parties hereto have set
their hands the day and year as is first written above.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
NEWPORT BEACH AUTHORIZING THE EXECUTION OF AN
ENGINEERING SERVICES AGREEMENT BETWEEN THE CITY
OF NEWPORT BEACH AND F. T. ANDREWS, INC., CONSULTING
ENGINEERS, TO PREPARE PLANS AND SPECIFICATIONS FOR
THE REHABILITATION OF BEACH -FRONT PUBLIC RESTROOM
FACILITIES
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain agreement for engineering
services between the City of Newport Beach and F. T. Andrews,
Inc., Consulting Engineers, to prepare plans and specifications
for the rehabilitation of beach -front public restroom facilities]
and
WHEREAS, the City Council has considered the terms and
conditions of said agreement and foundithem to be fair and
equitable;
NOW, THEREFORE, BE IT RESOLVED that said agreement for
the engineering services above described is approved, and the Mayor
and City Clerk are hereby authorized and directed to execute the
same on behalf of the City of Newport Beach.
