AGREEMENT FOR CONSULTING SERVICES
(Design for Signalization of the
Newport Center Drive East - Santa
Rosa Drive Intersection)
THIS AGREEMENT is made and entered into this 2 G �4 day of
c.- , 1972, by and between the CITY OF NEWPORT BEACH, a municipal
corporation, hereinafter referred to as "City ", and HERMAN KIMMEL AND
ASSOCIATES, Traffic Engineering Consultants, hereinafter referred to as
"Consultant ":
RECITALS
City proposes to signalize the Newport Center Drive East - Santa Rosa
Drive intersection in the City of Newport Beach, and desires to engage the
services of Consultant, said services to consist of the design and preparation
of plans and specifications, and the engineering relating to them, for the
proposed signalization of said intersection.
THE PARTIES AGREE AS FOLLOWS:
1. General
City engages Consultant to furnish the services hereinafter
specified for the compensation herein stipulated, and Consultant agrees to
perform such services upon said terms.
2. Duties of Consultant
The Consultant shall:
(a) Make necessary preliminary investigations, including
discussions with all affected public agencies, public utility companies,

utility companies, equipment manufacturers and property owners of land
adjacent to the intersections to be signalized.
(b) Consult and maintain liaison with the City and State TOPICS
section during the engineering design project.
(c) Conduct a traffic flow study of Newport Center Drive.
(d) Prepare detailed plans and specifications for the proposed
work suitable for the calling for competitive bids for the work and meeting
the State and Federal requirements of the TOPICS program.
(e) Prepare final cost estimate for the signalization.
3. Duties of City
City agrees to provide Consultant with the following:
(a) Existing City construction plans regarding street
dimensions, underground structures, and related aspects which bear on the
signalization work.
(b) Any traffic count data which is necessary to the engineering,
including its own views regarding types, locations and phasing of the signals,
and the types and locations of the sensors.
(c) Linen sheet for preparation of plans.
4. Completion of Services
Consultant agrees to complete all of the services specified
herein within 60 calendar days after execution of this contract.
5. Payment by City
City agrees to pay Consultant for all services called for under
the provisions of this Agreement on the basis of the hourly rate schedule set
forth below, but not to exceed the total sum of two thousand five hundred
dollars ($2,500).

(1) Travel, reproduction, materials, and other
non -wage costs at cost plus 10 percent.
(2) For presentations at formal hearings the
above rates are increased by 50 percent.
(3) Other rates shall be based on the complexity
of the work and will be charged as agreed
upon.
The amount to be paid Consultant shall be payable as
(a) Monthly partial payments, each payment to be the
amount earned as determined by the fee schedule. The sum of the monthly
partial payments shall not exceed ninety percent (90%) of the above maximum
fee.
(b) The balance of the total amount to be paid upon
acceptance of the construction work by the City Council but in any event not
later than twelve (12) months after the signing of the plans by the Public
Works Director.
6. Termination
This agreement may be terminated at any time by City upon
three (3) days' written notice to Consultant by placing said notice in the

United States mail, postage prepaid, addressed to Consultant's business office.
In the event of termination due to the fault of Consultant, City shall be
relieved of any obligation to compensate Consultant. If this agreement is
terminated for any reason other than the fault of Consultant, City agrees to
compensate Consultant for the actual services performed up to the effective
date of the notice of termination on the basis of the fee schedule contained
in this agreement.
7. Amendment
The scope of the services to be furnished by Consultant may
be changed and the maximum fee and time period for completion revised upon
prior written approval of the Public Works Director.
8. Assignment
This agreement or any portion thereof shall not be assigned
without the written consent of City.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement
on the date first above written.
