AGREEMENT
THIS AGREEMENT made and entered into this go 2Z day
of lyrv�,qg,-4 , 1972, by and between the CITY OF COSTA MESA,
a municipal corporation, hereinafter referred to as "Costa Mesa ",
and the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter
referred to as "Newport Beach ":
W I T N E S S E T H•
WHEREAS, the safety of motoring and pedestrian traffic
at the intersection of Highland Drive -20th Street and Irvine Avenue
requires the installation of traffic - actuated control signals,
safety lighting, and left turn pockets; and
WHEREAS, the boundary between the City of Newport Beach
and the City of Costa Mesa is the median in Irvine Avenue; and
WHEREAS, it is the desire of the parties hereto to set
out their respective rights and obligations concerning the improve-
ment of said intersection;
NOW, THEREFORE, FOR AND IN CONSIDERATION of the covenants
herein contained, performed and to be performed, the parties hereto
agree as follows:
1. The parties hereto agree to share the construction
contract cost of a traffic - actuated signal and safety lighting
system at the intersection of Highland Drive -20th Street and Irvine
Avenue in the same ratio as the number of legs under each party's
jurisdiction entering the intersection are to the total number of

legs entering the intersection.
2. The total cost of construction shall initially be
borne by Newport Beach.
3. The construction of the project shall be subject to
the determination by the State of California Division of Highways
and Federal Highway Administration (FHWA) that the project is
eligible for funding through the Traffic Operations Program to
Improve Capacity and Safety (TOPICS).
4. Costa Mesa agrees to authorize the State to transfer
TOPICS funds from the Costa Mesa allocation to the Newport Beach
allocation. Said funds will be in the amount of fifty per cent
(50 %) of total eligible TOPICS costs for the construction of the
project. The Costa Mesa share of the total eligible TOPICS COSTS
is estimated to be $16,500.00.
5. Costa Mesa shall, upon receipt of proper demand,
reimburse Newport Beach in an amount equal to fifty per cent (50 %)
of the matching funds required for the construction of the project.
The Costa Mesa share of the matching funds is estimated to be
$6,600.00.
6. The total cost for constructing the project shall
include the actual cost of the preliminary engineering, construction
contract, construction engineering, inspection and administration
as set out in the final accounting for the TOPICS program.
7. After completion of the project, the traffic signals
and lighting shall be maintained or modified by Newport Beach.
8. Any modification to the traffic signal system shall
first be approved by Costa Mesa.

9. Upon annual submission by Newport Beach of
maintenance, modification and energy costs, Costa Mesa shall pay
to Newport Beach its proper share of said costs which shall be in
the same ratio to the total costs as the number of legs under
Costa Mesa's jurisdiction entering the intersection are to the
total number of legs entering the intersection, said ratio presently
being fifty per cent (50 %).
IN WITNESS WHEREOF we have placed our hands and seals

A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF NEWPORT BEACH AUTHORIZING THE
EXECUTION OF A COOPERATIVE FINANCING
AGREEMENT BETWEEN THE CITY OF NEWPORT
BEACH AND THE CITY OF COSTA MESA FOR
TRAFFIC SIGNAL INSTALLATION AT HIGHLAND
DRIVE AND IRVINE AVENUE, CONTRACT C -1476
WHEREAS, there has been presented to the City
Council of the City of Newport Beach a certain cooperative
financing agreement between the City of Newport Beach and
the City of Costa Mesa for the installation of a traffic
signal at the intersection of Highland Drive and Irvine
Avenue; and
WHEREAS, the City Council has considered the terms
and conditions of said cooperative financing agreement and found
them to be fair and equitable;
NOW, THEREFORE, BE IT RESOLVED that said cooperative
financing agreement above described is approved, and the Mayor
and City Clerk are hereby authorized and directed to execute
the same on behalf of the City of Newport Beach.
