HOLD HARMLESS AGREEMENT

THIS AGREEMENT is made and entered into this
day of r "F, ALE 9. , 1972, by and between LEADERSHIP HOUSING
SYSTEMS, INC., hereinafter referred to as "Leadership ", and the
CITY OF NEWPORT BEACH, hereinafter referred to as "City ";
W I T N E S S E T H•
WHEREAS, Leadership is the owner of a certain large
parcel of land located in Orange County, generally described as:
and
Bounded southerly by the Atchison, Topeka and Santa Fe
Railroad, easterly by Camp Street, westerly by Morris Road,
and northerly by Bryan Avenue, and in the general vicinity
of the San Joaquin Fruit Ranch;
WHEREAS, located on said property are various old and
abandoned buildings which provide ideal facilities for conducting
the Newport Beach Police Department's Special Weapons and Tactics
Training Program (SWAT);
NOW, THEREFORE, IN CONSIDERATION OF Leadership Housing
Systems, Inc., allowing the Newport Beach Police Department to
conduct its Special Weapons and Tactics Training Program on the
property described hereinabove, City agrees to indemnify, defend
and hold Leadership harmless from all demands, claims, liability
or judgments or damages arising out of or resulting from injury
or death to persons or property, regardless of responsibility or
negligence caused by or growing out of or occurring in
connection with the use of any of said property or buildings
located thereon by the Newport Beach Police Department for its
SWAT Training Program.
THIS AGREEMENT will be in force and effect for a period

of one year from the date of execution, and will automatically
be continued for successive one-year periods ooIean otherwise
terminated by either party at any time by providing the other
with ten days' prior written notice of its intention to
terminate.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF NEWPORT BEACH AUTHORIZING THE EXECUTION OF
AN AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH
AND LEADERSHIP HOUSING SYSTEMS, INC., IN
CONNECTION WITH USE OF CERTAIN FACILITIES FOR
POLICE DEPARTMENT SWAT TRAINING PROGRAM
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain Hold Harmless Agreement
between the City of Newport Beach and Leadership Housing Systems,
Inc., covering the Police Department's use of certain abandoned
buildings in connection with its Special Weapons and Tactics
Training Program (SWAT); and
WHEREAS, the City Council has considered the terms and
conditions of said hold harmless agreement, and found them to be
fair and equitable;
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Newport Beach that said agreement above described is
approved, and the Mayor and'City Clerk are hereby authorized and
directed to execute the-same on behalf of the City of Newport
Beach.
