A G R E E M E N T
This Agreement is made and entered into this le7lt-
day of /9P/? /& , 1973, by and between the CITY OF NEWPORT
BEACH, a municipal corporation, hereinafter referred to as "CITY ",
and the HARBOR AREA BASEBALL, INC., a non - profit California
corporation, hereinafter referred to as "OPERATOR"
W I T N E S S E T H
WHEREAS, the City of Newport Beach is the owner of a
food concession building located at the Community Youth Center
facility in Corona del Mar, otherwise known as the Grant Howald
Park; and
WHEREAS, it would be to the advantage of the people
participating in the various sports programs at that location
to have the food concession facility in operation while these
sports programs are being conducted;
WHEREAS, OPERATOR has offered to operate the concession
on the basis that any profits generated would be used to offset
the cost of financing the baseball program.
NOW, THEREFORE, BE IT RESOLVED that the parties hereto
agree as follows:
1. CITY shall be responsible for the following:
a. The approval of prices of all items offered
for sale.
b. Providing water and electricity to the con-
cession building.
C. Providing exterior building maintenance for
the concession building.
2. OPERATOR agrees as follows:
a. That it shall limit the items offered for sale
to candy bars, snow cones, soft drinks in paper

cups, popcorn, hot dogs, coffee, tea, milk,
chocolate, ice cream, and chips.
b. That after each day of operation, it shall
remove all litter and debris within one
hundred feet of the concession area and that
at all times it shall keep the interior of
the building in a clean and sanitary condition.
C. That it shall execute and file with the City
Clerk of the City of Newport Beach a standard
"Certificate of Insurance for Lease of City
Property" prior to conducting any activities
at the food concession facility.
d. That it shall provide adult supervision at
all times of operation.
e. That it shall be open for business only during
the schedule of hours that has been approved by
Director of Parks, Beaches and Recreation for
the City of Newport Beach.
f. That it shall provide a financial accounting
to the CITY on the first of each month and at
other times upon demand.
g. That it shall maintain the interior of the
concession building, including but not limited
to, painting, light fixtures and the maintenance
of the stove, refrigerator and deep- fryer.
3. The term of this agreement shall be five (5) years
from the date of execution, unless this agreement is sooner
terminated as herein provided.
4. This agreement may be terminated by either party
hereto by submitting to the other party a ten -day written'notice
of intention to terminate.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF NEWPORT BEACH AUTHORIZING THE EXECUTION OF
AN AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH
AND HARBOR AREA BASEBALL, INC. FOR THE OPERATION
OF THE FOOD CONCESSION FACILITY AT THE COMMUNITY
YOUTH CENTER
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain agreement between the
City of Newport Beach and Harbor Area Baseball, Inc, for the
operation of the food concession facility at the Community
Youth Center; and
WHEREAS, the City Council has considered the terms and
conditions of said agreement and found them to be fair and
equitable;
NOW, THEREFORE, BE IT RESOLVED that said agreement
for the services above described is approved, and the Mayor and
City Clerk are hereby authorized and directed to execute the
same on behalf of the City of Newport Beach.
