Preliminary Engineering THIS AGREEMENT is made and entered into this q5-7-/-f day of Tc;,z , 1974, by and between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter referred to as "CITY ", and BOYLE ENGINEERING CORPORATION, CONSULTING ENGINEERS, a California corporation, hereinafter referred to as "ENGINEER ": W I T N E S S E T H: WHEREAS, CITY proposes to extend University Drive from Irvine Avenue to Jamboree Road ( "PROJECT "), and to ultimately construct the following improvements: A. Roadway improvements, widening and new construction; B. Bridge improvements at Santa Ana -Delhi Channel; C. Storm drainage improvements; and WHEREAS, an environmental impact report, including pre- liminary engineering design, must be prepared for the proposed project; and WHEREAS, ENGINEER has submitted a proposal to CITY dated May 15, 1974, to perform the engineering services in connection with preparation of the environmental impact report and the preliminary design of said project; and WHEREAS, CITY desires to accept said proposal; NOW, THEREFORE, IN CONSIDERATION of these premises, the parties hereto agree as follows: 1. GENERAL A. CITY engages ENGINEER to perform the services hereinafter described for the compensation herein stated. B. ENGINEER agrees to perform said services upon the terms and conditions hereinafter set forth. services: 2. SERVICES TO BE PERFORMED BY ENGINEER ENGINEER hereby agrees to perform the following -1- 1] A. Engage in research of existing maps, data and survey information for study and review in preparing preliminary alternative designs. Obtain additional survey information, aerial photographs, and check existing Irvine Company topographic maps (1" = 1001). B. Prepare a preliminary hydrologic study (excluding the Santa Ana -Delhi Channel) using the Orange County Flood Control District's method, and prepare a preliminary drainage system design for the project. C. Obtain summary of available soils and geology information and expert advice relative to initial assumptions for roadway structure and bridge foundations. D. Prepare preliminary horizontal and vertical align- ment alternative designs for alignments adjacent to Upper Newport Bay and along Mesa Drive. E. Modify alignment alternatives to incorporate recommendations determined from environmental assessment and prepare engineering study exhibits of selected alternatives for public review. F. Prepare a preliminary estimate of construction quantities and costs. G. Prepare a preliminary study of alternative bridge designs for crossing the Santa Ana -Delhi Channel, including cost comparisons. H. Provide consultation during preparation of the environmental impact report and during public review of the project (at a total of five (5) public hearings), and provide coordination of design with the work of the CITY's environmental impact report consultants, EDAW, Incorporated. 3. DUTIES OF CITY CITY hereby agrees to supply ENGINEER with the following information and materials: A. Hydrological data relating specifically to the Santa Ana -Delhi Channel. B. Vellum or mylar plan and profile and standard sheets for the preparation of preliminary project plans and exhibits. -2- 0 11 C. Any other additional information available which the parties hereto agree may be beneficial to the pre- liminary design of the project. 4. OWNERSHIP OF PROJECT DOCUMENTS Original drawings, reports, notes, maps and other documents shall become the property of the CITY and may be reproduced as deemed necessary by the Public Works Director. 5. ENGINEER IN CHARGE David A. Boyle, RCE No. 18559, shall be Engineer in charge of the project design. 6. RIGHT OF TERMINATION CITY reserves the right to terminate this Agreement at any time by giving ENGINEER three (3) days' prior written notice; notice shall be deemed served upon deposit in the United States mail, postage prepaid, addressed to any of ENGINEER's business offices. In the event of termination due to fault of ENGINEER, CITY shall be relieved of any obligation to compensate ENGINEER. If this Agreement is terminated for any reason other than fault of ENGINEER, CITY agrees to compensate ENGINEER for the actual services performed up to the effective date of the notice of termination, on the basis of the fee schedule contained herein. 7. COMPLETION OF PRELIMINARY DESIGN All exhibits, studies, and other documents for the project shall be submitted to the Public Works Director for final review by January 1, 1975. 8. FEE SCHEDULE AND PAYMENT A. In consideration of the performance of the above- described engineering services, CITY hereby agrees to pay ENGINEER an amount based upon the hourly rate schedule set forth below. In no event shall said amount be greater than Twelve Thousand One Hundred Dollars ($12,100.00) except as otherwise provided in paragraphs 9 and 10 herein. (1) Hourly rate for office and field personnel shall be as follows: -3- 9 Principal Engineer Senior Engineer Associate Engineer Assistant Engineer Draftsman 3 -man Survey Party 2 -man Survey Party 0 $36.00/hr. 31.00 /hr. 27.00/hr. 23.00/hr. 20.00/hr. 60.00/hr. 43.00/hr. (2) The contract amount shall be paid to ENGINEER as follows: (a) Monthly partial payments shall be based on the amount earned each month, as determined by the fee schedule. The sum of the monthly partial payments shall not exceed ninety (90) percent of the maximum fee. (b) Balance of the total amount earned to be paid upon completion of work specified in Section 2 above. (c) In addition, CITY agrees to reimburse ENGINEER for the actual cost of reproduction of copies of said plans and related documents plus twenty -five (25) percent of said cost, as well as computer costs, filing fees, checking fees, cost of.aerial topographic mapping, and other related costs authorized by the Public Works Director and advanced by ENGINEER. 9. ADDITIONAL WORK Should ENGINEER complete any additional work not outlined in this Agreement, but authorized by CITY, such as legal descriptions, revisions to completed preliminary plans, design of offsite facilities, additional topography or utility design, the extra work will be done on an hourly basis in accordance with the hourly rate standard fee schedule set forth in paragraph 8 above. 10. PROJECT SCOPE REVISIONS The scope of the project may be changed and the maximum fee revised upon prior written approval of the Public Works 0 Director if the increase in the maximum fee does not exceed twelve hundred dollars ($1200.00). If revisions to the scope of the project would result in an increase in the maximum fee in excess of $1200.00, an amendment providing for such revision shall be processed and executed by the parties hereto, 11. HOLD HARMLESS ENGINEER shall indemnify and hold harmless CITY, and its officers, agents and employees, from any damage or liability arising from any errors, omissions, or negligence in ENGINERR's performance of this Agreement, or in the engineering work or services herein provided. FOR PREPARATION OF THE ENVIRONMENTAL IMPACT STAT=%lENi IN CONNECTION WITH THE EXTENSION OF UNIVERSITY DRIVE WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain engineering services agreement between the City of Newport Beach and Boyle Engineering, Inc. for preparation of the Environmental Impact Statement in connection with the extension of University Drive; and WHEREAS, the City Council has considered the terms and conditions of said engineering services agreement and found them to be fair and equitable, and in the best interests of the City; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said engineering services agreement above - described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
