H -2 (a) SUBJECT: ENGINEERING SERVICES AGREEMENT FOR STUDY OF EMERGENCY ELECTRICAL GENERATION REQUIREMENTS FOR THE CITY WATER SYSTEM RECOMMENDATION: Adopt a resolution authorizing the Mayor and the City Clerk to execute an Engineering Services Agreement with Shuirman- Simpson Civil Engineers, to perform the subject study. DISCUSSION: On November 12, 1973 the staff was authorized to obtain a pro- posal for providing engineering services to study the emergency electrical generation needs for the water system. Accordingly, a proposal has been obtained from the firm of Shuirman- Simpson, Civil Engineers, to perform the subject study. The firm is especially well qualified to perform the study because of their familiarity with the City water system. The services to be provided include: 1. Contact the Southern California Edison Company to ascertain their plan and operational procedures when the area's elec- trical demands exceed generating capacity. 2. Inventory and analyze the operation of each water pumping station to establish time each facility might be down due to loss of power before serious consequences begin to occur. 3. Determine the City standby power requirement based upon information obtained in Items 1 and 2. 4. Survey the various types and makes of standby units that will meet the City's requirements. 5. Prepare cost estimates for the various alternatives. The results of the study would be submitted in a written report consisting of background information, cost estimates, exhibits and recom- mendations. The study will require about 45 days. The results of the study will be used by the City as a basis to establish an emergency power generation capability and develop an "emergency action plan." The study will determine the emergency power requirements necessary to operate the City's water system under the following two conditions: 1. Loss of power due to a large earthquake or other disaster. 2. Loss of primary power due to Southern California Edison system operation either by "blackout" or "brownout ". The scope of our engineering services in connection with the study would include the following: 1. Contact the Southern California Edison Company to ascertain their plans and operational procedures when the area's electrical demands exceed generating capacity. 2. Obtain from Southern California Edison .Company the following specific information: a. Range of reduced voltages that could be expected. b. Duration, frequency and extent of shut -downs by power blocks. C. If shut -downs occur by power blocks, what, if any, special considerations are given to operation of public utilities vital to public health and safety and traffic signal systems. d. Inventory and analyze the operation of each water pumping station to establish the time each facility might be shut- down due to loss of power before public health or safety are endangered. The study of this item would be coordinated closely with the City's Utility Superintendent. 4. Determine the City's standby power requirements based upon the information obtained in Items 1 and 2. 5. Survey the various types and makes of standby units that will meet the City's requirements with special consideration given to: a. probable availability of fuel b. fuel storage problems C. delivery time d. noise levels e. reliability f. specialized maintenance requirements g. special switch gear requirements for a variety of voltages. 6. Prepare cost estimates for the various alternatives including the cost of converting existing facilities to accept standby power. 7. Furnish 15 copies of a final engineering -type report. We would invoice his time at $20.00 /hr. Based on the above hourly rates, the maximum fee for the above scope of work would be $4,000. WRITTEN MESSAGES SAVE TIME AND AVOID ERRORS AGREEMENT FOR ENGINEERING SERVICES (Study of the Emergency Power Generation Requirements for the Water System of tl}®City of Newport Beach) THIS AGREEMENT is made and entered into this a,o-zr, day of 1973, by and between the CITY OF NEWPORT BEACH, a municipal corporation hereinafter referred to as "CITY ", and the firm of SHUIRMAN- SIMPSON, Civil Engineers, hereinafter referred to as "ENGINEER ". WHEREAS, CITY proposes to provide standby generators to be used in operating water pumping stations in the event of either short or long term electrical power outages; and WHEREAS, engineering services are necessary to establish the City's standby power requirements as well as the type and make .. of units best suited to meet these requirements; and WHEREAS, ENGINEER has submitted a proposal to CITY to perform the engineering services in connection with said study; and WHEREAS, CITY desires to accept said proposal. NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree as follows: 1. General CITY engages ENGINEER to furnish the services hereinafter specified for the compensation herein stipulated, and ENGINEER agrees to perform such services upon said.terms. 2. Duties of Engineer ENGINEER SHALL: A. Determine the emergency power requirements necessary to operate the CITY'S water system under the following two conditions: -1- 1. Furnish to CITY 15 copies of a final engineering - type report. 3. Duties of City CITY agrees to provide ENGINEER with the following: A. Consultation as needed to accomplish the study. B. Copies of existing plans and /or reports as required. 4. Time of Completion ENGINEER agrees to submit a written report which shall include background information, exhibits, cost estimates and recommendations, within 45 calendar days after execution of this agreement. 5. Payment for Services A. CITY agrees to pay ENGINEER for his services on the basis of the rates set out in the following fee schedule. The total amount of this contract shall not exceed the sum of Four Thousand Dollars ($4,000.00): Principals $35.00 per hour Sr. Civil Engineer $30.00 per hour Project Engineer $22.50 per hour -3- 0 Electrical Engineer Designers Sr. Draftsmen Jr. Draftsmen Typist $20.00 per hour $18.00 - $20.00 per hour $13.50 per hour $9.50 - $12.00 per hour $12.00 per hour B. Partial payment shall be made each month during the course of the study, up to a total of 900% of the maximum fee. The balance shall be due upon receipt of the final printed report. 6. Amendment The scope of the services to be furnished by the ENGINEER may be changed and the maximum fee revised upon prior written approval of CITY'S Public Works Director if the increase in the maximum fee specified does not exceed $1,000.00. If the change in the scope of services to be furnished by ENGINEER would result in an increase in the specified maximum fee exceeding $1,000.00, a written amendment to this Agreement providing for such change shall be prepared and executed by the parties to the Agreement. 7. Termination This Agreement may be terminated at any time by CITY upon three (3) days' written notice to ENGINEER. Notice shall be deemed served by placing a copy thereof in the United States mail, postage prepaid, addressed to ENGINEER'S business office. In the event of termination due to the fault of ENGINEER, CITY shall be relieved of any obligation to compensate ENGINEER. If this Agreement is terminated for any reason other than the fault of ENGINEER, CITY agrees to compensate ENGINEER for the actual services performed up to the effective date of notice of termination on the basis of the fee schedule contained in this Agreement. 7E 8. Reproduction Original drawings, exhibits, maps, background information and other documents shall become the property of the CITY and may be reproduced as deemed necessary by CITY'S Public Works Director. 9. Hold Harmless ENGINEER shall assume the defense of and indemnify and save harmless the CITY, and its officers and employees, for all claims, loss, damage, injury or liability, directly or indirectly arising from any errors, omissions, or negligence in ENGINEER'S performance of this Agreement or from the engineering work and services herein provided.
