PROFESSIONAL ENGINEERING S (Drainage Needs Sttudy�- Balboa Island) THIS AGREEMENT is made and entered into this Xq T/1 day of 4: n y 1974, by and between the CITY OF NEWPORT BEACH, a municipal corporation hereinafter referred to as "CITY ", and the firm of SIMPSON- STEPPAT, Consulting Civil Engineers, hereinafter referred to as "ENGINEER ". W I T N E S S E T H• WHEREAS, CITY desires to have a study performed to determine alternative solutions to storm drainage system needs on Balboa Island due to flooding of streets during periods of high tides and moderate to heavy rainfall; and WHEREAS, Professional Engineering services are necessary to prepare aforesaid study; and WHEREAS, ENGINEER has submitted a proposal to perform the "Drainage Needs Study -- Balboa Island "; and WHEREAS, CITY desires to accept said proposal. NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree as follows: 1. General CITY engages ENGINEER to furnish the services hereinafter specified for the compensation herein stipulated, and ENGINEER agrees to perform such services upon said terms. 2. Duties of Engineer ENGINEER shall: A. Investigate and analyze the storm drainage needs on Balboa Island, taking into consideration the effect of high tides on storm drainage. B. Prepare a topographic map of Balboa Island with suitable representations of specific drainage deficiencies. -1- C. Prepare a written and visual presentation of alternative solutions to alleviate the aforementioned deficiencies D. Prepare preliminary cost estimates for each alterna- tive solution presented. E. Review elements of the study with the City staff at appropriate points during preparation. ENGINEER shall determine when review and decisions by CITY are needed. F. Provide CITY with two (2) reproducible copies of all study exhibits, and drawings, and two (2) copies of all study calculations. G. Furnish to CITY fifteen (15) copies of a concise lettertype engineering report. 3. Duties of City CITY agrees to provide ENGINEER with the following: A. Available topographic maps, surveys, drawings and other data pertaining to the study area. B. Supplemental field survey information required for study preparation. C. Consultation with ENGINEER as needed to accomplish the study. 4. Completion of Services ENGINEER agrees to complete all of the services specified herein by April 15, 1974. 5. Payment for Services A. CITY agrees to pay ENGINEER for his services on the basis of the rates set forth in the following fee schedule. The total amount of this contract shall not exceed the sum of Six Thousand Five Hundred Dollars ($6,500.00): Principals $35.00 /hr. Sr. Civil Engineer $30.00 /hr. Project Engineer $22.50/hr. Designers $18.00- 20.00 /hr. -2- follows: 0 0 Sr. Draftsmen $13.50 /hr. Jr. Draftsmen $ 9.50- 12.00 /hr. Typist $12.00 /hr. B. The contract amount shall be paid to ENGINEER as (1) Monthly partial payments shall be based on the amount earned each month, as determined by the fee schedule. The sum of the monthly partial payments shall not exceed ninety (90) percent of the maximum fee. (2) Balance of the total amount earned to be paid upon completion of the work specified in Section 2 above. (3) In addition, CITY agrees to reimburse ENGINEER for the actual cost of reproduction of copies of said study, and related documents, as well as computer costs, and other related costs authorized by the Public Works Director and advanced by ENGINEER. 6. Ownership of Study Documents Original drawings, exhibits, notes and other documents shall become the property of CITY and may be reproduced as deemed necessary by the Public Works Director. 7. Professional Engineer In Charge Fritz C. Steppat, RCE No. 19249 shall be the Professional Engineer in charge of the study preparation. 8. Amendment The scope of the services to be furnished by ENGINEER may be changed and the maximum fee revised upon prior written approval of CITY'S Public Works Director if the increase in the maximum fee specified does not exceed $500.00. If the change in the scope of services to be furnished by ENGINEER would result in the increase in the specified maximum -3- 0 fee exceeding $500.00, a written amendment to this Agreement providing for such change shall be executed by the parties hereto. 9. Termination i This Agreement may be terminated at any time by CITY upon three (3) days' written notice to ENGINEER. Notice shall be deemed served by placing a copy thereof in the United States Mail, postage prepaid, addressed to ENGINEER'S business office. In the event of termination due to the fault of ENGINEER, CITY shall be relieved of any obligation to compensate ENGINEER. If this Agreement is terminated for any reason other than the fault of ENGINEER, CITY agrees to compensate ENGINEER for the actual services performed up to the effective date of notice of termina- tion on the basis of the fee schedule contained in this Agreement. 10. Hold Harmless ENGINEER shall assume the defense of and indemnify and save harmless the CITY, and its officers and employees, from all claims, loss, damage, injuries or liability, directly or indirectly arising from any errors, ommissions, or negligence in ENGINEER'S performance of this Agreement or from the engineering work and services herein provided. IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first above written. S 18 0 i 197 A RESOLUTION OF THE CITY COUNCIL OF THE ly ;,,t CITY OF NEWPORT BEACH AUTHORIZING THE EXECUTION OF AN ENGINEERING SERVICES AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND SIMPSON- STEPPAT, CONSULTING CIVIL ENGINEERS, TO PREPARE STUDY OF DRAINAGE NEEDS ON BALBOA ISLAND WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain engineering services agreement between the City of Newport Beach and Simpson - Steppat, Consulting Civil Engineers, to prepare a study of drainage needs on Balboa Island; and WHEREAS, the City Council has considered the terms and conditions of said engineering services agreement and found them to be fair and equitable, and in the best interests of the City; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said engineering services agreement for the services above- described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
