JOINT POWERS AGREEMENT z N�p�glyOpl'�gi Pursuant to Title 1, Division 7, Chapter 5 of the- Government Code of the State of California (§ §6500 -6513 inclusive), a Joint Powers Agreement is made and entered into this 5th day of June , 1974, by and between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter referred to as "CITY ", and the NEWPORT -MESA UNIFIED SCHOOL DISTRICT, hereinafter referred to as "DISTRICT ". W I T N E S S E T H: WHEREAS, CITY has determined that it is desirable to establish a public transportation system within the City limits of the City of Newport Beach during the period from June 17, 1974 through September 6, 1974; and WHEREAS, CITY desires to lease four buses to be used in operating said transportation system; and WHEREAS, DISTRICT proposes to lease four buses owned by it to CITY to be used in the operation of CITY's transportation system; and WHEREAS, CITY desires to accept said proposal. NOW, THEREFORE, in consideration of the foregoing, it is hereby agreed by and between the parties as follows: 1. TERM OF AGREEMENT This agreement shall be in effect from June 17, 1974 through September 6, 1974. 2. DUTIES OF DISTRICT A. DISTRICT shall provide each day from 9:00 A.M. to 6 :00 P.M. four 32- passenger buses with qualified drivers to CITY to be utilized in CITY's operation of its public transpor- tation system. The buses shall be at the route starting points designated by the CITY ready to operate at 9:00 A.M. The buses -1- • will not be in operation between the hours of 1:00 P.M. to 2 :00 P.M. B. Whenever a bus is inoperable or a driver is absent, DISTRICT shall provide a reserve driver and /or bus to fill CITY's requirements. DISTRICT shall also provide routine and field emergency services for the buses. 3. DUTIES OF CITY A. For each bus leased from DISTRICT, CITY shall pay to DISTRICT the basic rate of Seventy -two Dollars ($72.00) per day. This amount shall include the cost of leasing the bus as well as the salary for the driver (8 hours per day), fuel, and all costs of maintenance. This basic rate will be in effect seven days per week. For each hour worked by a driver on Labor Day or Independence Day, CITY will remit to DISTRICT an additional amount equal to one and one -half (1 1/2) times that driver's hourly wage. B. CITY shall further provide overall supervision, fare boxes and signs indicating routes and shall arrange for receipt of fares from drivers at the end of each working day. C. At any time, CITY may, at its sole discretion, alter or reduce the days and /or hours of operation of its public transportation system. 4. INSURANCE A. CITY shall provide a Five Million Dollar ($5,000,000.00) public liability and property damage insurance coverage. Collision insurance and workman's compensation coverage shall be provided by DISTRICT. 5. HOLD HARMLESS It is mutually understood and agreed that the drivers of the buses provided by DISTRICT shall be acting at all times as employees and /or agents of said DISTRICT. It is further agreed as follows: A. CITY shall hold DISTRICT harmless from any damage or liability occurring by reason of anything done or -2- 0 0 omitted to be done by CITY, its employees and/or agents under or in connection with any work, authority or jurisdiction delegated to the CITY pursuant to this agreement. B. DISTRICT shall hold CITY harmless from any damage or liability occurring by reason of anything done or omitted to be done by DISTRICT, its employees and /or agents under or in connection with any work, authority or jurisdiction delegated to the DISTRICT pursuant to this agreement. IN WITNESS WHEREOF, the parties hereto have executed this agreement as of the day and year first above written. S 21 9 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE EXECUTION OF A JOINT POWERS AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND NEWPORT -MESA UNIFIED SCHOOL DISTRICT FOR THE LEASE OF FOUR SCHOOL BUSES TO BE USED IN THE CITY'S PUBLIC TRANSPORTATION SYSTEM WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain joint powers agreement between the City of Newport Beach and the Newport -Mesa Unified School District for the lease of four school buses to be used in the City's public transportation system; and WHEREAS, the City Council has considered the terms and conditions of said joint powers agreement and found them to be fair and equitable, and in the best interests of the City; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said joint powers agreement above described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
