Enclosed are two executed copies of the Architectural
Servioes Agrement with Ywait Dorius and Associates
for subject project. Said agreement was authorised
by the City Co mcil on October 15 by the adoption of
Resolution No. 8373.
Please transmit one copy to the architects and retain
one for your files.

ARCHITECTURAL SERVICES
AGREEMENT

NEWPORT BEACH, a municipal corporation, hereinafter referred to as
"CITY ", and KERMIT DORIUS AND ASSOCIATES, hereinafter referred to
as "ARCHITECT ".
W I T N E S S E T H:
WHEREAS, CITY intends to construct a new City Council
Chamber; and
WHEREAS, ARCHITECT has submitted a proposal to CITY to
perform the architectural services in connection with the construc-
tion of the City Council Chambers; and
WHEREAS, CITY desires to accept ARCHITECT's proposal,
NOW, THEREFORE, in consideration of the foregoing, the
parties hereto agree as follows:
I. General
A. CITY engages ARCHITECT to perform the services
hereinafter described and agrees to compensate
ARCHITECT as herein provided;
B. ARCHITECT agrees to perform the subject archi-
tectural services on the terms and conditions
hereinafter set forth.
II. Services to be Performed by ARCHITECT
ARCHITECT shall perform services under this agreement
in the following phases:
A. The schematic design phase;
B. The design development phase which shall include
the following:
1. Investigation and conferences with the
City staff to determine all requirements
and limitations;

as "ARCHITECT ".
W I T N E S S E T H:
WHEREAS, CITY intends to construct a new City Council
Chamber; and
WHEREAS, ARCHITECT has submitted a proposal to CITY to
perform the architectural services in connection with the construc-
tion of the City Council Chambers; and
WHEREAS, CITY desires to accept ARCHITECT's proposal,
NOW, THEREFORE, in consideration of the foregoing, the
parties hereto agree as follows:
I. General
A. CITY engages ARCHITECT to perform the services
hereinafter described and agrees to compensate
ARCHITECT as herein provided;
B. ARCHITECT agrees to perform the subject archi-
tectural services on the terms and conditions
hereinafter set forth.
II. Services to be Performed by ARCHITECT
ARCHITECT shall perform services under this agreement
in the following phases:
A. The schematic design phase;
B. The design development phase which shall include
the following:
1. Investigation and conferences with the
City staff to determine all requirements
and limitations;

2. Refinement of design to the satisfaction of
all parties;
3. Preparation of preliminary drawings, specifi-
cations, project budget and schedule. This
will include outline, structural, mechanical
and electrical design;
C. The construction document phase which shall include
the following:
1. Preparation of complete construction drawings
and specifications that will include archi-
tectural, struct al, mechanical, electrical

2. Preparation of a final cost estimate based on
projected costs at time of contract award;
D. Bidding or negotiation phase which shall include
the response by ARCHITECT to requests for informa-
tion during bidding or negotiation;
E. Construction phase which shall include the following:
1. Response by ARCHITECT to requests for information
during construction;
2. On -site inspections from time -to -time as
construction proceeds.
Landscape architectural services shall be provided
by the CITY.
III. Services to be Performed by CITY
A. Preparation of master parking plan;
B. Obtaining a permit for the project from the
California Coastal Conservation Commission;
C. Furnishing a soils report;
D. Furnishing topographical survey of the building
site;
E. Landscape design;
F. Timely review and approval of work submitted by
ARCHITECT;
G. Preparation of legal responsibilities section of
specifications;

H. Reproducing and assembling contract documents;
I. Construction supervision;
J. Selection of carpets, drapes, and movable fur-
nishings.
IV. Ownership of Project Documents
Original drawings, reports, maps, notes and other
documents shall become the property of the CITY and
may be reproduced and utilized as deemed necessary
by the Director of Public Works.
V. Right of Termination
CITY reserves the right to terminate this agreement at
any time by giving ARCHITECT three (3) days' prior
written notice. Notice shall be deemed served upon
deposit in United States Mail, postage prepaid,
addressed to any of ARCHITECT's offices. In the event
of termination due to the fault of ARCHITECT, CITY
shall be relieved of any obligation to compensate
ARCHITECT. If this agreement is terminated for any
reason other than fault of ARCHITECT, CITY agrees to
compensate ARCHITECT for the actual services performed
up to the effective date of the notice of termination,
on the basis of the fee schedule contained herein.
VI. Completion of Final Design
All plans and other documents for the project shall be
submitted to the Public Works Director of CITY for
final approval.
VII. Fee Schedule and Payment
A. In consideration of the performance of the above-
described architectural services, CITY hereby agrees
to pay ARCHITECT the following amounts for each of
the separate phases under this agreement. In no
event shall said amount be greater than Seventeen
Thousand Two Hundred Fifty Dollars ($17,250.00);
1. The maximum amount to be paid during the sche-
matic design phase is One Thousand Five Hundred

Dollars ($1,500.00), which amount ARCHITECT
has already received from CITY;
2. The maximum amount to be paid during the design
development phase is Four Thousand Five Hundred
Thirty -Seven Dollars and Fifty Cents ($4,537.50);
3. The maximum amount to be paid during the con-
struction documents phase is Eight Thousand Six
Hundred Twenty -Five Dollars ($8,625.00);
4. The maximum amount to be paid during the bidding
or negotiation phase is Eight Hundred Sixty -Two
Dollars and Fifty Cents ($862.50);
5. The maximum amount to be paid during the con-
struction phase shall be One Thousand Seven
Hundred Twenty -Five Dollars ($1,725.00). In the
event a construction contract is not awarded,
this fee will not be paid to ARCHITECT.
B. The contract amount shall be paid to ARCHITECT as
follows: Monthly partial payments shall be based
on the amount earned each month as determined by
the fee schedule.
VIII. Hold Harmless
ARCHITECT shall indemnify and hold harmless CITY, its
officers, employees and agents from any damage or
liability arising from any errors, omissions, negli-
gence or other wrongful acts performed by ARCHITECT in
performance of this agreement.
IN WITNESS WHEREOF, the parties hereto have executed this
agreement as of the date first above written.

THE PLANS AND SPECIFICATIONS FOR THE PROPOSED
NEW COUNCIL CHAMBER
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain agreement between the
City of Newport Beach and Kermit Dorius and Associates, Architects,
Incorporated, for architectural services in connection with the
construction of a new Council Chamber to be built in the front
of the existing City Hall; and
WHEREAS, the City Council has considered the terms
and conditions of said agreement and found them to be fair and
equitable;
WHEREAS, it would be desirable to employ a landscape
architect to prepare plans and specifications for landscaping the
new Chamber facility;
NOW, THEREFORE, BE IT RESOLVED that said agreement
for the architectural services above described is approved, and
the Mayor and City Clerk are hereby authorized and directed to
execute the same on behalf of the City of Newport Beach;
BE IT FURTHER RESOLVED, that the City Council authorize
the staff to employ a landscape architect to work with the
principal architect to prepare plans and specifications for
landscaping the new Council facility for a sum not to exceed
$2,000.
