with the Ficker Architects. Please forward one copy to the
architects and retain one copy for your files.
This agreement was authorized by the City Council on July 28,
1975 by the adoption of Resolution No. 8563.

ARCHITECTURAL SERVICES AGREEMENT
(Ficker Architects - Utilities Service Yard)
THIS AGREEMENT is made and entered into this a q ve
day of ,I,) L j, 1975 by and between the CITY OF NEWPORT
BEACH, a municipal corporation, hereinafter referred to as "CITY ",
and FICKER ARCHITECTS, hereinafter referred to as "ARCHITECT ".
W I T N E S S E T H:
WHEREAS, City intends to construct a new Utilities
Service Yard; and
WHEREAS, Architect has submitted a proposal to City to
perform the architectural services in connection with the
construction of the Utilities Service Yard; and
WHEREAS, City desires to accept Architect's proposal,
NOW, THEREFORE, in consideration of the foregoing, the
parties hereto agree as follows:
I. General
A. City engages Architect to perform the services
hereinafter described and agrees to compensate Architect
as herein provided;
B. Architect agrees to perform the subject archi-
tectural services on the terms and conditions hereinafter
set forth.
II. Services to be performed by Architect.
Architect shall perform services under this agree-
ment in the following phases:
A. The preliminary design development phase which
shall include the following:
1. Investigation and conferences with the City
staff to determine all requirements and limitations;
2. Refinement of design to the satisfaction
of all parties;
3. Preparation of preliminary drawings,

specifications, project budget and schedule.
This will include outline, structural, mechanical
and electrical design;
B. The final design and construction document phase
which shall include the following:
1. Preparation of complete construction
drawings and specifications that will include
architectural, structural, mechanical and
electrical work;
2. Preparation of a final cost estimate based
on projected costs at time of contract award;
3. One set of final drawings on mylar film,
size 22" by 34" and one set of the technical pro-
visions of the specifications typed on white bond
paper.
C. Bidding or negotiation phase which shall include
the response by Architect to request for information
during bidding or negotiation;
D. Construction phase which shall include the following:
1. Response by Architect to requests for
information during construction;
2. On -site inspections from time -to -time as
construction proceeds.
II. Services to be performed by City
A. Preparation of master parking plan;
B. Obtaining a permit for the project from the
California Coastal Zone Conservation Commission;
C. Furnishing a soils report;
site;
D. Furnishing topographical survey of the building
E. Landscape design;
F. Timely review and approval of work submitted by
Architect
G. Preparation of legal responsibilities section

specifications;
H. Reproducing and assembling contract documents;
I. Construction supervision;
J. Selection of carpets, drapes and movable
furnishings.
K. Pay building permit fees, if any.
IV. Ownership of Project Documents
Original drawings, reports, maps, notes and other
documents shall become the property of the City and
may be reproduced and utilized as deemed necessary
by the Director of Public Works.
V. Right of Termination.
City reserves the right to terminate this agreement
at any time by giving Architect three (3) days' prior
written notice. Notice shall be deemed served upon
deposit in United States Mail, postage prepaid, addressed
to any of Architect's offices. In the event of termina-
tion due to the fault of Architect, City shall be
relieved of any obligation to compensate Architect. If
this agreement is terminated for any reason other than
fault of Architect, City agrees to compensate Architect
for the actual services performed up to the effective
date of the notice of termination, on the basis of the
fee schedule contained herein.
VI. Completion of Final Design
All plans and other documents for the project shall
be submitted to the Public Works Director of City for
final approval.
VII. Fee Schedule and Payment
A. In consideration of the performance of the
above described architectural services, City hereby agrees
to pay Architect the following amounts for each of the
separate phases under this Agreement. In no event shall
said amount be greater than Eighteen Thousand Five

Hundred Dollars ($18,500.00);
1. The maximum amount to be paid during the
preliminary design development phase is Six
Thousand Five Hundred Dollars ($6,500.00);
2. The aggregate amount including the above
Six Thousand Five Hundred Dollars ($6,500.00)
to be paid during the final design and construction
documents phase is Sixteen Thousand Dollars
($16,000.00);
3. The maximum amount to be paid during the
bidding or negotiation phase shall be One Thousand
Dollars ($1,000.00). In the event the City
Council does not authorize a call for bids, this
fee will not be paid to Architect.
4. The maximum amount to be paid during the
construction phase shall be One Thousand Five
Hundred Dollars ($1,500.00). In the event a
construction contract is not awarded this fee will
not be paid to Architect.
B. The contract amount shall be paid to
Architect as follows: Monthly partial payments shall
be based on the amount earned each month as determined
by the fee schedule attached hereto and incorporated
herein by this reference and marked Exhibit "A ".
VIII. Hold Harmless.
Architect shall indemnify and hold harmless City
its officers, employees and agents from any damage or
liability arising from any errors, omissions, negli-
gence or other wrongful acts performed by Architect in
performance of this agreement.
IN WITNESS WHEREOF, the parties hereto have executed
this agreement as of the date and year first above written.

AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND
FICKER ARCHITECTS IN CONNECTION WITH THE PROPOSED
UTILITIES SERVICE YARD
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain architectural services
agreement between the City of Newport Beach and Ficker Architects
in connection with the proposed utilities service yard; and
WHEREAS, the City Council has considered the terms
and conditions of said agreement and found them to be fair and i
equitable, and in the best interests of the City;
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that said agreement above described
is approved, and the Mayor and City Clerk are hereby authorized
and directed to execute the same on behalf of the City of Newport
Beach.
