W I T N E S S E T H WHEREAS, City proposes to dredge portions of the channels adjacent to Newport Island;..and WHEREAS, an environmental study of the proposed dredging is required; and WHEREAS, Consultant has submitted a proposal to perform said study which.the City desires to accept. NOW, THEREFORE, the parties hereto agree as follows: 1. General City engages Consultant to furnish the services hereinafter specified for the compensation herein set out and Consultant agrees to perform such services upon said terms. 2. Duties of Consultant Consultant shall: �/ s ecl iC A. Perform environmental studyies of the channels shown on Exhibit "A" attached hereto and as S listed below in items B -F, and �• g,� by this reference made a part of the agreement. D� B. Perform a biological inventory on six samples to determine which animals exist in the benthos of the project area. C. Perform a heavy metal analysis in accordance with current EPA criteria, on ten samples to determine the relative concentrations of heavy metals in the substrait to be dredged. D. Perform a particle size analysis on ten samples to determine the particle size of the dredge spoil as well as the settling rates of the dredge slurry. E. Perform an ecological impact analysis to project the ecological implications of the dredging action for (1) placement of spoil against existing adjacent bulkheads and /or channel side slopes; (2) placement of dredge spoil by pumping into an excavation along Ocean Front Beach from 39th Street to 41st Street; (3) placement of dredge spoil by pumping into settling basins_constructed on the Ocean Front Beach opposite 40th Street; and (4) placement of dredge spoil by pumping directly into the surf at the rock jetty opposite 40th Street. j F. Prepare five copies of report. 3. Duties of City City agrees to provide Consultant with the following: A. Consultation as needed to accomplish the project. B. Copies of available plans of project area. 4. Completion of Services Consultant agrees to perform studies, inventories, testing, test result analysis, and submit completed report within forty (40) consecutive calendar days from receipt of authorization to proceed, 5. Payment by City A, City agrees to pay Consultant for all services required under the provisions of this agreement on the basis of the rate schedule set forth below, but not to exceed a maximum sum of Four Thousand Three Hundred Ninety Six Dollars ($4,396.00): -2- DIVER DIVER- MARINE.BIOLOGIST STENO - CLERICAL BIOLOGICAL I.D. RATIO $ 1.00 per sample B. Consultant shall be compensated as follows: 1. Monthly partial payments shall be based upon the amount earned in each month as determined by the fee schedule. The sum of the monthly partial payments shall not exceed ninety percent (90 %) of the above maximum fee. 2. The balance of the total amount to be paid upon receipt and acceptance of the report by the Public Works t Director. 6. Termination This agreement may be terminated at any time by The City upon three (3) days written notice to Consultant. Notice shall be deemed served by placing a copy thereof in the United States Mail, postage prepaid, addressed to Consultant's business office. In the event of termination due to the fault of Consultant, City shall be relieved of any obligation to compensate Consultant. If this agreement is terminated for any reason other than fault of Consultant, City agrees to compensate Consultant for the actual services performed up to the effective date of the Notice of Termina- tion on the basis of the fee schedule contained in this agreement. 7. Amendment The scope of services to be furnished by Consultant may be changed and the maximum fee revised upon prior written -3- approval of the Public Works Director if the change in the maximum fee specified does not exceed Five Hundred Dollars ($500.00). If a change in the scope of services to be furnished by Consultant would result in a change in the specified maximum fee exceeding Five Hundred Dollars ($500.00), a written amendment to this agreement providing for such change shall be prepared and executed by the parties to the agreement. 8. Public Hearings When requested to do so, Consultant agrees to attend and /or discuss any items under Section 2 of this agreement at any public hearings called to consider any items under Section 2 of this agreement. Consultant shall be paid the additional sum of One Hundred Dollars ($100.00) for each hearing session. 9. Hold Harmless Consultant agrees to assume the defense of and indemnify and save harmless the City, and its officers and employees from any and all claims, loss, damages, injury or liability of E.. whatever kind or nature directly arising from any errors, omissions, or negligence in Consultant's performance of this agreement or from the professional work and services herein provided. AND CITY CLERK TO EXECUTE A PROFESSIONAL �v75 SERVICES AGREEMENT BETWEEN THE CITY OF NEWPORT 0y iho CITY COUg4, ,- BEACH AND ENVIRONMENTAL IMPACT PROFILES IN CIiY Ag yMFrgrT CONNECTION WITH AN ENVIRONMENTAL STUDY OF THE PROPOSED DREDGING OF A PORTION OF CHANNELS ADJACENT TO NEWPORT ISLAND WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain professional services agreement between the City of Newport Beach and Environmental Impact Profiles in connection with an environmental study of the proposed dredging of a portion of channels adjacent to Newport Island; and WHEREAS, the City Council has considered the terms and conditions of said agreement and found them to be fair and equitable, and in the best interests of the City; NOW,,THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said agreement above described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
