Doris George City Clerk ag AMENDED AVEMENT FOR PROFESSIONAL ENGINEERG SERVICES FOR THE WIDENING OF JAMBOREE ROAD FROM EASTBLUFF DRIVE (NORTH) TO MacARTHUR BOULEVARD THIS AGREEMENT is made and entered into this p 6k day of 1977, by and between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter referred to as "CITY," and the firm of BOYLE ENGINEERING CORPORATION, CONSULTING ENGINEERS, hereinafter referred to as "ENGINEER." WITNESSETH WHEREAS, CITY and ENGINEER entered into an Agreement for Profess- ional Engineering Services, hereinafter referred to as "Agreement," dated October 22, 1976 to have ENGINEER design the Jamboree Road widening project from Eastbluff Drive (North) to MacArthur Boulevard; and WHEREAS, ENGINEER has performed extra work as outlined in ENGINEER's letter dated May 27, 1977 attached hereto and hereby made a part hereof; and WHEREAS, CITY staff authorized work outlined in said letter; NOW, THEREFORE, in consideration of the foregoing, the parties agree as follows: I. Revised Fee Schedule In consideration of the performance of the above described services, the CITY agrees to pay ENGINEER an amount based upon hourly rate schedule as set forth in Paragraph IX of said Agreement, which is incorporated herein as if fully set forth; with the total additional fee not to exceed the sum of Two Thousand Eight Hundred Four Dollars ($2804.00). II. Terms and Conditions of Original Agreement A11 terms and conditions of the original Agreement entered into by and between CITY and ENGINEER on October 22, 1976 not inconsistent herewith, shall remain in full force and effect. Jamboree Road During the course of completing the engineering for the Jamboree Road widening project, a few items were encountered which we feel were extra services to the basic contract. The following lists the services performed beyond the original scope and the total man days applicable to each: 1. Extra study and design relative to the County of Orange project for widening the bridge over San Diego Creek. The County's initial de- signs for the bridge widening were not acceptable to the City and additional engineering effort was required to analyze and modify the County's design for the bridge relative to super elevation and drainage. Time - 2 M.D. 2. A design and plan were required for an earthwork disposal site which was not originally anticipated. Time - 2 M.D. 3. Extra study and design was required to modify guard rails along the inside, number 1, lanes at the bridge. Time - 2 -1/2 M.D. 4. A redesign with redrafting was required along a portion of the road- way near the bridge due to a requested revision in the direction of tilt of the concrete gutter. Time - 1 -1/2 M.D. 5. After field topography was taken, it was discovered the pavement elevations were depressed from the original plans furnished due to settlement and this required extra effort to provide a transi- tional design. Time - 1.0 M.D. 6. A revision was requested to change the paving cap detail which led to revising much of the construction notes and paving quantities. Time - 2 M.D. 7. A revision was requested to change the east curb island taper on the northbound side approaching Bristol Street. Time - 1 -1/2 M.D. Should you require further information, please call me. The State of California revised its design at the northeast corner of Bristol Street which required extra field measuring and redesign. Boyle Principal Engineer rg B- NO3- 104 -00 A 0 RESOLUTION NO. 9 12 9 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AMENDMENT TO THE ENGINEERING SERVICES AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND BOYLE ENGINEERING CORPORATION FOR THE DESIGN OF THE JAMBOREE ROAD WIDENING PROJECT WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain Amendment to the Engineering Services Agreement between the City of Newport Beach and Boyle Engineering Corporation for the design of the Jamboree Road widening project; and WHEREAS, the City Council has reviewed the terms and conditions of said Amendment and finds them to be satisfactory and that it would be in the best interest of the City to authorize the Mayor and City Clerk to execute said Amendment; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said Amendment above described is hereby approved, and the Mayor and City Clerk are authorized and directed to execute the same on behalf of the City of Newport Beach. WITNESSETH WHEREAS, CITY's Circulation Element - Master Plan of Streets and Highways has designated Jamboree Road between Coast Highway and the northerly City boundary a major road (six lanes divided); and WHEREAS, the roadway improvements for Jamboree Road between Eastbluff Drive (North) and MacArthur Boulevard have not been completed to a major cross section and CITY desires to complete these improvements under a project to be cooperatively financed with the County of Orange, hereinafter referred to as "PROJECT "; and WHEREAS, the PROJECT is to be coordinated with a separate project being designed and administered by the County of Orange for the widening of the two Jamboree Road bridges over San Diego Creek; and WHEREAS, ENGINEER has submitted a proposal to CITY (dated September 27, 1976) to perform engineering services in connection with the design of PROJECT; and as fo I lows; WHEREAS, CITY desires to accept said proposal; NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree I. General A. CITY engages ENGINEER to perform the services hereinafter described for the compensation herein stated. B. ENGINEER agrees to perform said services upon the terms hereinafter set forth. 0 0 {I. Services to be Performed by ENGINEER ENGINEER hereby agrees to perform the following services: A. Perform topographic surveys needed to complete detailed design of the PROJECT. f B. Prepare a drainage study to evaluate the existing system and provide the necessary information for the design of additions to the system. C. Prepare detailed plans for the construction of the PROJECT. Plans will be prepared on standard plan and profile sheets to be furnished by the CITY. D. Prepare the necessary special provisions and bid proposal, using the CITY's Standard Plans and Special Provisions as well as the "STANDARD SPECIFICATIONS FOR PUBLIC WORKS CONSTRUCTION," 1976 Edition, on Xerox masters suitable for use by the CITY in calling for competitive bids. E. Prepare a final ENGINEER's estimate based on the quantities used in the bid proposal. F. Provide professional consultation for interpretation of plans and speci- fications and advice during construction of the PROJECT. G. Make provisions to insert design plans and specifications for traffic signal modifications to be provided by the CITY into the PROJECT plans and specifications and provide intersection topo for these plans. III. Duties of CITY CITY hereby agrees to supply ENGINEER with the following information and materials: A. Plan and plan and profile sheets as needed for the PROJECT. B. Materials investigations and required pavement sections. C. Plans and available design information for the existing sections of Jamboree Road. D. The design plans and specifications for any traffic signal modifications required for the project. -2- IV. Time of Completion Final design, including all plans and other documents for the PROJECT shall I be submitted to the Public Works Director of the CITY for final review by January 7, 1977. V. Ownership of PROJECT Documents Original drawings, reports, notes, maps, and other documents shall become the property of the CITY and may be reproduced and utilized as deemed necessary by the Public Works Director. VI. Engineer in Charge David A. Boyle, RCE No. 18559, shall be the engineer in charge of PROJECT design. VII. Right of Termination CITY reserves the right to terminate this agreement at any time by giving I ENGINEER seven (7) days' prior written notice; notice shall be deemed served upon deposit in the United States Mail, postage prepaid, addressed to the ENGINEER's business office at 1501 Quail Street, Newport Beach, Catifornia 92663. In the event of termination due to errors, omissions, or negligence of ENGINEER, CITY shall be relieved of any obligation to compensate ENGINEER for that portion of the work affected by such errors, omissions, or negligence of the ENGINEER. If this agreement is terminated for any other reason, CITY agrees to compensate ENGINEER for the actual services performed up to the effective date of the notice of termination, on the basis of the fee schedule contained herein. VIII. Indemn i The CITY will require that any contractor or subcontractors performing work j in connection with drawings and specifications produced under this agreement to hold harmless, indemnify and defend, the CITY and the ENGINEER, their consultants, and each of their officers, agents, and employees from any and all liability claims, losses, or damage arising out of or alleged to arise from the contractor's (or subcontractor's) negligence in performance of the work -3- i - - described in the construction contract documents, but not including liability that may be due to sole negligence of the CITY, the ENGINEER, their consultants or their officers, agents, and employees. IX. Fee Schedule and Payment In consideration of the performance of the above - described engineering services, CITY hereby agrees to pay ENGINEER an amount based upon the hourly rate schedule set forth below. In no event shall said amount be greater than Twelve Thousand Dollars ($12,000.00) except as otherwise provided herein. A. Hourly rates for office and field personnel shall be as follows: i Principal Engineer $43.00 /hour Senior Engineer $36.75/hour Assistant Engineer $27.00/hour Senior Draftsman $23.50/hour Draftsman $20.00/hour 3 -Man Survey Party $76.00/hour 2 -Man Survey Party $55.00/hour B. The contract amount shall be paid to ENGINEER as follows: 1. Monthly partial payments shall be based on the amount earned each month, as determined by the fee schedule. The sum of the monthly partial payments shall not exceed ninety percent (90 %) of the maximum fee; 2. Balance of the total amount earned to be paid upon completion of work specified in Section II (Services to be Performed by ENGINEER), or by January 1, 1978, whichever occurs first; 3. In addition, CITY agrees to reimburse ENGINEER for the actual cost of reproduction of copies of said plans and related documents, as well as computer costs, filing fees, checking fees, cost of aerial photography, materials cost related to survey work plus ten percent (100/6), and other related costs authorized in advance by the Public Works Director and advanced by ENGINEER. X. Additional Work Should ENGINEER complete any additional work not outlined in this agreement, but authorized by CITY, the extra work shall be performed on an hourly basis in accordance with the hourly rate standard fee schedule set forth in Section IX (Fee Schedule and Payment) above. PROJECT Scope Revisions The scope of the PROJECT may be changed and the maximum fee revised upon prior written approval of the Public Works Director if the increase in the maximum fee does not exceed One Thousand Two hundred Dollars ($1,200.00). If the revisions to the scope of the PROJECT would result in an increase in the maximum fee exceeding One Thousand Two Hundred Dollars ($1,200.00), an amendment providing for such revisions shall be processed and executed by the parties hereto. XII. Hold Harmless ENGINEER shall indemnify and save harmless CITY and its officers and employees from any damage or liability arising from any errors, omissions, or negligence in the ENGINEER's performance of the engineering work and services required by this agreement except for that portion of the work prepared and provided by the CITY and defined in Section III D.
