J_9 THStnjv 7/2/68 AGREEMENT THIS AGREEMENT is ettered into this day of 1968, between the CITY OF NEWPORT BEACH, here- in ter Iled "City ", and the SCHOCK BOAT COMPANY, a corporation, hereinafter called; "Schock ". RECITALS: A. City, through its Parks, Beaches and Recreation Department, conducts an instructional program in sailing. B. Schock conducts a boat sales and repair business and has offered to make boats available to City for use in its instructional program in sailing. NOW, THEREFORE, the parties mutually agree as follows. 1. Schock agrees to. (a) Dredge the street end at 29th Street and construct floats and an access ramp in accordance with plans and specifications approved by the City Public Works Director. It is understood that this facility will become public property upon its acceptance by the Public Works Director, (b) Annually make available to the City Parks, Beaches and Recreation Department a mutually agreed upon number of boats for use by that Department in its instruc- tional sailing program. Schock further agrees to maintain and repair the boats used by the City and to provide storage for them. 2. City Agrees to. (a) Hold one meeting of each new sailing class at the float to be constructed by Schock at 29th Street. (b) Use the boats furnished by Schock in City sailing classes. (c) Store all boats provided by Schock at Schock °s boat yard during the winter instruction program. (d) Furnish Schock with liability insurance pro- tecting Schock against any claims for damages which may l 0 arise as a result of the use of the boats by the City or by any student enrolled in the instruction program. 3. City shall not be liable for the loss of or damage to any boat furnished by Schock pursuant to this agreement; however, City agrees to direct its employees to use reasonable care in their use of said boats. 4. Either party may terminate this agreement by giving the other 30 days' prior written notice. HURLBURT, CITY MANAGER FROM: PB $ R Director SUBJECT: ARRANGEMENTS WITH SCHOCK Following is a progress report relative to our arrangements with William Schock and Company to provide sabots, dock space and storage for small craft which will be used in the City's year - around sailing program: On recommendation of the City Attorney, an attempt was made to see if any other boat manufacturer would be in a position to offer the same proposal to the City that Mr. Schock has made. None could be found that could meet similar arrangements. However, in discussing this subject, Mr. Schock agreed that he would welcome joint participation with any boat distributor who may come forth with a proposal in the future. The Marine Division of the Chamber was contacted relative to Mr. Schock'3 proposal to the City and their comment was "take it ". 1. The City Council has approved a Public Works request to install a pier and float at the 29th Street street -end. This application is now before the Army Corps of Engineers for approval. 2. Mr. Schock has agreed to dredge'the street -end and construct the improve- ments at his expense when final approval is obtained. 3. Mr. Schock has also offered to provide the necessary sabots and a small outboard motorboat to properly conduct the City's sailing program. 4. Mr. Schock has agreed to provide the necessary boats for this coming summer session, regardless of the status of approval relative to dock construction. Therefore, since Mr. Schock will provide all necessary equipment to conduct an instruction program, $1,500 has been eliminated from the Recreation capital outlay fund for sailboat replacement and an additional $500 was eliminated from that M $ 0 section for boat repair. Mr. Schock's participation will insure that the participants in the City's sailing program will learn to sail in new, first -class equipment. I am forwarding those agreements to you unsigned because they have never been consumated. Prior to the start of the Fall sailing classes other arrangements were made for boats to be used in the City program and the provision of boats by Coast Catamaran and Hobie Newport was not necessary. Would you please take whatever steps are necessary to invalidate the two Council Resolutions. CALVIN C. STEWART CCS:dm A G R E E M E N T TUTS AGREEMENT is made and entered into this day of 1975, by and between the CITY OF NEWPORT BEACH, a munic' pal corporation, hereinafter referred to as "CITY ", COAST CATAMARAN CORPORATION, hereinafter referred to as "COAST ", and RITCHIE MOO d /b /a "POWERED BY NATURE, CHILDRENS' OUTDOOR RECREATION PROGRAM , hereinafter referred to as "MOORE ". W I T N E S S E T H WHEREAS, COA catamaran sailboats to program; and WHEREAS, CITY boats for its recreation has offered to supply CITY with six (6) used in the City's recreation sailing WHEREAS, CITY agr maintain the boats in reaso WHEREAS, CITY and to accept COAST'S offer of the g program; and that instructors hired by it will good condition; and S understand and agree that MOORE, as a contractor and instructor for the City, will be liable for any damage done to said sailboats. WHEREAS, CITY agrees to pro ide liability insurance to protect COAST against bodily injury an property damage claims arising out of the City's recreation sai ing program in connection with said sailboats. NOW, THEREFORE, in consideration)9f these premises, it is hereby agreed by and between the parties her�to that: 1. CITY shall have the exclusive us`V of six (6) catamaran sailboats owned by COAST to be used in the Citytp recreation sailing program. 2. MOORE will be responsible for any to §,s of or damage to any sailboat or equipment thereon during the period when said sailboats are used in the City's recreation sailing program. 3. CITY agrees to indemnify and hold COAST harmless 0 0 from any and all liability or damage arising out of injury to persons or property while CITY is using COAST'S catamaran sailboats, and CITY shall name COAST as an additional insured on its third party liability insurance policy. 4. This agreement shall remain in effect until September 1, 1976, unless sooner terminated by either COAST or CITY as provided herein. Renewal of this agreement shall be automatic for additional periods of one (1) year each but in no event shall this agreement be extended for a total period beyond twenty -five (25) years. CITY and COAST reserve the right to terminate this agreement with or without cause and at any time upon giving thirty (30) days prior written notice. 5. Upon termination of this agreement, CITY shall return said sailboats to COAST. IN WITNESS WHEREOF, the parties hereto have executed this agreement as of the day and year first above written.
