Enclosed are two fully executed copies of subject agreement
for transmittal to Kammeyer 6 Lynch, Landscape Architects,
and for your files.
This agreement was authorized by the City Council on
October 14, 1975 by the adoption of Resolution No. 8613.

AGREEMENT FOR DESIGN SERVICES
(West Newport Park)
THIS AGREEMENT is made and entered into this /5 tC day
Of p G r"p A t n , 1975, by and between the CITY OF NEWPORT
BEACH, a municipal corporation, hereinafter referred to as "City"
and the firm of KAMMEYER & LYNCH, LANDSCAPE ARCHITECTS, herein-
after referred to-as "Architect ".
W I T N E S S E T H:
WHEREAS, City desires to develop and landscape a
recreation and park area to be known as West Newport Park, which
will lie between Seashore Drive and West Coast Highway, and extend
from the Santa Ana River to approximately 55th Street, hereinafter
referred to as "Project "; and
WHEREAS, design services are necessary to review the
existing Master Plan and to prepare plans and specifications suit-
able for requesting bids to construct Project; and
WHEREAS, Architect has submitted a proposal to review
the Master Plan and to prepare plans and specifications for Project,
NOW, THEREFORE, in consideration of the foregoing, the
parties hereto agree as follows:
I. General
A. City engages Architect to perform the services
hereinafter described for the compensation herein stated.
B. Architect agrees to perform said services upon
the terms hereinafter set forth.
C. Architect shall retain the services of the firm
of Raub, Bein, Frost and Associates to prepare the civil
engineering portions of the project design.
II. Services to be Performed by Architect
services:
Architect hereby agrees to perform the following
A. Preliminary Analysis Phase
1. Review the existing Master Plan for the
Project and recommend modifications to improve the
park functions, vehicle parking facilities and
circulation, and drainage.
2. Collect from the City existing base information
pertinent to the Project (street improvement plans and
utility plans).
3. Meet with City staff to resolve technical matters
presenting potential difficulties in accomplishing the
design.
4. Provide a topographic survey of Project site
in sufficient detail and accuracy to determine drainage
flow patterns, grading quantities, and site boundaries.
Architect's engineer shall determine the location of a
survey line 124' Southerly of the Northerly Coast Highway
right of way line. Said line shall be delineated on the
Project site topographic survey.
5. If major changes to the existing Master Plan
are recommended, prepare an exhibit showing the new
recommended Master Plan. This plan should define the site
boundaries including the reservation for the future widen-
ing of Coast Highway, parking areas, sites for various
courts, play areas, landscape areas, walks, general
topography, and other special amenities.
6. Attend up to four public meetings to discuss,
explain, or receive information concerning the Project. The
Parks, Beaches & Recreation Director shall indicate to
Architect which meetings he will be required to attend.
B. Preliminary Design Phase
1. Prepare a hydrology study covering the Project
site and those areas draining to the site, evaluate
existing drainage facilities for adequacy and recommend
a plan for handling drainage to and from the site.
2. Prepare a preliminary design in accordance with
the final approved Master Plan which will include site

plan arrangement, preliminary grading and drainage
solutions, planting layout, lighting considerations,
play apparatus installations, and preliminary cost
estimate.
C. Final Design, Preparation of Plans, Specifications
and Estimates Phase
1. Upon written approval of the preliminary design,
prepare detailed construction drawings for all facilities
on City furnished standard plan sheets.
2. Prepare special provisions and contract documents
on xerox masters to be used in conjunction with the City's
Standard Specifications (Standard Specifications for
Public Works Construction, 1973 Edition, including
supplements);
3. Calculate the construction quantities, estimate
their cost, and provide a final engineer's estimate in
bid proposal format;
4. During the preparation of detailed construction
drawings for all facilities, review progress and
concepts periodically with City to ascertain conformance
with City standards and requirements.
D. Construction Phase
1. Provide consultation and /or interpretation of
plans and specifications during the construction phase
of the Project, including review of shop drawings. This
includes but is not limited to:
A. Site inspection with City staff at the
completion of preliminary finish grading prior to the
incorporation of soil amendments or start of irrigation
system.
B. Site inspections with City staff during
the irrigation system coverage test.
C. Site inspections with City staff when shrubs
and trees have been spotted before planting, at

completion of finish modeling of lawn areas before
seeding, at completion of landscape construction
items, and at the completion of the maintenance
period.
III. Duties of City
City hereby agrees to supply Architect with the
following information and materials:
A. Mylar plan and profile and standard sheets
for preparation of original project drawings;
B. Soil test data as determined necessary for
both the construction of the park facilities and the
landscaping of the park.
C. Any other additional information available
which the parties agree may be beneficial to the final
design of the Project.
IV. Ownership of Project Documents
Original drawings, reports, notes, maps and other
documents shall become the property of the City and may be
reproduced and utilized as deemed necessary by the City.
V. Right of Termination
City reserves the right to terminate this agreement
at any time and for any reason by giving Architect seven (7)
days' prior written notice; notice shall be deemed served
upon deposit in the United States Mail, postage prepaid,
addressed to any of Architect's business offices. In the
event of termination due to fault of Architect, City shall be
obligated to compensate Architect for only those authorized
services which have been completed and accepted by the City.
If this agreement is terminated for any reason other than
fault of Architect, City agrees to compensate Architect for
the actual services performed up to the effective date of
the notice of termination, on the basis of the fee schedule
contained herein.

Preliminar,
Preliminary project analysis shall be presented
to City for review within twenty -one (21) calendar days after
issuance of a notice to proceed. The notice to proceed will
be issued at the time when all base information has been
received by the Architect from the City. Preliminary design
and cost estimate shall be completed and submitted for review
within thirty -five (35) calendar days following authorization
by City to proceed with preliminary design. Final design,
including all plans and other documents for the Project shall
be submitted to the Parks, Beaches and Recreation Director
of City for final review within seventy -eight (78) calendar
days following authorization by City to proceed with final
design.
VII. Fee Schedule and Payment
In consideration of the performance of the above
described services, City hereby agrees to pay Architect an
amount based upon the hourly rate schedule set forth below.
In no event shall said amount be greater than Twenty -Five
Thousand Dollars ($25,000.00) except as otherwise provided
herein.
A. Hourly rates for office and field personnel
shall be as follows:
Principal
$35 /hr
Landscape Architect
$25 /hr
Landscape Designer
$18 /hr
Staff
$14 /hr
B. The contract amount shall be paid to Architect
as follows:
1. Monthly partial payments shall be made on
the basis of the time expended by the Architect at
the hourly rates listed herein, except that the cumulative
amount of monthly partial payments shall not exceed the

cumulative total amounts shown below for each phase
until the completion and acceptance of that phase:
A. Preliminary Analysis Phase
as described in Section II -A $ 6,250.00
B. Preliminary Design Phase
as described in Section II -B $11,250.00
C. Final Design, Preparation of
Plans, Specifications, and
Estimates Phase as described
in Section II -C $22,500.00
The sum of the monthly partial payments shall not
exceed ninety percent (90 %) of the maximum fee;
2. Balance of the total amount earned to be
earned upon completion of work specified in Section II
(Services to be Performed by Architect), or by January 1,
1977, whichever occurs first;
3. In addition, City agrees to reimburse
Architect for the actual cost of reproduction of copies
of said plans and related documents, as well as other
related costs authorized in advance by the Parks, Beaches
and Recreation Director.
VIII. Project Scope Revisions
The scope of the Project may be changed and the
maximum fee revised upon prior written approval of the Parks,
Beaches and Recreation Director and the Public Works Director
if the increase in the maximum fee does not exceed Two
Thousand Five Hundred Dollars ($2,500.00). If revisions to
the scope of the Project would result in an increase in the
maximum fee exceeding Two Thousand Five Hundred Dollars
($2,500.00), an amendment providing for such revisions shall
be processed and executed by the parties hereto.
IX. Hold Harmless
Architect shall indemnify and save harmless City
and its officers and employees from any damage or liability

arising from any errors, omissions or negligence in the
Architect's performance of this agreement, or in the work
and services herein provided.
IN WITNESS WHEREOF, the parties hereto have executed
this agreement on the date first above written.

RESOLUTION NO. $ G 13
A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF NEWPORT BEACH AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREE-
MENT BETWEEN THE CITY OF NEWPORT BEACH
AND KAMMEYER & LYNCH, LANDSCAPE ARCHITECTS
FOR DESIGN SERVICES IN CONNECTION WITH
WEST NEWPORT PARK
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain agreement between the
City of Newport Beach and the firm of Kammeyer & Lynch in
connection with West Newport Park; and
WHEREAS, the City Council has considered the terms and
conditions of said agreement and found them to be fair and equit-
able, and in the best interests of the City;
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Newport Beach that said agreement above described is
approved, and the Mayor and City Clerk are hereby authorized
and directed to execute the same on behalf of the City of Newport
Beach.
