A G R E E M E N T
This Agreement is made and entered into this
Or day of 1976, by and between the
CITY OF NEWPORT BEACH, a Municipal Corporation, hereinafter
referred to as "City" and RITCHIE MOORE doing business as
"POWERED BY NATURE CHILDRENS' OUTDOOR RECREATION PROGRAM"
hereinafter referred to as'PBNCORP ".
W I T N E S S E T H:
WHEREAS, PBNCORP has offered to supply the City
with at least two boats to be used in the City Recreation
Sailing Program; and
WHEREAS, the City desires to accept the boats
to conduct an open ocean sailing instruction program; and
WHEREAS, PBNCORP understands and agrees that
PBNCORP, as a contractor for the City, will be liable for
any damage done to said boats during the operation of the
sailing program; and
WHEREAS, City agrees to provide liability insurance
to protect PBNCORP against bodily injury and property damage
claims arising out of the City's recreation sailing program
in connection with said sailboats.
NOW, THEREFORE, in consideration of the foregoing,
it is mutually agreed by.and between the parties hereto that:
1. PBNCORP will provide two boats to be used in
the City recreation sailing program during the term hereof.
2. This Agreement may be terminated by either
party upon giving thirty (30) days advance written notice.
3. PBNCORP will be responsible for any loss or
damage of or to any sailboat or equipment thereon during the
period when sailboats are used in the City's sailing program.
4. City agrees to indemnify and hold PBNCORP
harmless from any and all liability or damage arising out of
injury to persons or property while City is using sailboats
provided by PBNCORP and City shall name PBNCORP as an
additional insured on its third party liability insurance
policy.
5. Upon termination of this agreement, City shall
return said sailboats to PBNCORP.
IN WITNESS WHEREOF, the parties hereto have executed
this Agreement as of the day and year first above written.

RESOLUTION NO. 87 17
A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF NEWPORT BEACH AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN AGREE-
MENT BETWEEN THE CITY OF NEWPORT BEACH
AND POWERED BY NATURE CHILDRENS' OUTDOOR
RECREATION PROGRAM TO PROVIDE BOATS FOR
A SUMMER SAILING PROGRAM
WHEREAS, there has been presented to the City
Council of the City of Newport Beach a certain agreement
between the City of Newport Beach and Powered by Nature
Childrens' Outdoor Recreation Program in order to provide
sailboats for use in a sailing program; and
WHEREAS, the City Council has considered the
terms and conditions of said agreement, and found them to
be fair and equitable and in the best interests of the City;
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that said Agreement above
described is approved, and the Mayor and City Clerk are hereby
authorized and directed to execute the same on behalf of
the City of Newport Beach.
