W I T N E S S E T H: WHEREAS, City and Hardy have previously entered into an agreement dated May 29, 1975, for the publication and printing of a pictorial history of City, titled "Newport Beach Heritage and Horizons "; and WHEREAS, City in conjunction with the Newport Beach Bicentennial Committee are desirous of obtaining a second printing of said magazine; and WHEREAS, Hardy has expressed a desire to permit City the publication rights to said magazine for a second edition; and WHEREAS, Hardy has entered into an agreement dated October 24, 1975, with Walter Gerhardt to share in one half (1/2) of the net proceeds from the sale of a 2nd edition or any subsequent editions. NOW, THEREFORE, in consideration of the mutual covenants and conditions hereinafter expressed, the parties hereto agree as follows: 1. Hardy will release to City all publication and production rights in the magazine titled "Newport Beach Heritage and Horizons ". 2. City will pay all costs incurred for printing 10,000 copies of a second edition of the magazine similar to the first edition. C, • 3. City will retain full control over the printing, sales and distribution of the magazines as well as any and all income received from any such sales. 4. In exchange for the publication rights for a second edition, City will pay Hardy eighty percent (80 %) of all profits received after all costs incurred for the second printing are paid and after deducting an amount equal to the City's pro rata share of the sponsorships sold for the first edition pursuant to the terms and conditions of the original agreement dated May 29, 1975. Said pro rata share owed to City from the first edition is determined to be One Thousand Nine Hundred and Seventy -Five Dollars ($1,975.00). 5. By this agreement, City assumes no debts, obligations or liability which may have been incurred by Hardy in connection with the first edition. 6. The term of the agreement shall be for a period of six (6) months commencing on the date of this agreement, unless sooner terminated by City upon ten (10) days' prior written notice. CITY OF NEWPORT BEACH A Municipal Corporation ATTEST: City Clerk HARDY HOUSE PUBLISHING APPROVED AS TO FORM: By r City Attorney APPROVED AND CONSENTED: GERHrARDDT PHOTOS - GRAPHICS ( By Ull" Walter Gerhardt -2- • i RESOLUTION NO. 8 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREE- MENT BETWEEN THE CITY OF NEWPORT BEACH AND HARDY HOUSE PUBLISHING COMPANY FOR A SECOND PRINTING OF THE NEWPORT BEACH BICENTENNIAL MAGAZINE WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain agreement between the City of Newport Beach and Hardy House Publishing Company in connection with a second printing of the Newport Beach Bicentennial Magazine; and WHEREAS, the City Council has reviewed the terms and conditions of said agreement and finds them to be satisfactory and that it would be in the best interest of the City to authorize the Mayor and City Clerk to execute said agreement; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said agreement above described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
