GENERAL PROVISIONS
1. If the conditions of this escrow have not been complied with prior to the date stated on Line 1, or any extension thereof, you are
nevertheless to complete the escrow as soon as the conditions, except as to time have been complied with, unless written demand shall have
been made upon you not to complete it.
2. To pay on demand, whether or not this escrow closes, any charges incurred by you on our behalf and your usual escrow fees and
charges.
3. Fees and charges will be paid as follows: (a) By Buyer - for recording deed, filling in, acknowledging and recording trust deed, any
documents necessary on his part, lender's assumption or change of records fee, and buyer's escrow fee; and (b) By Seller - for title policy,
beneficiaries' statements and /or demands, documentary transfer tax on daed, filling in, acknowledging and recording any documents
necessary on his part, and seller's escrow fee.
4. Use your usual instrument forms and insert dates and terms on instruments if executed incomplete in such particulars, provided the
insertions comply with our written instructions.
S. You are authorized to deliver copies of all instructions and closing statements in this escrow to the real estate broker, any lender,
lender's agent, FHA or VA, upon their request.
6. This escrow affords no protection against possible claims under conditional sales contracts, if any, affecting the property acquired or
any fixtures or equipment in connection therewith.
7. You are not to be concerned with the following: (1) The giving of any disclosures required by Federal or State law specifically
including Regulation Z, which may or should have been given outside of this escrow. (2) The effect of zoning ordinances.
8. The parties to this escrow have satisfied themselves outside of escrow that the transaction covered by this escrow is not in violation of
the Subdivision Map Act or any other law regulating land division, and your Bank as escrow holder, is relieved of all responsibility and /or
liability in connection therewith, and is not to be concerned with the enforcement of said laws.
9. In the event any Offer to Purchase, Deposit Receipt or any other form of Purchase Agreement is deposited in this escrow, it is
understood that such document shall be effective only as between the parties signing said document. You as escrow holder are not to be
concerned with the terms of such document and are relieved of all responsibility and /or liability for the enforcement of such terms and your
only duty being to comply with the instructions set out in this escrow. In connection with any loan transaction involving an FHA or VA
loan, you are authorized to deliver a copy of any such document to FHA, VA or lender as the case may be.
10. The policy of title insurance to be delivered through this escrow will be issued subject to exceptions and conditions set out in the title
company's printed form, which exceptions and conditions are hereby approved. No chattel or security interest search is to be obtained
covering personal property, if any, being transferred through this escrow. Bill of Sale if any required, is to be delivered unrecorded at the
close of escrow.
11. Obtain beneficiary statement to verify the encumbrance principal balance; make adjustments and prorations required based on the
figures therein set forth.
12. "Trust deed" shall also mean mortgage; "encumbrance" shall mean either of the previous, as well as liens of any type whatsoever; the
singular, the plural word or vice versa, "close of escrow" shall mean the day instruments are recorded. Make each proration on the basis of a
30 day month.
13. Prorate taxes and levies on the basis of the current year's figures, except during the period they are not available you are to use the
immediately preceding year's figures; as furnished you by the title company. Seller will pay outside of escrow and prior to delinquency any
taxes on property not being conveyed herein, which taxes are a lien on the real property conveyed.
14. Prorate rents and charge seller and credit buyer with any deposits paid in advance on the basis of a statement furnished by seller. Seller
represents that he will collect all rents which fall due prior to the close of escrow. Make no adjustment against buyer on uncollected rents.
15. Prorate premiums on fire insurance policies on improvements, which seller hands you or which beneficiary informs you he holds; assign
policies if premium to be prorated; request insmor's agent to transfer the policy to buyer, and issue mortgagee clauses. Transfer and prorate
all other insurance policies, if approved by Buyer. Seller represents that the policies are in force, not hypothecated, and premiums paid.
16. Make disbursements by your check; checks not promptly presented for payment are subject to service charges in accordance with your
bank's schedule in effect from time to time.
17. Mail policy of title insurance to the holder of prior encumbrance recorded concurrently with documents herein, if any, with a copy to
the Buyer; otherwise the original to the Buyer. Mail fire insurance policies to holder of first encumbrance, if any, otherwise to buyer; other
instruments in favor of buyer or seller to their address stated on Page 1. Deed to file is to provide that tax statements be mailed to the
address set forth therein.
18. When property being conveyed is held in joint tenancy any cash derived therefrom in this escrow shall be joint tenancy funds.
19. You shall have no obligation to inform me regarding any transaction or facts within your knowledge concerning the property described
herein, nor liability for the sufficiency or correctness as to form, manner of execution, or validity of any instruments deposited, nor as to
identity, authority, or liability of any person executing the instruments. Your liability shall be confined to the matters specifically stated in
our instructions.
20. Should you, before or after close of escrow, receive or become aware of any conflicting demands or claims with respect to this escrow
or the rights of any of the parties hereto, or any money or property deposited herein or affected hereby, you shall have the right to
discontinue any or all further acts on your part until such conflict is resolved to your satisfaction, and you shall have the further right to
commence or defend any court proceedings for the determination of such conflict. Buyer and seller jointly and severally agree to pay all

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF NEWPORT BEACH AUTHORIZING THE MAYOR TO
ACCEPT A DIRECTOR'S DEED FROM THE STATE OF
CALIFORNIA (DEPARTMENT OF TRANSPORTATION) FOR
THE PROPERTY LOCATED AT TUSTIN AVENUE BETWEEN
PACIFIC COAST HIGHWAY AND CLIFF DRIVE
WHEREAS, the State of California (Department of
Transportation) has presented to the City Council of the City
of Newport Beach a certain Director's Deed dated April 27, 1976,
wherein the State of California (Department of Transportation)
conveys to the City of Newport Beach the following described
real property located at Tustin Avenue between Pacific Coast
Highway and Cliff Drive in the City of Newport Beach:
That portion of Lot A of Tract No. 919, as
per map recorded in Book 29, pages 31, 32, 33
and 34 of Miscellaneous Maps, in the office of
the County Recorder of said county, more particularly
described as follows:
Commencing at a point in the Southwesterly line
of said Lot A, said Southwesterly line being the
Northeasterly line of the California State Highway
as shown on said map of Tract No. 919, 832.78 feet
Northwesterly of the Southeasterly corner of said
Lot A, said 832.78 feet being measured along the
said Southwesterly line of said Lot A; thence
Northeasterly along a line parallel to the South-
easterly line of said Lot A, 230.36 feet to the
TRUE POINT OF BEGINNING; thence Northeasterly along
a line parallel to the Southeasterly line of said
Lot A, 26.99 feet; thence Southeasterly along a
line measured at right angles to said Southeasterly
line of said Lot A, 49.12 feet; thence Northeasterly
along a line parallel to the said Southeasterly line
of said Lot A, 23.00 feet; thence Southeasterly along
a line measured at right angles to the said Southeasterly
line of said Lot A, 49.13 feet to the Northwesterly
line of land described in a deed to Mildred W. Brown,
a married woman, recorded March 9, 1953, in Book 2466,
page 584 of Official Records; thence along said North-
westerly line N 390 43' 30" E, 194.62 feet to the
most Northerly corner of said land of Mildred W. Brown;
thence N 50° 15' 10" W, 202.39 feet to the Northwesterly
line of the Southeasterly 938.78 feet, measured along
the Northeasterly line of said California State
Highway of said Lot A, as described in deed to Frank S.
Lampert, recorded September 30, 1940 in Book 1059, page
325 of Official Records; thence along said last
mentioned Northwesterly line S 390 43' 30" W, 239.43
feet; thence Southeasterly, in a direct line to said
TRUE POINT OF BEGINNING.
WHEREAS, it is to the interest of the City to accept
said director's deed;

NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that the Mayor is hereby authorized
to accept said director's deed from the State of California
(Department of Transportation) and the City Clerk is authorized
and directed to attach thereto a certificate of acceptance and
consent to its recording and to cause said document to be
recorded in the Orange County Recorder's Office.
