Laura Lagios city clerk LL:swk enc. 0 AGREEMENT FOR DESIGN SERVICES (CLIFF DRIVE PARK) THIS AGREEMENT is made and entered into this y 5-ek day of 4h&VE 410 E R , 1974, by and between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter referred to as "CITY ", and CREATIVE TECHNIQUES, INC., hereinafter referred to as "ARCHITECT." W I T N E S S E T H: WHEREAS, CITY desires to develop and landscape a recreation park area known as Cliff Drive Park; and WHEREAS, design services are necessary to prepare a master plan and precise plans for said facility; and WHEREAS, ARCHITECT, has submitted a proposal to prepare the master and precise plans, NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree as follows: I. General A. The site for development of the above park facility is a 5± acre parcel located on Cliff Drive between Santa Ana Avenue and Riverside Drive in the City of Newport Beach; B. CITY engages ARCHITECT to furnish the services hereinafter specified for the compensation herein stipulated, and ARCHI- TECT agrees to perform such services upon said terms. II. Duties to be Performed by ARCHITECT ARCHITECT agrees to perform the following services A. Prepare preliminary master plan defining parking areas, general topography, picnic areas, walks, play areas, special amenities, landscape areas, lighting; ($1,500.00) B. Prepare workirg drawings for grading, irriga- -1- 0 0 ion, landscaping, walks and paths, electri- cal, play apparatus installation, special amenities construction, parking area con- struction (if any), picnic area construction and technical specifications; ($5,000.00) C. Job inspection during construction (at least twice a week), process any change orders, final inspection and punch list; ($2,000.00) D. Soil analysis, as- builts and other services desired by the CITY. ($ 300.00) The above services are to include three (3) sets of working drawings and bid documents; additional copies will be provided CITY at ARCHITECT's cost. III. Fee Payment and Schedule A. In consideration of the performance of the above- described services, CITY agrees to pay ARCHITECT an amount not to exceed EIGHT THOUSAND EIGHT HUNDRED DOLLARS ($8,800.00), which amount shall be payable as follows: 1. Upon completion of the services described in Paragraph II -A above, the amount of One Thousand Five Hundred Dollars ($1,500.00); 2. Upon completion of the services described in Paragraph II -B above, the amount of Five Thousand Dollars ($5,000.00); 3. Upon completion of the services described in Paragraph II -C above, and completion of the project, the amount of Two Thousand Dollars ($2,000.00); 4. Upon completion of the services described in Paragraph II -D above, the amount of Three Hundred Dollars ($300.00). B. For purposes of determining when payments are due, the parties hereto shall mutually agree on the com- pletion of the items as indicated. -2- 0 0 IV. Completion of Services ARCHITECT agrees to complete all of the services specified herein within sixty (60) calendar days after the execution of this agreement. V. Right of Termination CITY reserves the right to terminate this agreement at any time by giving ARCHITECT three (3) days' written notice. Notice shall be deemed served upon deposit in the United States Mail, postage prepaid, addressed to any of ARCHITECT's business offices. In the event of termination due to the fault of the ARCHITECT, CITY shall be relieved of any obligation to compensate ARCHITECT. If this agreement is terminated for any reason other than the fault of ARCHITECT, CITY agrees to compensate ARCHITECT for the actual services per- formed up to the effective date of the notice of termination, on the basis of the fee schedule contained in this agreement (Section III). VI. Assignment This agreement or any portion thereof shall not be assigned without written consent of the CITY. VII. Hold Harmless ARCHITECT shall indemnify and save harmless CITY and its officers and employees from any damage or liability arising from any errors, omissions or negligence in the ARCHITECT's performance of this agreement, or in the architectural work and services herein provided. IN WITNESS WHEREOF, the parties hereto have executed this agreement on the date first above written. " 39 0 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE EXECUTION OF AN AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND CREATIVE TECHNIQUES, INC. FOR LANDSCAPING SERVICES FOR CLIFF DRIVE PARK WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain agreement between the City of Newport Beach and Creative Techniques, Inc. for land- scaping services for Cliff Drive Park; and WHEREAS, the City Council has considered the terms and conditions of said agreement and found them to be fair and equitable, and in the best interests of the City; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said agreement for the services above described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
