ENCROACHMENT AGREEMENT (EPN2004-0197) THIS AGREEMENT is made and entered into this IS5f day of 2004, by and between Erik Anderson, (hereinafter "OWNER"), and the City of Newport Beach, California, a municipal corporation organized and existing under and by virtue of its Charter and the Constitution and the laws of the State of California, (hereinafter "CITY"). OWNER is the owner of property located at 2210 Channel Road, Newport Beach, California, 92663 and legally described as (Multiple Lots, including a portion of one or more lots, Lot 22-24&M; Block P; City: Newport Beach; Tract Number: 518; Recorder's Map Reference: MP17 PG33-36 recorded in Miscellaneous Maps in the office of the County Recorder of Orange County, California (hereinafter "PROPERTY"). WITNESSETH: WHEREAS, OWNER desires to strengthen an existing seawall/bulkhead, constituting non-standard improvements (hereinafter "PERMITTED IMPROVEMENTS") within the western border of the main channel of Newport Bay, which constitutes tidelands owned by CITY in trust as granted by the State of California pursuant to Legislation authorized by Chapter 74 of the Statutes of 1978, (hereinafter "TIDELANDS".) PERMITTED IMPROVEMENTS occupy a portion of Newport Bay comprising dimensions of 127.73 feet X +/-3.5 feet, and more particularly described as follows (As indicated on the site survey prepared by Toal Engineering dated 3/29/03 and the construction Dlans Dreaared by AEC Associates dated 12/03 each of which is recorded with City of Newport Beach Public Works and Harbor Resources: and 1 WHEREAS, CITY owns a beach parcel (hereinafter "CITY PARCEL") adjacent to PROPERTY a seawall (hereinafter "CITY SEAWALL") continuous to OWNER's existing seawall/bulkhead, which CITY SEAWALL is in need of repair or reconstruction, and WHEREAS, OWNER needs to join PERMITTED IMPROVEMENTS to CITY SEAWALL WHEREAS, ON February 12, 2003, the Newport Beach Harbor Commission approved OWNER's request to construct PERMITTED IMPROVEMENTS as authorized by City Council Policy H-1, provided that OWNER agree and be permitted to reconstruct CITY SEAWALL, at OWNER's sole expense. On January 12, 2004 the California Coastal Commission issued Permit No. 5-02-174 for PERMITTED IMPROVEMENTS and CITY SEAWALL. WHEREAS, PERMITTED IMPROVEMENTS may interfere in the future with CITY'S ability to construct, operate, maintain, and replace CITY and other public facilities and improvements within TIDELANDS or on CITY PARCEL; and WHEREAS, the parties desire to execute an agreement providing for fulfillment of the conditions required to permit OWNER to reconstruct and maintain said PERMITTED IMPROVEMENTS and to reconstruct CITY SEAWALL. NOW, THEREFORE, in consideration of the mutual promises, the parties hereto agree as follows: 1. It is mutually agreed that PERMITTED IMPROVEMENTS shall be defined as a seawall/bulkhead, together with all structural caissons, tiebacks, concrete footings and related walls and other revetments, in the TIDELANDS as shown on EXHIBIT "A" attached hereto and particularly described in plans dated 12/03, approved by CITY's Public Works Department. In addition, PERMITTED IMPROVEMENTS may vary at the time of construction; therefore, any changes must be approved by CITY's Public Works Department and shall be shown on the "As Built" plans. 2. CITY will permit OWNER to construct and maintain PERMITTED IMPROVEMENTS within a portion of TIDELANDS, all in substantial conformance with plans and specifications on file in the CITY. CITY will further allow OWNER to take all reasonable measures necessary or convenient in accomplishing the aforesaid activities. 2 3. As and for consideration for the release of liability for fair rental value of the applicable TIDELANDS area for the life of the PERMITTED IMPROVEMENTS or fifty (50) years whichever comes first, OWNER agrees to reconstruct CITY SEAWALL contiguous to the PREMITTED IMPROVEMENTS and join the PERMITTED IMPROVEMENTS to CITY SEAWALL. All parties agree that the scope and extent of the repairs and reconstruction of CITY SEAWALL shall be at the expense of OWNER, and designed and constructed according to plans and specifications approved by CITY, as shown on Exhibit "A" attached hereto and particularly described on plans dated 12/03. Any changes must be approved by the Public Works Department and shall be shown on the "As Built" plans. All parties further agree that any and all liability for injury, damage, destruction, or any other civil remedy shall inure to OWNER during the actual reconstruction of the CITY SEAWALL. 4. Upon CITY acceptance of CITY SEAWALL and approval of a final building permit issued to OWNER, CITY shall thereupon assume any and all liability of any kind or nature with regard to any injury or damage to any third party arising out of or in connection with the construction of the CITY SEAWALL. Any and all further obligations to maintain or otherwise operate the CITY SEAWALL shall thereupon transfer to CITY. 5. Rights granted under this Agreement may be terminated by CITY at any time by giving six (6) month's notice, specifying in said notice the date of termination. CITY shall incur no liability whatsoever in the event of the termination of this Agreement, or subsequent removal of improvements by CITY. 6. OWNER and CITY further agree as follows: a. OWNER may construct and install PERMITTED IMPROVEMENTS and CITY SEAWLL in substantial conformance with plans and specifications therefore on file in the CITY's Public Works Department, and as described on Exhibit "A" hereto attached. b. OWNER shall maintain the PERMITTED IMPROVEMENTS in accordance with general prevailing standards of maintenance, and pay all costs and expenses incurred in doing so. However, nothing herein shall be construed to require OWNER to maintain, replace or repair any CITY -owned pipeline, conduit or cable located in or under said PERMITTED IMPROVEMENTS or CITY PARCEL, except as otherwise provided herein. C. If City or other public facilities or improvements are damaged by the installation or presence of PERMITTED IMPROVEMENTS, OWNER shall be responsible for the cost of repairs. 3 d. Should CITY be required to enter onto said TIDELANDS or CITY PARCEL to exercise its primary rights associated with TIDELANDS or CITY PARCEL, including but not limited to, the maintenance, removal, repair, renewal, replacement or enlargement of existing or future public facilities or improvements, CITY may remove portions of the PERMITTED IMPROVEMENTS, as required, and in such event: (i) CITY shall notify OWNER of its intention to accomplish such work, if any emergency situation does not exist. (ii) OWNER shall be responsible for arranging for any renewal, replacement, or restoration of the PERMITTED IMPROVEMENTS affected by such work by CITY. (iii) CITY agrees to bear only the cost of any removal of the PERMITTED IMPROVEMENTS affected by such work by CITY. (iv) OWNER agrees to pay all costs for renewal, replacement, or restoration of the PERMITTED IMPROVEMENTS. 7. OWNER acknowledges and agrees that this Agreement may in the future be superceded by Harbor Policies or other policies requiring a lease or other agreement for PERMITTED AGREEMENTS. OWNER agrees to enter into any such agreements applicable to PERMITTED IMPROVEMENTS. 8. OWNER acknowledges and agrees that the authority granted by this Agreement is subject to OWNER first obtaining an Encroachment Permit from CITY's Public Works Department and all other required building or other permits or approvals from other local, state or federal agencies necessary to construct PERMITTED IMPROVEMENTS and CITY SEAWALL on TIDELANDS and CITY PARCEL. CITY agrees to cooperate with OWNER to sign any required applications for any permits related to reconstruction of CITY SEAWALL. 9. In the event either party breaches any material provision of this Agreement, the other party at its option may, in addition to the other legal remedies available to it, terminate this Agreement, and, in the event the breaching party is OWNER, CITY may enter upon the TIDELANDS or CITY PARCEL and remove all or part of the improvements installed by OWNER. Termination because of breach shall be upon a minimum of thirty (30) days' notice, with the notice specifying the date of termination. In the event of litigation, commenced with respect to any term of condition of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees and costs incurred. 4 10. OWNER shall defend, indemnify and hold harmless CITY, its City Council, boards and commissions, officers and employees from and against any and all loss, damage, liability, claims, suits, costs and expenses whatsoever, including reasonable attorneys' fees (when outside attorneys are so utilized), regardless of the merit or outcome of any such claim or suit arising from or in any manner connected with the design, construction, maintenance, or continued existence of the PERMITTED IMPROVEMENTS. 11. OWNER agrees that this Agreement shall be recorded against PROPERTY in the Official Records fo the County Recorder of Orange County, California, prior to or subordinated to any recorded deed of trust or other financing interest or lawful encumbrance on PROPERTY made in good faith and for value. 12. OWNER agrees that this Agreement shall remain in full force and effect from execution therof; shall run with the land; and shall be binding upon the heirs, successors, and assigns of OWNERS' interest in the land, whether fee or otherwise, and shall be recorded in the office of the County Recorder of Orange County, California.
