PHINNEY City Clerk EPP:ld FEel 0 1977 rnnrFIC A G R E E M E N T THIS AGREEMENT, made and entered into this �_ day Of �, 1977, BY AND BETWEEN CITY OF COSTA MESA a municipal corporation hereinafter designated as "COSTA MESA ", and CITY OF NEWPORT BEACH a municipal corporation hereinafter designated as "NEWPORT BEACH ". WITNESSETH: WHEREAS, traffic conditions at the intersection of Irvine Avenue at 17th Street - Westcliff Drive warrant the modifica- tion of traffic control signals to facilitate the safe and orderly movement of traffic; and WHEREAS, COSTA MESA is willing to cooperate with NEWPORT BEACH for the modification of said traffic signal and highway intersection lighting systems hereinafter referred to as "PROJECT ". NOW, THEREFORE, IT IS AGREED by the parties hereto as follows: I. COSTA MESA SHALL: A. Provide approved plans, special provision to the specifications, and cost estimates suitable for obtaining bids for the construction of PROJECT. Plans shall be reviewed and approved by NEWPORT BEACH as to portions within the NEWPORT BEACH boundaries. 4 B. Reimburse NEWPORT BEACH fot COSTA MESA'S share of PROJECT construction costs as more specifically set forth in SECTION III. II. NEWPORT BEACH SHALL: A. Be the "Lead Agency" for PROJECT and prepare and process necessary environmental documents. B. Prepare bid documents and specifications for PROJECT. C. Contract for, administer the contract and supervise the construction of PROJECT in both Cities. III. IT IS MUTUALLY AGREED THAT: A. COSTA MESA shall bear the costs of PROJECT design and the preparation of plans and special provisions to the specifications. B. NEWPORT BEACH shall bear the cost of contract administration and field inspection by NEWPORT BEACH staff. C. Construction costs shall be the amount paid to the contractor for the construction of PROJECT plus costs for equipment and materials testing, utility fees and charges necessary for the construction of PROJECT. D. The construction costs shall be split equally based on one half of the intersection being in NEWPORT BEACH and one half of the intersection being in COSTA MESA. Based on a total estimated cost of PROJECT being $40,000, COSTA MESA'S share is $20,000, and NEWPORT BEACH'S share is $20,000. E. NEWPORT BEACH shall not award a contract to the lowest qualified bidder until COSTA MESA authorizes the award. F. COSTA MESA shall deposit its share of construction costs based on awarded price for PROJECT within thirty days after receipt of an invoice from NEWPORT BEACH. G. At the completion of PROJECT, NEWPORT BEACH shall prepare a final statement of PROJECT construction costs and submit final invoice for payment to COSTA MESA if their share exceeds the initial deposit and COSTA MESA shall pay this invoice within thirty days. If COSTA MESA'S final share is less than the initial deposit, NEWPORT BEACH shall refund the difference to COSTA MESA within thirty days after approval of the final statement. -2- i • • H. COSTA MESA may assign a qualified inspector to periodically review work on PROJECT within COSTA MESA. NEWPORT BEACH'S inspector shall be in charge of the construction contract, and any change requested by the COSTA MESA inspector shall be made to the NEWPORT BEACH inspector. I. After completion of PROJECT, COSTA MESA shall perform the maintenance of the traffic signal and intersection lighting installation. The maintenance costs of said improvements shall be split equally between COSTA MESA and NEWPORT BEACH based on one- half of the intersection being in each City. COSTA MESA shall periodically submit to NEWPORT BEACH an itemized billing of their share of maintenance costs. J. NEWPORT BEACH shall indemnify and hold COSTA MESA harmless from any liability imposed as a result of any alleged negligence by NEWPORT BEACH or its agents arising out of NEWPORT BEACH'S performance of this agreement. K. COSTA MESA shall indemnify and hold NEWPORT BEACH harmless from any liability imposed as a result of any alleged negligence by COSTA MESA or its agents arising out of COSTA MESA'S performance of this agreement. -3- 0 0 IN WITNESS WHEREOF we have entered into this agreement on the day and year first above written. Dated: , Jr ATTEST: CITY OF COSTA MESA a municipal corporation City C erc of the City o to Mesa Dated:4 A-- AYYHUVEL) AS TU FURM: ` CITY OF COSTA MESA CITY A TORNEY BY CITY OF NEWPORT BEACH, a municipal gorporation ATTEST: City Clerk of theOCity of Newport Beach APPROVED AS TO FORM: CITY OF NEWPORT BEACH CITY ATTORNEY IOV'T -4- 6 RESOLUTION NO. 9 O� A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A COOPERATIVE FINANCING AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND THE CITY OF COSTA MESA FOR MODIFICATION OF TRAFFIC SIGNAL AT IRVINE AVENUE AND WESTCLIFF DRIVE WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain cooperative financing agreement between the City of Newport Beach and the City of Costa Mesa for modification of the traffic signal at Irvine Avenue and Westcliff Drive; and WHEREAS, the City Council has reviewed the terms and conditions of said agreement and finds them to be satisfactory and that it would be in the best interest of the City to authorize the Mayor and City Clerk to execute said agreement; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said agreement above described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
