HomeMy WebLinkAboutC-1914 - Street lighting servicesr CONTRACT FOR STREET LIGHTING SERVICES 1 THIS AGREEMENT, made this day of77.�� 19, 2i by and between SOUTHERN CALIFORNIA EDISON COMPANY, a corporation hereinafter 3• designated as Company, and the CITY COUNCIL OF THE CITY OF NEWPORT BEACH, 4; acting for and on behalf of the City of Newport Beach in the County of 5 Orange, State of California, hereinafter designated as Customer. 6 WITNESSETH: FOR A14D IN CONSIDERATION OF the payments hereinafter to be made by 8 Customer to Con , Company, P y >papy agrees to: 9 (1) Furnish electric energy to illuminate street lights that are i 10 located in said city and owned by said city; and 11 (2) Furnish all tools, labor, material, lamps, equipment, and z electric energy necessary to install, maintain, and operate street lights 13 that are located in said city and owned by Company; all in accordance with 14 Company's tariffs as filed with and approved by the Public Utilities 15 Commission of the State of California (the Commission) as provided by T6 Company's Rules for a period of three (3) years commencing <-j t , 1 and terminating_ Cz'2 ? / �p , and from year to ear` thereafter, 18 unless terminated as hereinafter provided. 19 All installations have been made at locations as shown on the 20 map attached hereto marked Exhibit "A" and made a part hereof by this 21 reference. Any modification of or in locations indicated on Exhibit "A" 2G will be set forth on additional maps furnished from time to time by Customer `3 for such purpose. 24 Customer agrees to take, receive, and use for a continuous period of not less than three (3) years from date first energized, the electric 26' energy and service supplied and furnished to each street light or street 21 lighting system requested b Customer, and to a Company bimonthly therefor 9 9 Y Y , pay p Y Y 28 at the rates and under the terms and conditions set forth in Rate Schedules 29 Nos. LS -1 and LS -2 and at such higher or lower rates, pursuant to such new iii or amended tariff schedules, applicable to Customer, as may from time to time 31 be ordered or allowed to become effective in accordance with law by the 32 Commission, regardless of how or by whom proceedings resulting in such change � is 1 may have been initiated, including proceedings initiated by Company, and in 2: accordance with Company's Rules on file from time to time with Commission. 3 Copies of said Rate Schedules are attached hereto marked Exhibit "B" and by 4 this reference made a part hereof. 6 Customer agrees to commence using the street lighting in a bona 6: fide manner within ninety (90) days after the date of completion of an 7 installation of a street light or street lighting system requested by Customer. 9 It is understood and agreed that where electroliers are to be 10 served by means of Company -owned underground system, Customer will advance 11 to Company Company's estimated difference in installed cost of the underground 12 system and a standard overhead system. And, Customer will advance to 13 Company Company's estimated cost of trenching, backfilling, and restoring 14, pavement to the satisfaction of the applicable public agency having 15' jurisdiction, or will furnish same including therein Company's requirements. 16' Further, where Customer elects to have Company -owned ornamental electroliers I installed in a Company -owned system, Customer shall pay to Company Company's 18 estimated installed cost differential of said ornamental electrolier(s) in iy accordance with Exhibit "C" attached hereto and by this reference made a 20 part hereof. It is understood and agreed that all g poles, wires, fixtures, 22 lamps, and other appliances, supplied and used by Company in furnishing the 23 service herein provided for, shall at all times be and remain the property 24' of Company. 25' It is further understood and agreed that the following conditions 26 are to govern: All poles, wires, lights, and electrical apparatus installed 27 by Company in furnishing service under this agreement, shall be so placed as 28' to work the least possible public and private inconvenience, and Customer 29 3u 31 32 may at any time order the location of any part of the system changed by Company at the expense of Customer to conform to the above requirements. Customer reserves the right to abrogate this contract whenever current is offered at two- thirds the price fixed in this contract. 9 1' This agreement may be terminated by either party hereto at the 2 end of the initial three (3) year term or at the end of any succeeding 3: annual period by written notice given not less than sixty (60) days prior 4' to the end of said three (3) year term or of any succeeding annual period. 5 Such termination shall not affect the obligations nor liabilities of either 6 of the parties hereto, or either of them, accruing at such date of termination. And Company shall have the right to remove or abandon Company - 8 owned street lighting facilities, wholly or in part, upon expiration of 9 this contract or of any renewal thereof. j 10 Customer may request termination of service to a street light or 11 street lighting system prior to the expiration of the initial continuous 12;; three (3) year service period required by this contract. In such event, 13: Company will discontinue energy thereto and billing therefor in accordance 14 with its filed Tariffs, and Company may, but is not obligated to, remove all 15 or any portion of said terminated street lighting facilities and to bill 16 Customer for installation and removal charges for facilities not fulfilling 11. said continuous three (3) year period requirement. 18 It is understood and agreed that should Customer request within 19 the initial three (3) year period 1) an increase or decrease in lamp size or 20 2) a change in mounting height of a luminaire, such changes shall be at 21 Customer expense and on completion of modification a new initial three (3) 22 year period shall commence. Further, relocation of an ornamental electrolier 23 upon request of Customer shall be at expense of Customer. 24 The time of service for any workman employed to do any part of 25•, the work contemplated by this contract is limited and restricted to eight 26• hours during any one calendar day and forty hours during any one calendar 27 week, except as p permitted by the provisions of Section 1815 of the Labor 28 Code; it is further agreed that in the case of any violation in this regard 29 of the provisions of Section 1810 -1815, inclusive, of said Labor Code, 0 Company shall forfeit to Customer the sum of $25 for each workman employed 31 in execution of this contract for each calendar day during which such workman 32 is required or permitted to work more than eight hours during any one 3. is V calendar day and forty hours during any one calendar week, except as provided 2 in Section 1815 aforesaid. 3 This contract shall, at all times, be subject to such changes or 4: modifications by the Commission as said Commission may, from time to time, 5 direct in the exercise of its jurisdiction. 6 If Company shall be prevented by strikes, by order of court, by 7 public authority, by order of the Commission, or other causes beyond the 8, control of the parties hereto, or either of them, from furnishing the service 9` herein provided for, it shall not be liable in damages to Customer for such 10 failure but a proportionate reduction in the amounts payable to Company by 11; Customer for street lighting service hereunder, based on the period of sus- 12 pension of such service, shall be made in case of such failure. 13' In addition to, and under limits of liability set forth in the pre -! 14 ceding paragraph, Company may, in the absence of an order from the Commission, 15; apportion the supply of electric energy in a manner that appears to Company 16h most equitable, under conditions then prevailing. Removal or Modification of Equipment: Where street lighting service and facilities were ordered removed or modified by a customer and such service and facilities, or their equivalent, are ordered reinstalled within 36 months from the date of the order to remove or to modify, the customer shall pay to the utility in advance of reinstalla- tion a nonrefundable amount equal to the cost of removal or modification of the prior facilities and the estimated cost of such reinstallation. Facilities removed or installed remain the sole property of the utility. S. Energy Cost Adjustment: The rates above for all night service are subject to adjustment as provided for in Part G of the Preliminary Statement. The applicable energy cost adjustment billing factors and fuel collection balance adjustment billing factor set forth therein will be applied to 29 kwhr per month per 1,000 lumens for incandescent lamps, to 10 kwhr per month per 1,000 lumens for mercury vapor lamps, and to 4 kwhr per month per 1,000 lumens for high pressure sodium vapor lamps. b. Energy Curtailment Service: a. Where the customer requests the installation and /or removal of equipment in order to obtain Energy Curtailment Service, and such request is acceptable to the utility, the utility will comply with such request provided the customer first agrees to pay to utility the estimated cost installed of any additional equipment required and /or the removal cost of any equipment currently installed. Such payments will not be refunded and shall be paid in advance or in installments acceptable to utility over a period of not to exceed three years. Facilities installed in connection with such requests become and remain the sole property of the utility. b. Under the utility's midnight (PST) or equivalent service operating schedule, approximately 2,090 hours of service per year will be furnished. c. Facilities charges shall be applicable under this schedule only when the utility has been requested to discon- tinue the existing service by the customer and the customer has stipulated that the facilities are to be left in place for future use. d. The rates above for midnight or equivalent service are subject to adjustment as provided for in Part G of the Preliminary Statement. DISCUSSION: The rules of the Southern California Edison Company require a formal contract to furnish street lighting energy and services. The proposed contract will cover a period of 3 years and will formalize practices which are currently being followed without a written contract. The proposed contract will not affect the cost of energy. All rate schedules and rules of the Edison Company are regulated by the California Public Utilities Commission. The current cost of street lighting energy and services covered by the contract is approximately $15,000 per month. A draft copy of the contract along with Exhibits "B" and "C" is attached. Customer agrees to commence using the street lighting in a bona fide manner within ninety (90) days after the date of completion of an installation of a street light or street lighting system requested by Customer. It is understood and agreed that where electroliers are to be served by means of Company -owned underground system, Customer will advance to Company Company's estimated difference in installed cost of the underground system and a standard overhead system. And, Customer will advance to Company Company's estimated cost of trenching, backfilling, and restoring pavement to the satis- faction of the applicable public agency having jurisdiction, or will furnish same including therein Company's requirements. Further, where Customer elects to have Company - owned ornamental electroliers installed in a Company -owned system, Customer shall pay to Company Company's estimated installed cost differential of said ornamental electrolier(s) in accordance with Exhibit "C" attached hereto and by this reference made apart hereof. - I - 0 0 It is understood and agreed that all poles wires, fixtures, lamps, and other appliances, supplied and used by Company in furnishing the service herein provided for, shall at all times be and remain the property of Company. It is further understood and agreed that the following conditions are to govern: All poles, wires, lights, and electrical apparatus installed by Company in furnishing service under this agreement, shall be so placed as to work the least possible public and private invonvenience, and Customer may at any time order the location of any part of the system changed by Company at the expense of Customer-to conform to the above requirements. Customer reserves the right to abrogate this contract whenever current is offered at two - thirds the price fixed in this contract. This agreement may be terminated by either party hereto at the end of the initial three (3) year term or at the end of any succeeding annual period by written notice given not less than sixty (60) days prior to the end of said three (3) year term or of any succeeding annual period. Such termination shall not affect the obligations nor liabilities of either of the parties hereto, or either of them, accruing at such date of termination. And Company shall have the right to remove or abandon Company -owned street lighting facilities, wholly or in part, upon expiration of this contract or of any renewal thereof. Customer may request termination of service to a street light or f street lighting system prior to the expiration of the initial continuous three (3) year service period required by this contract. In such event, Company will discontinue energy thereto and billing therefor in accordance with its filed Tariffs, and Company may, but is not obligated to, remove all or any portion of.said terminated street lighting facilities and to bill Customer for installa- tion and removal charges for facilities not fulfilling said continuous three (3) year period requirement. It is understood and agreed that should Customer request within the initial three (3) year period 1) an increase or decrease in.lamp size or 2) a change in mounting height of a luminaire, such changes shall be at Customer expense and on completion of modification a new initial three (3) year period shall commence. Further, relocation of an ornamental electrolier upon request of. Customer shall be at expense of Customer. . The time of service for any workman employed to do any part of the work contemplated by this contract is limited and restricted to eight hours during any one calendar day and forty hours during any one calendar veek, except as permitted by the provisions of Section 1815 of the Labor Code; it is further agreed that in the case of any violation in this regard of the provisions of Section 1810 -1815, inclusive, of said Labor Code, Company shall forfeit to Customer the sum of $25 for each workman employed in execution of this contract for each calendar day during which such workman is required or permitted to work more than eight hours during any one calendar day and forty hours during i any one calendar week, except as provided in Section 1815 aforesaid. This contract shall, at all times, be subject to such changes or modifications by the Commission as said Commission may, from time to time, direct in the exercise of its jurisdiction. If Company shall be prevented by strikes, by order of court, by public authority, by order of the Commission, or other causes beyond the control of the parties hereto, or either of them, from furnishing the service herein provided for, it shall not be liable in damages to Customer for such failure but a pro- i -2- portionate reduction in the amounts payable to Company by Customer for street lighting service hereunder, based on the period of suspension of such service, shall be made in case of such failure. In addition to, and under limits of liability set forth in the pre- ceding paragraph, Company may, in the absence of an order from the Commission, apportion the supply of electric energy in a manner that appears to Company most equitable, under conditions then prevailing. This provision for appor- tionment of the supply of electric energy shall include, but not be limited to, the right to apportion in the event of brownouts, blackouts, or energy curtail- ment programs. Removal or Modification of Equipment: Where street lighting service and facilities were ordered removed or modified by a customer and such service and facilities, or their equivalent, are ordered reinstalled within 36 months from the date of the order to remove or to modify, the customer shall pay to the utility in advance of reinstalla- tion a nonrefundable amount equal to the cost of removal or modification of the prior facilities and the estimated cost of such reinstallation. Facilities removed or installed remain the sole property of the utility. S. Energy Cost Adjustment: The rates above for all night service are subject to adjustment as provided for in Part G of the Preliminary Statement. The applicable energy cost adjustment billing factors and fuel collection balance adjustment billing factor set forth therein will be applied to 29 kwhr per month per 1,000 lumens for incandescent lamps, to 10 kwhr per month per 1,000 lumens for mercury vapor lamps, and to 4 kwhr per month per 1,000 lumens for high pressure sodium vapor lamps. 6. Energy Curtailment Service: a. Where the customer requests the installation and /or removal of equipment in order to obtain Energy Curtailment Service, and such request is acceptable to the utility, the utility will comply with such request provided the customer first agrees to pay to utility the estimated cost installed of any additional equipment required and/or the removal cost of any equipment currently installed. Such payments will not be refunded and shall be paid in advance or in installments acceptable to utility over a period of not to exceed three years. Facilities installed in connection with such requests become and remain the sole property of the utility. b. Under the utility's midnight (PST) or equivalent service operating schedule, approximately 2,090 hours of service per year will be furnished. c. Facilities charges shall be applicable under this schedule only when the utility has been requested to discon- tinue the existing service by the customer and the customer has stipulated that the facilities are to be left in place for future use. d. The rates above for midnight or equivalent service are subject to adjustment as provided for in Part G of the Preliminary Statement.
