AMENDED AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES
(PREPARATION OF PLANS, SPECIFICATIONS, AND ESTIMATES
FOR THE WIDENING OF WEST COAST HIGHWAY, SOUTH SIDE
FROM 57TH STREET TO THE SANTA ANA RIVER)
THIS AGREEMENT is made and entered into this 15 2�,l day
of February, 1978, by and between the CITY OF NEWPORT BEACH, a municipal
corporation, hereinafter referred to as "CITY ", and the firm of ROBERT BEIN,
WILLIAM FROST AND ASSOCIATES, Professional Environmental Engineers and
Planners, hereinafter referred to as "ENGINEER ".
W I T N E S S E T H
WHEREAS, CITY and ENGINEER entered into an Agreement for Pro-
fessional Engineering Services, hereinafter referred to as "Agreement ",
dated May 11, 1977, to have ENGINEER design the West Coast Highway widen-
ing project from 57th Street to the Santa Ana River; and
WHEREAS, ENGINEER is required to perform extra work as outlined
in ENGINEER's letters dated January 18, 1978, and February 1, 1978,
attached hereto and hereby made a part hereof; and
WHEREAS, CITY staff agrees that the extra work outlined in the
said letters needs to be performed;
NOW, THEREFORE, in consideration of the foregoing, the parties
agree as follows:
I. Revised Fee Schedule
In consideration of the performance of the above - described ser-
vices, the CITY agrees to pay ENGINEER an amount based upon hourly rate
schedule as set forth in Paragraph VIII of said Agreement, which is in-
corporated herein as if fully set forth; with the total additional fee not
to exceed the sum of Nine Thousand Dollars ($9,000.00).
II. Time of Completion
Paragraph IV is amended to read: Final design, including all
plans and other documents for the PROJECT shall be completed by March 8,
1978.

III. Terms and Conditions of Original Agreement
All terms and conditions of the original Agreement entered
into by and between CITY and ENGINEER on May 11, 1977, not inco nsistent
herewith, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement on the day and year first above written.

Dear Don:
As you know, we recently field checked some of the cross sections on West
Coast Highway between the Santa Ana River and Bitter Point to determine
the effect on our design of recent pavement overlays by the California
Department of Transportation. As we discussed yesterday, we found that
overlays were not the uniform one inch as expected but varied greatly
up to as much as six inches in thickness. Numerous points were found
to be higher than our pavement design elevations for the ultimate construction.
Therefore, it was agreed that the best procedure was to complete the recross-
sectioning of the entire project, replot the new elevations onto the cross
sections, compare with the existing design as shown on the improvement plans
and determine the type, extent and scope of revisions required to modify
the present design to fit current conditions.
Unfortunately the overlay destroyed virtually all of our survey control
work, however we can provide the surveying and engineering services outlined
above on an hourly basis of 2.50 times the direct payroll cost of all personnel
working on the project with the maximum fee not to exceed $6,250.00 plus the
cost of blueprints, reproductions or other fees directly attributable to the
project and authorized by the City. It should be understood that this maximum
fee is for the analysis and evaluation of the situation and for determining a
new design concept which will provide the best resolution of the current problem.
An additional fee can be quoted for the necessary final redesign, redrafting
and recomputation of improvement quantities when the extent of this work is
more clearly known; We estimate this work will require approximately two weeks
to complete providing we are not unduly delayed by inclement weather. We are
ready to proceed upon receipt of your authorization.

Dear Don:
As pointed out in our letter of January 18, 1978 regarding the effects of
recent Department of Transportation pavement overlays on West Coast Highway,
it is very difficult to accurately assess the amount of redesign and redrafting
necessary to revise the completed improvement plans until the investigative
work and analysis proposed in that letter is completed. For budget purposes,
however, we feel that an additional $2,000 for redesign, redrafting and
recomputation of quantities would be a realistic estimate at this time. We
also feel that an additional $750 will cover the costs of additional hydraulic
and hydrology work required by CALTRANS in excess of our original contractural
obligations. The total additional funds for budget purposes would therefore
be $9,000 as outlined herein and in our previous letter. Should the extent of
rework exceed our current expectations, we are confident that the provisions
contained in the original contract for an increase in scope up to ten percent
of the contract amount will be more than adequate to cover such additional
rework of the plans. The fees outlined above would, of course, re- establish
those portions of the survey control needed for construction staking of the
project which were lost due to the resurfacing.

CITY CLERK TO EXECUTE A SUPPLEMENTAL ENGINEER-
ING SERVICES AGREEMENT BETWEEN THE CITY OF
NEWPORT BEACH AND ROBERT BEIN, WILLIAM FROST
AND ASSOCIATES FOR DESIGN OF THE COAST HIGHWAY
IMPROVEMENTS
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain supplemental Engineering
Services Agreement between the City of Newport Beach and
Robert Bein, William Frost and Assocaites for design of the
Coast Highway improvements; and
WHEREAS, the City Council has reviewed the terms and
conditions of said supplemental Engineering Services Agreement
and finds them to be satisfactory and that it would be in the
best interest of the City to authorize the Mayor and City Clerk
to execute said agreement;
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that said agreement above described
is hereby approved, and the Mayor and City Clerk are authorized
and directed to execute the same on behalf of the City of
Newport Beach.

AGREEMENT FOR PROFESSIONAL
ENGINEERING SERVICES
(PREPARATION OF PLANS, SPECIFICATIONS, AND ESTIMATES FOR THE
WIDENING OF WEST COAST HIGHWAY (SOUTH.SIDE) FROM 57TH STREET
TO THE SANTA ANA RIVER).
THIS AGREEMENT is made and entered into this 11--64 day of
May, 1977 by and between the CITY OF NEWPORT BEACH, a municipal corporation,
hereinafter referred to as "CITY ", and the firm of ROBERT REIN, WILLIAM FROST
AND ASSOCIATES, Professional Environmental Engineers & Planners, hereinafter
referred to as "ENGINEER ".
WITNESSETH
WHEREAS, CITY's Circulation Element - Master Plan of Streets and
Highways has designated West Coast Highway between Newport Boulevard and the
westerly City boundary a major road (six lanes divided); and
WHEREAS, the roadway improvements for West Coast Highway (South Side)
between 57th Street and the Santa Ana River have not been completed to a major
cross section and CITY desires to complete these improvements as shown on
Exhibit "A" attached hereto and by this reference made a part hereof under a
project to be cooperatively financed with the County of Orange Arterial Highway
Financing Program (AHFP), hereinafter referred to as "PROJECT "; and
WHEREAS, ENGINEER has submitted a proposal to CITY (dated May 2, 1977)
to perform engineering services in connection with the design of PROJECT; and
WHEREAS,CITY desires to accept said proposal;
NOW, THEREFORE, in consideration of the foregoing, the parties hereto
agree as follows:
I. General
A. CITY engages ENGINEER to perform the services hereinafter
described for the compensation herein stated.
B. ENGINEER agrees to perform said services upon the terms
hereinafter set forth.
II. Services to be performed by ENGINEER
ENGINEER hereby agrees to perform the following services:
A. Perform topographic surveys needed to complete detailed
design of the PROJECT.

B. Prepare a drainage study of the area tributary to the
PROJECT, evaluate the existing systems, and provide the
necessary information for the design of additions to
the systems and /or a new system.
C. Prepare detailed plans for the construction of the
PROJECT. Plans will be prepared on standard plan and
profile sheets to be furnished by the CITY.
D. Prepare the necessary special provisions and bid proposal,
using the CITY's Standard Plans and Special Provisions as
well as the "STANDARD SPECIFICATIONS FOR PUBLIC WORKS CON-
STRUCTION," 1976 Edition, on Xerox masters suitable for
use by the CITY in calling for competitive bids.
E. Prepare a final ENGINEER'S. estimate based on the quantities
used in the bid proposal.
F. Provide professional consultation for interpretation of
plans and specifications and advice during construction of
the PROJECT.
G. Make provisions to insert design plans and specifications
for traffic signal modifications to be provided by the
CITY into the PROJECT plans and specifications.
H. Complete an investigation of underground utilities affecting
the PROJECT.
III. Duties of CITY
CITY hereby agrees to supply ENGINEER with the following informa-
tion and materials:
A. Title, Plan, and plan and profile sheets as needed for the
PROJECT.
B. Materials investigations and required pavement sections.
C. General geometric requirements for the street improvements.
D. The design plans and specifications for any traffic signal
modifications required for the project.
E. Available records pertaining to existing street and park
improvements, proposed park improvement, hydrology and
runoff information and existing City owned utilities.

Time of Completion
Final design, including all plans and other documents for the
PROJECT shall be submitted to the Public Works Director of the
CITY within nine (9) weeks after authorization to proceed. The
nine (9) weeks shall be ENGINEER's working time. Any review
time by CITY or other approving agencies shall be in addition
to time for.performance.

Original drawings, reports, notes, maps, and other documents shall
become the property of the CITY and may be reproduced and utilized
as deemed necessary by the Public Works Director.
Engineer in Charge
Orville Myers, RCE No. 11902, shall be the Project Engineer in
charge of PROJECT design.
Right of Termination
CITY reserves the right to terminate this agreement at any time
by giving ENGINEER seven (7) days' prior written notice; notice
shall be deemed served upon deposit in the United States Mail,
postage prepaid, addressed to the ENGINEER's business office at
1401 Quail Street, Newport Beach, California 92663. In the event
of termination due to errors, omissions, or negligence of ENGINEER,
CITY shall be relieved of any obligation to compensate ENGINEER
for that portion of the work affected by such errors, omissions,
or negligence of the ENGINEER. If this agreement is terminated
for any other reason, CITY agrees to compensate ENGINEER for the
actual services performed up to the effective date of the notice
of termination, on the basis of the fee schedule contained herein.
Fee Schedule and Payment
In consideration of the performance of the above- described
engineering services, CITY hereby agrees to pay ENGINEER an amount
based upon the hourly rate schedule set forth below. In no event
shall said amount be greater than Twenty Thousand Six Hundred
Fifty Dollars ($20,650.00) except as otherwise provided herein.

ENGINEER reserves the right to increase the unbilled portion
of the maximum fee by 10% on August 1, 1977.
A. Hourly rates for office and field personnel shall be as
follows:
Professional Consultation $50.00 /hour
Registered Engineer $35.00 /hour
Engineering, Design Calculations
and Supervision $25.00 /hour.
Drafting $21.00 /hour
Technicians $15.00 /hour
3 -Man Survey Party $75.00 /hour
These hourly rates will be subject to a 10% increase
August 1, 1977.
B. The contract amount shall be paid to ENGINEER as follows:
1. Monthly partial payments shall be based on the amount
earned each month, as determined by the fee schedule.
The sum of the monthly partial payments shall not
exceed ninety -five percent (95 %) of the maximum fee.
2. Balance of the total amount earned to be paid upon com-
pletion of work specified in Section II (Services to be
Performed by ENGINEER), or by July 1, 1978, whichever
occurs first;
3. In addition, CITY agrees to reimburse ENGINEER for the
actual cost of reproduction of copies of said plans and
related documents, as well as cost of aerial photography,
materials cost related to survey work, and other related
costs authorized in advance by the Public Works Director
and advanced by ENGINEER.
IX. Additional Work
Should ENGINEER complete any additional work not outlined in this
agreement, but authorized by CITY, the extra work shall be per-
formed on an hourly basis in accordance with the hourly rate
standard fee schedule set forth in Section VIII (Fee Schedule
and Payment) above.
X. PROJECT Scope Revisions
The scope of the PROJECT may be changed and the maximum fee
revised upon prior written approval of the Public Works Director

increase in the maximum fee does not exceed Two Thousand
Dollars ($2,000.00):. I.f the revisions to..the scope of the
PROJECT would result in ui °a3e in the maximum fee exceeding
Two Thousand Dollars ($2, 0), an amendment providing for
such revisions shall be processed and executed.by the parties
hereto.
XI. Hold Harmless
ENGINEER shall indemnify and save harmless CITY and its officers
and employees from any damage or liability arising from any
errors, omissions, or negligence in the ENGINEER's performance
of the engineering work and services required by this agreement
except for that portion of the work prepared and provided by
the.CITY and defined in Section III D.
IN WITNESS WHEREOF, the parties hereto.have.executed this agreement
on the date first above written.
