AMENDMENT TO
JANITORIAL MAINTENANCE AGREEMENT
(UNIVERSAL BUILDING MAINTENANCE COMPANY, INC.,)
(NEWPORT BEACH POLICE FACILITY)
THIS AMENDMENT TO AGREEMENT is made and entered into
this IAL day of Q� �j t� 1979, by and between
the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter
referred to as "City," and UNIVERSAL BUILDING MAINTENANCE COMPANY,
INC., hereinafter referred to as "Universal."
W I T N E S S E T H
WHEREAS, City and Universal have entered into a month-
to -month janitorial maintenance agreement dated August 11, 1977;
and,
WHEREAS, on September 13, 1978, said janitorial maintenance
agreement was amended to adjust the payment for services; and,
WHEREAS, Universal has requested an amendment to said
agreement to increase, again, the payment for services; and,
WHEREAS, the City Council has determined that the request
for increase in payment is reasonable and justifiable in light
of increases in the federal minimum wage,
NOW, THEREFORE, in consideration of the mutual covenants
contained herein, the parties hereto agree as follows:
1. Paragraph 1, page 1, of the Janitorial Maintenance
Agreement entered into between City and Universal, dated August 11,
1977, is hereby amended to read:
"1. Payment for Services. In consideration for
the services to be performed by Universal, City agrees
to pay to Universal the sum of Two Thousand Four Hundred
Forty Six Dollars ($2,446.00) per month, payable on the
first day of each month."
2. The effective date of said adjustment to the payment
for services shall be January 1, 1980.

3. All other terms and conditions contained in
said Janitorial Maintenance Agreement, dated August 11, 1977,
not inconsistent herewith, shall remain in full force and
effect.
IN WITNESS WHEREOF, the parties hereto have caused this
agreement to be made and executed on the day and year first
above written.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF NEWPORT BEACH AUTHORIZING THE MAYOR AND
CITY CLERK TO EXECUTE AN AMENDMENT TO JANITORIAL
MAINTENANCE AGREEMENT (POLICE FACILITY)
WHEREAS, there has been presented to the City Council
of the City of Newport Beach an Amendment to Janitorial Main-
tenance Agreement to increase the monthly payment for
janitorial services at the Police Facility; and
WHEREAS, the City Council has reviewed said
Amendment and found it to be fair and equitable.
NOW, THEREFORE, BE IT RESOLVED that the City
Council of the City of Newport Beach hereby authorizes the
Mayor and City Clerk to execute an Amendment to Janitorial
Maintenance Agreement between the City of Newport Beach and,
Universal Building Maintenance Company, Inc.

RECOMMENDATION:
It is recommended that the City execute an amended Janitorial Maintenance
Agreement between the City of Newport Beach and Universal Building Main-
tenance Company, Inc.

The amended agreement reflects a slight increase in cost for maintaining
the Police facility. Universal Building Maintenance cites a 7% increase
in the Federal Minimum Wage, effective January 1, 1979, as well as other
increases in their costs to provide service since September 1978 as the cause
for their request to raise their fee. The increase amounts to 4.6 percent,
or $108 additionally per month, from $2,338 monthly to $2,446 monthly. The
yearly cost would therefore rise accordingly from $28,056 to $29,352 annually.

BEACH, a mu ipal corporation, hereinafter referred to as
"City" and UNIVERSAL BUILDING MAINTENANCE CO., INC., hereinafter
referred to as "Universal"
W I T N E S S E T H:
WHEREAS, City desires to have the janitorial mainten-
ance services for the Newport Beach Police Facility located at
870 Santa Barbara Drive, Newport Beach, California performed by
an outside private company; and
WHEREAS, Universal is equipped to perform such services
and has presented City with a Janitorial Maintenance Proposal; and
WHEREAS, it is City's desire to employ Universal to
perform the janitorial maintenance services as set forth in
this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants
contained herein, the parties hereto agree as follows:
1. Payment for Services. In consideration for
the services.to be performed by Universal, City agrees to pay
to Universal the sum of Two Thousand, One Hundred Forty -Five
Dollars ($2,145.00) per month, payable on the first day of each
month.
2. Maintenance. All work to be performed by Universal
shall be performed in a substantial and workmanlike manner
according to accepted standards of practice in the industry. Said
work shall be performed in accordance with the Specifications
and Operational Objectives as set forth in Exhibit "A" attached

hereto and made a part herein by this reference.
3. Term. The term of this agreement shall commence
on September 1, 1977 and shall continue on a month to month
basis subject to termination as hereinafter provided.
4. Termination and Notice Thereof. It is hereby
mutually agreed that either party may terminate this agreement
with or without cause upon thirty (30) days written notice.
All notices herein provided to be given, or which may be given,
by either party to the other, shall be deemed to have been
fully given when made in writing and deposited in the United
States Mail with postage prepaid, and addressed as follows:

The address to which the notices shall or may be
mailed as aforesaid by either party shall or may be changed by
written notice, given by such party to the other, as hereinbefore
provided; but nothing herein contained shall preclude the giving
of any such notice by personal service.
5. Hold Harmless Insurance. Universal agrees to
release and to protect and save harmless City and its officers,
agents and employees from any and all claims, loss or liability
on account of injury, loss or injury to any person or persons
or property suffered or sustained in, on, or about the premises
or elsewhere by any person or persons whomsoever in any manner
directly or indirectly arising out of or by reason of the conduct
of Universal's business.
Universal shall, at all times during the term of
this agreement, maintain in full force and effect, with respect
to this agreement, a policy or policies of comprehensive liability
insurance (bodily injury, including death, property damage,
product's liability, contractual and automobile) with minimum

limits of Five Hundred Thousand Dollars ($500,000.00) combined
single limit, naming the City and its officers, agents and
employees as additional insureds and further providing an
endorsement as follows:
"1. The City of Newport Beach, its officers and
employees are hereby declared to be additional
insureds in the policy described insofar as they
may be held liable for injuries or death to a
person or persons, or damage to property occurring
in or about the premises, whether or not caused
by their sole or contributing negligence. This
policy shall be primary and non - contributing with
any other insurance available to the City of
Newport Beach, and will include a severability
of interest clause.
2. If this policy is cancelled or materially
altered so as to affect the coverages, at least
thirty (30) days prior written notice by registered
mail of such cancellation or alteration will be
sent to the City of Newport Beach, in care of the
City Manager, 3300 Newport Boulevard, Newport
Beach, California.
Said policy or policies shall be in a form satisfactory
to City and certificates issued by the insuring company shall
be submitted to City concurrently with the execution of this
agreement. Certificates for each and any new or renewal policy
or policies effective during the term of this agreement shall
be submitted to City at least twenty (20) days prior to the
effective date of such policy or policies.
6. Workman's Compensation Insurance. Universal
shall obtain and maintain any necessary workman's compensation
insurance for all employees of Universal, and shall provide
City with a certificate evidencing such insurance coverage
issued by an admitted insurer or a consent to self- insure issued
by the State of California, Director of Industrial Relations.
IN WITNESS WHEREOF, the parties have executed this
Agreement as of the date and year first above written.

A. IMMEDIATE OBJECTIVES
As stated in the letter of introduction, Universal's
immediate objectives involve a general upgrade of the
janitorial condition, and specifically in the follow -
ino areas:
1. EXECUTIVE OFFICES

periphery of carpeted areas
(b) Baseboards cleaned to original condition
(c) Detail cleaning of furniture
(d) Detail cleaning of ceiling A/C registers
2. RESTROOMS
(a] Soap scum removed from bottom sides of sinks
(b) Dust and scum removed from plumbing pipes under
sinks
(c) Scum removed from floor under toilets
(d) Tile base coping cleaned free of scum
(e] Wash tile walls
3. TILED AREAS
(a) Attention to daily floor care of extreme
importance
# NOTE: We plan to correct these items within the scope of
the contract and ask your indulgence for sufficient
time.
B. LONG RANGE OBJECTIVES
Universal's objective within the scope of the specifications
(Minimum standards of performance) are:
1. MANAGE THE CONTRACT
(a) Provide for a Facilities Supervisor
1. Plan the daily work in coordination with
your special requirements and the specifications.
2. Supervise and measure the daily work against the
rating index objective.
3. Secure the Daily Operations in accordance with
the specifications.
(b) Supervisors' Daily Report covering preventative
maintenance requirements and special curcumstances
to be brought to the attention of Captain Heeres,
(c) Monthly Inspection tours with representative of the
Police Department.

OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE A JANITORIAL MAINTENANCE
AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND
UNIVERSAL BUILDING MAINTENANCE COMPANY, INC.
FOR THE NEWPORT BEACH POLICE FACILITY AT 870
SANTA BARBARA DRIVE
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain Janitorial Maintenance
Agreement between the City of Newport Beach and Universal
Building Maintenance Company, Inc. .in connection with janitorial
maintenance services for the Newport Beach Police Facility at
870 Santa Barbara Drive; and
WHEREAS, the City Council has reviewed the terms
and conditions of said contract and finds them to be satisfactory
and that it would be in the best interest of the City to
authorize the Mayor and City Clerk to execute said contract;
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that said agreement above described
is hereby approved, and the Mayor and City Clerk are authorized
and directed to execute the same on behalf of the City of
Newport Beach.
