AMENDED AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES
SOILS REPORT ON BALBOA ISLAND BRIDGE
THIS AGREEMENT is made and entered into this a zczd)v day of
1978, by and between the -.City of Newport Beach, a municipal
corporation, hereinafter referred to as "CITY" and the firm of Converse,
Davis, Dixon Associates, Geotechnical Consultants, hereinafter referred to
as ENGINEER.
W I T N E S S E T H
WHEREAS, CITY entered into an Agreement for professional engineer-
ing services - -Soils Report on Balboa Island Bridge -- hereinafter referred to
as AGREEMENT, dated August 19, 1977; and
WHEREAS, during the field drilling operations to collect data
for the said report,unforeseen difficulties were encountered in collecting
said data due to unusual working conditions at the site; and
WHEREAS, additional time was spent collecting said data that was
not anticipated by ENGINEER in making the proposal for AGREEMENT; and
WHEREAS, the cost of authorized additional work is Three Thousand
Dollars($3,000.00) in excess of the agreed to fee under the AGREEMENT; and
WHEREAS, CITY agrees to a fee increase of Three Thousand Dollars;
NOW THEREFORE, in consideration of the foregoing, the parties
hereto agree as follows:
ENGINEER and CITY agree to a revised total fee for work under
said AGREEMENT of Nineteen Thousand Three Hundred and Twenty -five Dollars
($19,325.00) arrived at as follows:
Original Fee per AGREEMENT $14,825.00
Authorized Amendment per AGREEMENT $ 1,500.00
Additional Unforeseen work 1 $ 3,000.00

A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF NEWPORT BEACH AUTHORIZING THE MAYOR AND
CITY CLERK TO EXECUTE AN AMENDED AGREEMENT
FOR PROFESSIONAL ENGINEERING SERVICES BETWEEN
THE CITY OF NEWPORT BEACH AND CONVERSE, DAVIS
DIXON ASSOCIATES FOR SOIL REPORT ON BALBOA
ISLAND BRIDGE
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain amended Agreement
For Professional Engineering Services between the City of
Newport Beach and Converse, Davis Dixon Associates in connec-
tion with a soil report on Balboa Island Bridge; and
WHEREAS, the City Council has reviewed the terms and
conditions of said agreement and finds them to be satisfactory
and that it would be in the best interest of the City to
authorize the Mayor and City Clerk to execute said agreement;
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that said agreement above described
is approved, and the Mayor and City Clerk are hereby authorized
and directed to execute the same on behalf of the City of
Newport Beach.

AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES
SOILS REPORT ON BALBOA ISLAND BRIDGE
THIS AGREEMENT is made and entered into this day of
1977, by and between the City of Newport Beach, a
municipal corporation, hereinafter referred to as "CITY" and the firm of
Converse, Davis, Dixon Associates, Consulting Engineers and Geologists,
hereinafter referred to as "ENGINEER ".
WITNESSETH
WHEREAS, CITY is contracting with the firm of Boyle Engineering
Corporation, hereinafter referred to as " BOYLE" for the preparation of a
"Report on the Structural Condition of Balboa Island Bridge ", hereinafter
referred to as "BRIDGE REPORT "; and
WHEREAS, CITY intends to have a soils report, hereinafter referred
to as "SOILS REPORT ", prepared to provide input to BOYLE during preparation
of said BRIDGE REPORT; and
WHEREAS, ENGINEER has submitted a proposal to CITY to perform
engineering services in connection with the preparation of said SOILS REPORT;
and
WHEREAS, CITY desires to accept said proposal;
NOW THEREFORE, in consideration of the foregoing, the parties hereto
agree as follows:
I. General
A. CITY engages ENGINEER to perform the services hereinafter
described for the compensation herein stated.
B. ENGINEER agrees to perform said services upon the terms
hereinafter set forth.
II. Services to be Performed by ENGINEER
ENGINEER agrees to perform the following services:
1. Prepare a soils report to contain the following:
A. Complete boring logs of six (6) bore holes. Locations
to be set by CITY and /or BOYLE.
B. Allowable pile capacity for existing piles.
C. Allowable lateral load on piles.
D. Probable cause of pile settlement at Bents #2 and #3.
E. Recommendations for increasing load capacity of piles
at Bents #2 and #3, including construction methods.

F. Recommendations on new pile types including method
of determining driving resistance, pile capacity curves,
and group efficiency. If drilled piles are feasible
recommendations will be included
2. Coordinate SOILS REPORT preparation with BOYLE's prepara-
tion of BRIDGE REPORT.
III. Duties of CITY
CITY hereby agrees to supply ENGINEER with the following:
1. Permission from The Irvine Company to launch drilling
barge from a parking area adjacent to the bridge.
2. Permits for work from pertinent agencies.
3. Available as -built drawings of existing bridge piles
and channel profile information.
4. Any additional information available which the parties
hereto agree may be beneficial to the preparation of the
SOILS REPORT.
IV. Ownership of REPORT Documents
Original drawings, reports, notes, maps, and other documents
shall become the property of the CITY and may be reproduced
and utilized as deemed necessary by the Public Works Director.
V. Engineer in Charge
Thomas D. Lake, RCE No. 14721 shall be the Engineer in charge
of SOILS REPORT preparation.
VI. Completion of REPORT
Two (2) copies of a draft SOILS REPORT shall be completed and
submitted to CITY by September 15, 1977.. Five (5) copies of
the final SOILS REPORT shall be submitted to CITY for incor-
poration into BOYLE's BRIDGE REPORT by October 15, 1977.
VII. Fee Schedule and Payment
In consideration of the performance of the above described
engineering services, CITY hereby agrees to pay ENGINEER an
amount based upon the hourly rate schedule set forth below.
In no event shall said amount be greater than Fourteen Thousand
Eight Hundred and Twenty Five Dollars ($14,825.00), except
as otherwise provided herein.

A. Hourly rates for office and field personnel shall be
as follows:
Staff Supervision and Consultation $38.00 /hr
Engineering and Geology $34.00 /hr
Foundation Services $28.00 /hr
Grading Services $25.00 /hr
Compaction Testing $22.00/hr
Laboratory Testing $22.00 /hr
Geotechnical Drafting $20.00 /hr
B. Rates for drilling costs, including the cost of a field
engineer will be as follows:
Mobilization and demobilization $2,525.00 Lump Sum
Drilling $1,075.00 /day (8 hours)
Overtime Rate (Drilling) 155.00 /hr
C. The contract amount shall be paid to ENGINEER as follows:
1. Monthly partial payments shall be based on the amount
earned each month, as determined by the fee schedule.
The sum of the monthly partial payments shall not exceed
ninety percent (90 %) of the maximum fee;
2. Balance of the total amount earned to be paid upon
completion of work specified in Section II (Services
to be Performed by ENGINEER), or by January 1, 1978
whichever occurs first;
3. In addition CITY agrees to reimburse ENGINEER for the
actual cost of reproduction of copies of said SOILS
REPORT and related documents, as well as computer
costs, plus ten percent (10 %) overtime costs at twenty -
five percent (25 %) of hourly rates if authorized by
CITY, and other related costs authorized by the
Public Works Director and advanced by ENGINEER.
VIII. Right of Termination
CITY reserves the right to terminate this agreement at any time
by giving ENGINEER three (3) days prior written notice; notice
shall be deemed served upon deposit in the United States Mail,
postage prepaid, addressed to any of ENGINEER's business offices.
In the event of termination due to fault of ENGINEER, CITY
shall be relieved of any obligation to compensate ENGINEER. if

this agreement is terminated for any reason other than fault of
ENGINEER, CITY agrees to compensate ENGINEER for the actual services
performed up to the effective date of the notice of termination, on
the basis of the fee schedule contained herein.
IX. Amendment
The scope of services to be furnished by ENGINEER may be changed
and the maximum fee amended upon prior written approval of the
Public Works Director, except that any increase in the maximum
fee exceeding Fifteen Hundred Dollars ($1500.00) shall be
approved by City Council.
X. Assignment
This agreement or any portion thereof shall not be assigned
without the written consent of the CITY.
XI. Hold Harmless
ENGINEER shall assume the defense of and indemnify and save
harmless the CITY, and its officers and employees, from all
claims, loss, damage, injury, and liability, directly arising
from any errors, omissions, or negligence in ENGINEER's per-
formance of this agreement or from the engineering work and
services herein provided.

WHEREAS, there has been presented to the City
Council of the City of Newport Beach certain professional
engineering services agreements between the City of Newport
Beach and Boyle Engineering Corporation; Converse, Davis,
Dixon Associates; and H. V. Lawmaster Testing Engineers for
the preparation of a Report on Structural Condition of the
Balboa Island Bridge; and
WHEREAS, the City Council has reviewed the terms
and conditions of said agreements and finds them to be
satisfactory and that it would be in the best interest of the
City to authorize the Mayor and City Clerk to execute said
aforementioned agreements;
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that said agreements above
described are hereby approved, and the Mayor and City Clerk are
authorized and directed to execute the same on behalf of the
City of Newport Beach.
