Doris George City Clerk eg A G R E E M E N T COAST COMMUNITY COLLEGE DISTRICT (Arts Festival) This Agreement is made and entered into this /[Z Z:4. day of , 1977, by and between COAST COMMUNITY COLLEGE DISTRICT, through Coastline Community College, hereinafter referred to as "College" and the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter referred to as "City " . W I T N E S S E T H: WHEREAS, the College and the City desire to initiate a joint effort to present an Arts Festival in the City of Newport Beach for the enrichment of the general public; and WHEREAS, the City desires to work with the College in the preparation and presentation of an Arts Festival in the City of Newport Beach to be held from May 13 through May 21, 1978 culminating on May 20 and 21, 1978. NOW, THEREFORE, IN CONSIDERATION of the foregoing, the parties hereto agree as follows: 1. Ti =e Arts Festival will be held at various locations in Newport Beach including Fashion Island Shopping Center on May 20 and 21, 1978, the schedule of events will be based upon a schedule to be determined mutually between the College and the Arts Commission of the City. 2. The City, within the amounts budgeted therefor, shall provide and pay for necessary street banners, posters, festival arrangements, the production and printing of a festival program, the stage or stages necessary, general publicity as needed, provide chairs, the employment of stage managers as needed, a technical director, a graphic designer and fifty percent (500) of the employment cost of a scenic designer_, 4 0 0 of whom shall be an independent contractor to City, and shall designate a chairperson for the Arts Festival. 3. the College shall provide and pay for festival publicity, including any necessary press releases, radio releases and printed matter, a printing directory of Orange County Artists, printing, distribution, cash control and account- ing of tickets for the play to be produced during the Arts Festival, if it is determined by the City and College that tickets for the play will be necessary during the Arts Festival, the printing of play programs and payment of fifty percent (50 %) of the employment cost of a scenic designer, who shall be an independent contractor of College and one hundred percent (1008) of the employment cost of a stage director for the play. Further, College shall provide and pay for the festival director, who shall be an independent contractor of College, who will be directly responsible to City in the production and direction of the Arts Festival. 4. Promotional material produced under this agreement regarding the Arts Festival shall include a statement identifying Coastline Community College and the City of Newport Beach as co- sponsors of the Arts Festival. 5. Either party to this agreement may terminate the agreement upon forty -five (45) days prior written notice to the other party, each party shall be responsible to pay and shall pay for costs incurred in their respective areas of responsibility for payment, to the date of termination, provided, further that financial commitments made to the festival director or any others as of the date of termination will be honored and paid by the party making the commitment. 6. Neither College nor any officer or employee thereof shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by City under or in connection with any work, authority or jurisdiction delegated -2- E to City under this agreement 0 It is also understood and agreed that, pursuant to Government Code Section 895.4 City shall fully indemnify and hold College and its contractors harmless from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted' to be done by City under or in connection with any work, authority or jurisdiction delegated to City under this agreement. 7. = q'either City nor any officer or employee thereof, is responsible for any damage or liability occurring by, reason of anything done or omitted to be done by College and its contractors and festival staff under or in connection with any work, authority or jurisdiction not delegated to City under this agreement. It is also understood and agreed that, pursuant to Government Code Section 895.4 College shall fully indemnify and hold City harmless from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted to be done by College under or in connection with any work, authority or jurisdiction not delegated to City under this agreement. Doris George City Clerk DG:ms Encls. cc: City Arts Commission DEC I2 1977 By Nr CITY COUNCIL RESOLUTION NO. 9 24 6 CITY OF NMVW BEACH A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND COAST COMMUNITY COLLEGE DISTRICT IN CONNECTION WITH THE 1978 NEWPORT BEACH CITY ARTS FESTIVAL WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain agreement between the City of Newport Beach and Coast Community College District in connection with the 1978 Newport Beach City Arts Festival; and WHEREAS, the City Council has reviewed the terms and conditions of said agreement and finds them to be satisfactory and that it would be in the best interest of the City to authorize the Mayor and City Clerk to execute said agreement; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said agreement above described is hereby approved, and the Mayor and City Clerk are authorized and directed to execute the same on behalf of the City of Newport Beach.
