00 ASSIGNMENT AGREEMENT
BETWEEN THE CITY OF NEWPORT BEACH AND
V SCA OF CA, LLC
THIS ASSIGNMENT AGREEMENT ("Assignment") is made and entered into as of
this 13th day of April 2022 ("Effective Date"), by and between the CITY OF NEWPORT
BEACH, a California municipal corporation and charter city ("City") and SCA OF CA, LLC,
a Delaware limited liability company ("SCA"), whose address is 4141 Rockside Road,
Suite 100, Seven Hills, Ohio 44131 and is made with reference to the following:
RECITALS
A. On April 28, 2020, City and Jonset Corporation, a California corporation doing
business as Sunset Property Services ("Jonset") entered into a
Maintenance/Repair Services Agreement for Street Sweeping Services
commencing on April 28, 2020, and terminating on May 31, 2030 ("Services
Agreement").
B. Subsequently, SCA acquired Jonset.
C. The parties desire to enter into this Assignment to assign the rights under the
Services Agreement from Jonset to SCA.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties
as follows:
1. ASSIGNMENT
SCA hereby accepts the assignment of the Services Agreement from Jonset and
hereby assumes, agrees and undertakes to perform all obligations of Jonset pursuant to
the Services Agreement as of the Effective Date. Any reference to Jonset and/or
Contractor in the Services Agreement, shall be deemed to be a reference to SCA.
As of the Effective Date, Jonset shall have no further rights of any kind whatsoever
under the Services Agreement.
2. CITY CONSENT TO ASSIGNMENT
Pursuant to Section 16 of the Services Agreement, City approves of this
Assignment.
3. INTEGRATED CONTRACT
Except as expressly modified herein, all other provisions, terms, and covenants
set forth in the Services Agreement shall remain unchanged and shall be in full force and
effect.
4. COUNTERPARTS
This Assignment may be executed in two (2) or more counterparts, each of which
shall be deemed an original and all of which together shall constitute one (1) and the
same instrument.

IN WITNESS WHEREOF, the parties hereto have executed this Assignment on
the date first above written.
