We are writing to you to advise you of several current trends taking
place in our janitorial service industry which are significantly
affecting our ability to effectively service our regularly scheduled
and loyal accounts, and to advise you that we do need to increase our
monthly charges for service, commencing December 1, 1987.
The central problem is the tight labor market in this area for our
type of labor requirement. As you know, we are budgeted at or near
the legal minimum wage level and that wage has dropped from fifty -
three percent of the average manufacturing wage in 1968 to somewhat
over thirty -four percent this year. The simple and obvious result
is that job - seekers in this category can and do find jobs at well
above the wages we are currently able to offer. The problem is
steadily becoming more acute.
The other problem we encounter is that the cost of insurance is also
rising. Liability insurance increased dramatically last year and that
increase was largely absorbed by Universal. Workmens' Compensation
Insurance costs are also soaring, fueled by inflationary trends in the
medical industry and by exorbitant claims pursued by many workers
recently in California. These costs continue to erode our ability to
hold our costs down.
Our main interest here is clearly to maintain service consistency, and
we think that it is our responsibility to report to you therefore, the
reasons behind this increase request as facts and not as complaints.

II
The terms and provisions contained in this agreement and the
attachments referred to and attached herein, shall constitute the
entire and only agreement between the parties. Any changes or modifi-
cations hereof must be in writing and signed by the parties hereto.
COMPANY accepts the services of CONTRACTOR and acknowledges receipt of
a copy of this agreement. This quotation will be subject to revisions
if there are changes in the square footage, scope of work or increase
in Federal or State minimum wage rate.
III
All work to be performed by CONTRACTOR shall be performed in sub-
stantial and workman -like manner according to accepted standards of
practice in the trade. The performance of CONTRACTOR is subject to
and contingent upon strikes, accidents, acts of God, fire, weather,
government restrictions or other delay beyond CONTRACTOR'S control.
IV
It is hereby mutually agreed that either party may terminate this
Agreement upon thirty (30) days written notice. Said notice is to be
made by either registered mail or personal service.
V
The COMPANY agrees that it will not, either during the term of this
Agreement or for a period of ninety (90) days following its termina-
tion, hire for its own employment any of the employees of the CONTRAC-
TOR who performed services at any time in carrying out the terms of
this contract.

VI
CONTRACTOR shall maintain such insurance as will protect him from
any claims under Workers' Compensation. CONTRACTOR shall also main-
tain public liability and automobile insurance and will furnish
COMPANY with a certificate indicating this insurance in the amounts of
$1,000,000.00 public liability, and $1,000,000.00 property damage.
Should COMPANY require provision for a listing as "additional
insured ", an additional fee will be charged.
VII
This agreement shall be governed by the laws of the State of Cali-
fornia. If any provision in the contract is held by any court to be
invalid, void, or unenforceable, the remaining provisions shall never-
theless continue in full force.
VIII
It is hereby mutually agreed that any and all disputes arising
between the parties shall be resolved by arbitration and that a
reasonable sum for attorneys fees shall be awarded the prevailing
party in any such action.

In consideration for the hereinabove mentioned services to be
performed by CONTRACTOR, COMPANY agrees to pay to CONTRACTOR the sum
of see _listing _ below _____ ________________ per month, payable
on the first of each month. Specific services to be performed for
this sum by CONTRACTOR are attached hereto as EXHIBIT "A" and
incorporated herein by reference. An interest charge of ten (10)

BACKGROUND: On August 8, 1977, the City Council approved an
agreement with Universal Building Maintenance Company to provide
janitorial maintenance services at the Police Facility. On
September 25, 1978, a similar agreement was approved in relation
to the City's Branch Library System. Both of the agreements are
currently in effect. The contract rates for these agreements
have been increased annually, based upon increases in the
Federal Minimum Wage and related cost considerations.
PROPOSED RATE INCREASES
In the attached letter, Universal is requesting an increase in
the rates charged for contract maintenance at the Police and
Library Departments. The increases, if approved, would result
in the following monthly costs:

DISCUSSION: It has been estimated that the cost of contracting
these services, as opposed to performing them in- house, has
resulted in a cost savings of approximately $10,000 annually
in the case of providing each of the two departments with
required maintenance. The requested increases are similar
in amounts to previously approved annual increases and amount
to 3.8 %. This appears justified given increased insurance
premiums and inflationary factors in this highly labor inten-
sive industry. Additionally, it is felt that the increases,
if approved, would not significantly impact the relative cost
savings experienced to date. Finally, both the Police and
Library Departments have expressed satisfaction with the
services rendered and are supportive of the proposed rate
adjustments.

the past calendar year, will increase our overhead cost totals in
a most significant manner. We are, therefore, respectfully
requesting a contract increase from the City of Newport Beach for
1986 janitorial operations.
Please be assured that the tremendous increase in our insurance
coverage costs is due, not to any poor claim history on our part,
but rather on the turmoil now taking place in the liability
insurance industry, with their current financial instability and
startingly higher resultant rates. For us at Universal there is,
therefore, no alternative but to request compensatory increases
from our customers and we do hope that you will grant us the
following change as of January 1, 1986:

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
NEWPORT BEACH APPROVING RATE INCREASES FOR
UNIVERSAL BUILDING MAINTENANCE IN CONNECTION
WITH JANITORIAL SERVICES FOR THE POLICE
DEPARTMENT AND CITY LIBRARY FACILITIES.
WHEREAS, ON December 10, 1984, the City Council of the
City of Newport Beach adopted Resolution No. 84 -145, which estab-
lished rates for janitorial services for the Police Department and
Library facilities; and
WHEREAS, on November 25, 1985, the City received a letter
notice from Universal Building Maintenance concerning their rate
increases for janitorial services, effective January 1, 1986, which
services are presently being performed for the Police Department
and Library facilities; and
WHEREAS, the Office of the City Manager has recommended
that said increased rates be paid as follows:

Background
On August 8, 1977 the City Council approved an agreement with Universal
Building Maintenance Company to provide janitorial maintenance services
at the Police facility. On September 25, 1978 a similar agreement was
approved in relation to the City's branch library system. Both of the
agreements are currently in effect. The contract rates for these agree-
ments have been increased annually, based upon increases in the Federal
Minimum Wage and related cost considerations.
Proposed Rate Increases
In the attached letter, Universal is requesting an increase in the rates
charged for contract maintenance at the Police and Library Departments.
The increases, if approved, would result in the following monthly costs:

We are again at the time of year when budgetary considerations
become the paramount task at hand. Our 1986 year has been
better than we originally anticipated, hopefully through atten-
tive management and through a record of strong growth in volume,
but in order to continue to provide you with an acceptable level
of janitorial service we must, as before, ask our customers for
small increases to offset our ever - rising costs at the same time
that we are making every effort to operate as cost - effectively
as possible with each of our customers' dollars.
As you undoubtedly know, our liability and workmen's compensation
insurance rates has been a major cost consideration this year,
and indications are that they will continue to be so. The three
hundred percent increase which we faced last year in rates may
be stabilizing. However we are still not sure of this at the
present time and are awaiting pending rate quotations. The effect
on our profitability this past year from these astounding industry-
wide rate increases was significant, and Universal was not able to
pass on to our customers the full impact of the increases. Addi-
tionally, labor rates continue their upward climb and we must
upgrade pay scales now in order to remain competitive in this labor
market.
At your facility we would like to respectfully request a small

Background
On August 8, 1977, the City Council approved an agreement with
Universal Building Maintenance Company to provide janitorial
maintenance services at the Police facility. On September 25,
1978, a similar agreement was approved in relation to the City's
branch library system. Both of these agreements are currently
in effect. The contract rates for these agreements were in-
creased in January 1980 and January 1981, based upon increases
in the Federal Minimum Wage and related cost considerations.
Proposed Rate Increases
In the attached letters, Universal is requesting an increase in
the rates charged for contract maintenance at the Police and
Library Departments. As noted in the letters, the increases are
being requested to help offset an upward wage trend and, hence,
to assist the company in retaining quality personnel. The
increases, if approved, would result in the following monthly
costs:

Discussion
It has been estimated that the cost of contracting these
services, as opposed to performing them in- house, has resulted
in a cost savings of approximately $10,000 annually in the
case of providing each of the two departments with required
maintenance. The requested increases appear justified given
inflationary factors in this highly labor intensive industry.
Additionally, it is felt that the increases, if approved,
would not significantly impact the relative cost savings
experienced to date. Finally, both the Police and Library
Departments have expressed satisfaction with the services
rendered and are supportive of the proposed rate adjustments.
Recommendation
It is recommended that the City Council adopt Resolution(s)
No. approving the subject rate increases.

THIS AGREEMENT is made and entered into this I day

BEA H, a mun ipal corporation, hereinafter referred to as
"City," and UNIVERSAL BUILDING MAINTENANCE COMPANY, INC.,
hereinafter referred to as "Universal."
WITNESSETH:
WHEREAS, City and Universal have entered into a
Janitorial Maintenance Agreement for services dated September 13,
1978; and
WHEREAS, on September 13, 1978, said Agreement was
amended to adjust the payment for services; and
WHEREAS, on December 18, 1979, said Agreement was
amended to adjust the payment for services; and
WHEREAS, Universal has requested an amendment to said
Agreement to increase the payment for services; and
WHEREAS, the City Council has determined that the
request for said increase is reasonable and justifiable,
NOW, THEREFORE, in consideration of the foregoing, the
parties hereto agree as follows:

1. Paragraph 1 of the Janitorial Maintenance Agreement
dated August 11, 1977, is hereby amended to read:
"1. Payment for Services. In
consideration for the services to be performed
by Universal, City agrees to pay to Universal
the sum of Two Thousand Six Hundred Fifty -
Eight Dollars ($2,658.00) per month, payable
on the first day of each month."
2. The effective date of said adjustment to the
payment for services shall be January 1, 1981.
3. The remainder of the terms and conditions contained
in said Janitorial Maintenance Agreement dated August 11, 1977,
and any amendments thereto, shall remain in full force and effect
and continue to be binding on the parties hereto.

THIS AMENDMENT TO AGREEMENT is made and entered into
this 1C_7 day of 19_11 , by and between
the CITY OF NEWPORT BEACH, a Municipal Corporation, hereinafter
referred to as "City," and UNIVERSAL BUILDING MAINTENANCE COMPANY,
INC., hereinafter referred to as "Universal."
W I T N E S S E T H
WHEREAS, City and Universal have entered into a month-
to month janitorial maintenance agreement dated October 3, 1978;
and,
WHEREAS, on December 17, 1979, said janitorial maintenance
agreement was amended to adjust the payment for services; and,
WHEREAS, Universal has requested an amendment to said
agreement to increase, again, the payment for services; and,
WHEREAS, the City Council has determined that the request
for increase in payment is reasonable and justifiable in light
of increases in the federal minimum wage,
NOW, THEREFORE, in consideration of the mutual covenants
contained herein, the parties hereto agree as follows:
1. Paragraph 1, page 1, of the Janitorial Maintenance
Agreement entered into between City and Universal, dated October 3,
1978, is hereby amended to read:
"1. Payment for Services. In consideration for
the services to be performed by Universal, City
agrees to pay to Universal the sum of Two Thousand
Five Hundred Sixty Five ($2,565.00) per month, payable
on the first day of each month.
2. The effective date of said adjustment to the payment
for services shall be January 1, to be apportioned as
follows:

3. All other terms and conditions contained in said

Subject: Janitorial Maintenance Contract Rate Increase
The Newport Beach City Council, on December 10, 1979 approved rate increases
for janitorial maintenance at the City Libraries and the Police Facility as
proposed by Universal Building Maintenance.
Enclosed for your execution is the original copy of the subject agreement
for the Libraries. It is my understanding that you have already signed the
agreement pertaining to the Police Facility. Following execution of this
document, please return it to the City Clerk's Office, 3300 Newport Boulevard,
Newport Beach, CA 92663. You will be sent copies of both contract amendments
following execution by the Mayor.
As you know, the City recently terminated Universal's contract at the City
Hall /City Yard complexes. This action was taken in response to a very
attractive proposal from Western Counties Maintenance Company, which offered
the additional services of twice monthly window washing and twice yearly
carpet cleaning at rates commensurate with those charged by Universal. Please
be advised that following the commencement of Western's service at the begin-
ning of January, staff will be closely evaluating the two maintenance companies
to determine which offers the most cost - effective service package. It may,
therefore, be to Universal's benefit to evaluate the level of service currently
being provided to the Libraries and the Police Facility in terms of possible
improvements. Specifically, in light of the approved rate increases, Universal
should give serious consideration to possibly instituting the types of afore-
mentioned additional services of window washing and carpet cleaning as part
of its current contract with the City.

this matter. .

On September 25, 1978, the City Council approved an agreement with Universal
Building Maintenance Company to provide janitorial maintenance services to
the City's Library System.
Proposed Rate Increase
In a letter dated November 12, 1979, Universal requests a library maintenance
contract rate adjustment of approximately 4% (Attachment 1). As noted in the
letter, this request is made in order to help offset a 7% increase in the
mandatory Federal minimum wage, effective January 1, 1980. The increase, if
approved, would result in the following monthly contract costs:

It has been estimated that the cost of contracting this service at the libraries,
as opposed to performing it in- house, has resulted in a cost - savings in excess
of $800 per month, and $10,000 per year. The requested increase is minimal,
and given inflationary factors, would not significantly impact the relative
cost - savings.
The City Librarian indicates no opposition to the proposed rate increase, and
states that janitorial maintenance service at the library appears to have improved
since initial implementation of the contract.

Recently, the City terminated the services of Universal at the City Hall
complex in a response to an attractive proposal from another maintenance
firm. During the next few months, staff will be evaluating the services
provided by the two companies in order to determine which actually provides
more cost - effective service. Upon making that determination, a report to
the Council on any recommended changes could be made.
Recommendation
It is recommended that the City Council adopt Resolution No. approving

Dear Mr. Bolint:
As you may know, we face a 7% increase in the Federal Minimum
Wage, effective January 1, 1979. The increase, together, with
the increases in our other costs over, the period since October
1978, means that we must ask the City of Newport Beach for a
small increase in our janitorial contract, to be effective for
1980.
The amount of monthly increase we feel we need to maintain the
standard of janitorial work at the Newport Beach City Libraries
according to 1979 levels is as follows:

W I T N E S S E T H:
WHEREAS, City desires to have the janitorial maintenance
services for the five (5) Newport Beach Branch Libraries (Newport
Center, Mariners, Corona del Mar, West Newport, and Balboa)
performed by an outside private company; and
WHEREAS, the Newport Center Branch Library is presently
under construction and it is intended that Universal will perform
the, janitorial maintenance services for the Newport Center Branch
Library at such time as it is opened; and
WHEREAS, Universal is equipped to perform such services
and has presented City with a Janitorial Maintenance Proposal;
and
WHEREAS, it is City's desire to employ Universal to
perform the janitorial maintenance services as set forth in this
agreement,
NOW, THEREFORE, in consideration of the mutual covenants
contained herein, the parties hereto agree as follows:
1. Payment for Services. In consideration for the
services to be performed by Universal, City agrees to pay to
Universal the sum of One Thousand Seven Hundred Twenty -Two Dollars
($1,722.00) per month, payable on the first day of each month,

When the Newport Center Branch Library is completed
and accepted by the City and the City transfers janitorial
maintenance services to Universal, City agrees to pay Universal
the sum of one Thousand Two Dollars ($1,002.00) per month,
payable on the first day of each month, for the.janitorial
maintenance services at the Newport Center Branch Library, said
sum to be added to the amount hereinabove set forth for services
at the remaining branch libraries of the Newport Beach Public
Library.
2. Maintenance. All work to be performed by
Universal shall be performed in a substantial and workmanlike
manner according to accepted standards of practice in the industry.
Said work shall be performed in accordance with the Janitorial
Specifications as set forth in Exhibit "A" attached hereto and
made a part herein by this reference.
3. Term. The term of this agreement shall commence on
September 25, 1978, and shall continue on a month -to -month basis
subject to termination as hereinafter provided.
4. Termination and•Notice Thereof. It is hereby mutu-
ally agreed that either party may terminate this agreement with or
without cause upon thirty (30) days' written notice. All notices
herein provided to be given, or which may be given, by either
party to the other, shall be deemed to have been fully given
when made in writing and deposited in the United States Mail with

The address to which the notices shall or may be
mailed as aforesaid by either party shall or may be changed by
written notice, given by such party to the other, as hereinbefore
provided; but nothing herein contained shall preclude the giving
of any such notice by personal service.
5. Hold Harmless Insurance. Universal agrees to release
and to protect and save harmless City and its officers, agents
and employees from any and.all claims, loss or liability on
account of injury, loss or injury to any person or persons or
property suffered or sustained in, on or about the premises or
elsewhere by any person or persons whomsoever in any manner
directly or indirectly arising out of or by reason of the conduct
of Universal's business.
Universal shall, at all times during the term of this
agreement, maintain in full force and effect, with respect to
this agreement, a policy or policies of comprehensive liability
insurance (bodily injury, including death, property damage,
product liability, contractual and automobile) with minimum
limits of Five Hundred Thousand Dollars ($500,000) combined single
limit, naming the City and its officers, agents and employees as
additional insureds and further providing an endorsement as follows:
"1. The City of Newport Beach, its officers
and employees are hereby declared to be addi-
tional insureds in the policy described insofar
as they may be held liable for injuries or
death to a person or persons, or damage to
property occurring in or about the premises,
whether or not caused by their sole or contri-
buting negligence. This policy shall be primary
and non - contributing with any other insurance
available to the City of Newport Beach, and will
include a severability of interest clause.

"2. If this policy is cancelled or materially
altered so as to affect the coverages, at least
thirty (30) days' prior written notice by
registered mail of such cancellation or altera-
tion will be sent to the City of Newport Beach,
in care of the City Manager, 3300 Newport
Boulevard, Newport Beach, California 92663."
Said policy or policies shall be in a form satisfactory
to City and certificates issued by the insuring company shall be
submitted to City concurrently with the execution of this agree-
ment. Certificates for each and any new or renewal policy or
policies effective during the term of this agreement shall be
submitted to City at least twenty (20) days prior to the effec-
tive date of such policy or policies.
6. Workers' Compensation Insurance. Universal shall
obtain and maintain any necessary workers' compensation insurance
for all employees of Universal, and shall provide City with a
certificate evidencing such insurance coverage issued by an
admitted insurer or a consent to self- insure issued by the
State of California, Director of Industrial Relations.
IN WITNESS WHEREOF, the parties have executed this
agreement as of the day and year first above written.

SUBJECT: BUILDING MAINTENANCE SERVICE FOR THE LIBRARY DEPARTMENT
Purpose
Staff has recently concluded an investigation of the possibility of providing
building maintenance service for the Library Department through outside con-
tracting. This function is currently performed by the Building Maintenance
Division of the General Services Department.
The purpose of this report is to apprise the Council of the results of this
investigation.
Background
Universal Building Maintenance Company is the current contractor for building
maintenance at the Police Department, and has performed this function since
August, 1977. This function previously had been performed by City staff.
During the first conctract year, it is estimated that the City saved over
$10,000 in maintenance costs, as a result of the transition to contracting.
The Police Department has indicated satisfaction with the work performed.
On July 26, 1978, a representative of the Universal Building Maintenance
Company toured the City's branch library system, accompanied by City staff
members. This tour included a visit to the Newport Center Branch site, and
a review of the floor plans for that facility.
On August 14, 1978, a "Janitorial Maintenance Proposal for the City of Newport
Beach" was submitted by the Universal Building Maintenance Company, Santa Ana,
California. A copy of this proposal is on file in the City Manager's Office.
Comparative Cost Analysis
Universal proposes to perform building maintenance on a five (5) day per week
schedule, at the Newport Center, Mariners, Corona del Mar, West Newport and
Balboa Branches at a cost to the City of $2,724 per month,or $32,688 per year
(Attachment 1). This price does not include certain restroom supplies (towels,
tissues, etc.) which would be furnished by the City for an estimated additional
cost of $150 per month; thereby making the total cost of the proposal approxi-
mately $2,874 per month, and $34,488 per year.

The General Services Director estimates that the current building maintenance
costs of the Library Department, utilizing City staff, are approximately
$29,537 annually (Attachment 2). This cost includes two Building Maintenance
Man I positions, in addition to the required supplies and equipment. This
cost, of course, does not include maintenance of the Newport Center Branch
Library. It is indicated that the addition of this branch to the maintenance
function would require the employment of an additional Building Maintenance
Man I, and the purchase of requisite supplies and equipment at a cost of
$15,322 annually. Therefore, the total cost for building maintenance with
the addition of the Newport Center Branch, if performed in- house, would be
$44,849 annually.
Summary
In summary, the outside contracting of the building maintenance function
would result in a dollar savings to the City of approximately $864 per month,
and $10,371 per year.
There are currently two Building Maintenance Man I vacancies in the General
Services Department, which are the result of a recent promotion and resignation.
These positions will remain vacant if the City contracts the library
maintenance function, thereby allowing for the above - referenced cost - savings.
Recommendation
In response to the Council's desire to provide, where possible, for cost -
savings to the City through outside contracting for certain services, and in
light of the fact that the proposal submitted by Universal would result in
such a savings, the following recommendation is made:
Adopt Resolution No. , awarding a contract to
Universal Building Maintenance Company for the
performance of building maintenance services for
the City's Library System.
Note: The contract provides for a phase -in of the Newport Center Branch
maintenance, once this facility is completed, at the rate quoted
in the proposal. (Attachment 3 - Contract)

JANITORIAL MAINTENANCE AGREEMENT
THIS AGREEMENT is made and entered into this
day of , 1978, by and between the CITY OF
NEWPORT BEACH, a municipal corporation, hereinafter referred to
as "City," and UNIVERSAL BUILDING MAINTENANCE COMPANY, INC.,
a California corporation, hereinafter referred to as "Universal."
W I T N E S S E T H:
WHEREAS, City desires to have the janitorial maintenance
services for the five (5) Newport Beach Branch Libraries (Newport
Center, Mariners, Corona del Mar, West Newport, and Balboa)
performed by an outside private company; and
WHEREAS, the Newport Center Branch Library is presently
under construction and it is intended that Universal will perform
the janitorial maintenance services for the Newport Center Branch
Library at such time as it is opened; and
WHEREAS, Universal is equipped to perform such services
and has presented City with a Janitorial Maintenance Proposal;
and
WHEREAS, it is City's desire to employ Universal to
perform the janitorial maintenance services as set forth in this
agreement,
NOW, THEREFORE, in consideration of the mutual covenants
contained herein, the parties hereto agree as follows:
1. Payment for Services. In consideration for the
services to be performed by Universal, City agrees to pay to
Universal the sum of One Thousand Seven Hundred Twenty -Two Dollars
($1,722.00) per month, payable on the first day of each month,

When the Newport Center Branch Library is completed
and accepted by the City and the City transfers janitorial
maintenance services to Universal, City agrees to pay Universal
the sum of One Thousand Two Dollars ($1,002.00) per month,
payable on the first day of each month, for.the janitorial
maintenance services at the Newport Center Branch Library, said
sum to be added to the amount hereinabove set forth for services
at the remaining branch libraries of the Newport Beach Public
Library.
2. Maintenance. All work to be performed by
Universal shall be performed in a substantial and workmanlike
manner according to accepted standards of practice in the industry.
Said work shall be performed in accordance with the Janitorial
Specifications as set forth in Exhibit "A" attached hereto and
made a part herein by this reference.
3.. Term, The term of this agreement shall commence on
September 25, 1978,.and shall continue on a month -to -month basis
subject to termination as hereinafter provided.
4. Termination and Notice Thereof. It is hereby mutu-
ally agreed that either party may terminate this agreement with or
without cause upon thirty (30) days' written notice. All notices
herein provided to be given, or which may be given, by either
party to the other, shall be deemed to have been fully given
when made in writing and deposited in the United States Mail with

The address to which the notices shall or may be
mailed as aforesaid by either party shall or may be changed by
written notice, given by such party to the other, as her einbefore
provided; but nothing herein contained shall preclude the giving
of any such notice by personal service.
5. Hold Harmless Insurance. Universal agrees to release
and to protect and save harmless City and its officers, agents
and employees from any and all claims, loss or liability on
account of injury, loss or injury to any person or persons or
property suffered or sustained in, on or about the premises or
elsewhere by any person or persons whomsoever in any manner
directly or indirectly arising out of or by reason of the conduct
of Universal's business.
Universal.shall, at all times during the term of this
agreement, maintain in full force and effect, with respect to
this agreement, a policy or policies of comprehensive liability
insurance (bodily injury, including death, property damage,
product liability, contractual and automobile) with minimum
limits of Five Hundred Thousand Dollars ($500,000) combined single
limit, naming the City and its officers, agents and employees as
additional insureds and further providing an endorsement as follows:
"1. The City of Newport Beach, its officers
and employees are hereby declared to be addi-
tional insureds in the policy described insofar
as they may be held liable for injuries or
death to a person or persons, or damage to
property occurring in or about the premises,
whether or not caused by their sole or contri-
buting negligence. This policy shall be primary
and non - contributing with any other insurance
available to the City of Newport Beach, and will
include a severability of interest clause.

"2. If this policy is cancelled or materially
altered so as to affect the coverages, at least
thirty (30) days' prior written notice by
registered mail of such cancellation or altera-
tion will be sent to the City of Newport Beach,
in care of the City Manager, 3300 Newport
Boulevard, Newport Beach, California 92663."
Said policy or policies shall be in a form satisfactory
to City and certificates issued by the insuring company shall be
submitted to City concurrently with the execution of this agree-
ment. Certificates for each and any new or renewal policy or
policies effective during the term of this agreement shall be
submitted to City at least twenty (20) days prior to the effec-
tive date of such policy or policies.
6. Workers' Compensation Insurance. Universal shall
obtain and maintain any necessary workers' compensation insurance
for all employees of Universal, and shall provide City with a
certificate evidencing such insurance coverage issued by an
admitted insurer or a consent to self- insure issued by the
State of California, Director of Industrial Relations.
IN WITNESS WHEREOF, the parties have executed this
agreement as of the day and year first above written.
