AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES INVESTIGATION OF SATURATED TERRACE DEPOSITS AT BIG CANYON RESERVOIR THI,sS_ AGREEMENT is made and entered into this s d f day of C� 1978, by and between: The CITY OF NEWPORT BEACH, a municipal corporation, hereinafter designated as "CITY "; and WOODWARD -CLYDE CONSULTANTS, consulting engineers, geologists and environmental scientists, hereinafter designated as "ENGINEER." WITNESSETH: WHEREAS, CITY intends to undertake an investigation of the seismic stability of saturated terrace deposits in the northeasterly quadrant of Big Canyon Reservoir; and WHEREAS, ENGINEER has submitted a proposal to CITY to perform engineering services in connection with the preparation of a report on the said investigation, hereinafter referred to as "REPORT "; and WHEREAS, CITY desires to accept said proposal; NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree as follows: 1. GENERAL A. CITY engages ENGINEER to perform the services hereinafter described for the compensation herein stated. B. ENGINEER agrees to perform said services upon the terms hereinafter set forth. II. SERVICES TO BE PERFORMED BY ENGINEER A. Perform a field investigation (subsurface drilling) of the northeasterly quadrant of the Big Canyon Reservoir to confirm the types and distribution of materials previously identified and to develop data on the • -2- • strength characteristics of the sandy soils, and to obtain samples. B. Perform limited laboratory tests on samples obtained for soil classification and strength of clayey soils. C. Perform simplified analyses to evaluate the seismic stability of the area being investigated and document the results in a REPORT. III. DUTIES OF CITY CITY hereby agrees to supply ENGINEER with the following information and materials: A. As -built construction drawings and construction records of reservoir and copies of pertinent geologic and soils reports. B. Assistance of City personnel during drilling operations. IV. COMPLETION OF REPORT Two (2) copies of the draft REPORT shall be submitted to CITY for review and comment by January 15, 1979. Ten (10) copies of the final REPORT shall be submitted to the Public Works Director of CITY within 30 days of ENGINEER's receipt of draft REPORT comments from CITY. V. OWNERSHIP OF REPORT DOCUMENTS Original drawings, notes, maps and other documents shall become the property of the CITY, and may be reproduced and utilized as deemed necessary by the Public Works Director. VI. ENGINEER IN CHARGE Mr. I.M. Idriss, RCE No. 19314, shall be Engineer in charge of REPORT preparation. VII. FEE SCHEDULE AND PAYMENT In consideration of the performance of the above - described engineering services, CITY hereby agrees to pay ENGINEER an amount based upon the hourly costs schedule set forth below times a factor of 2.5 except for drilling rig costs 0 -3- which shall use a factor of 1.25. In no event shall said amount be greater than Thirteen Thousand Dollars ($13,000.00) except as otherwise provided herein. A. The contract amount shall be paid to ENGINEER as follows: 1. Monthly partial payments shall be based on the amount earned each month, as determined by the fee schedule. The sum of the monthly partial payments shall not exceed ninety percent (908) of the maximum fee; 2. Balance of the total amount earned to be paid upon completion of work specified in Section II (Services to be Performed by ENGINEER); 3. In addition, CITY agrees to reimburse ENGINEER for the actual cost of reproduction of copies of said plans and related documents, as well as filing fees, checking fees, materials costs related to survey work plus fifteen percent (15%), computer at cost plus twenty -five percent (25%), and other related costs authorized in advance by the Public Works Director and advanced by ENGINEER. 4W -4- 40 VIII. ADDITIONAL WORK Should ENGINEER complete any additional work not outlined in this Agreement, but authorized in writing by the Public Works Director of CITY, the extra work shall be performed on an hourly basis in accordance with the hourly rate standard fee schedule set forth in Section VII (Fee Schedule and Payment) above. IX. REPORT SCOPE REVISIONS The scope of the REPORT may be changed and the maximum fee revised upon prior written approval of the Public works Director if the increase in the maximum fee does not exceed One Thousand Three Hundred Dollars ($1,300.00). If the revisions to the scope of the REPORT would result in an increase in the maximum fee exceeding One Thousand Three Hundred Dollars ($1,300.00), an amendment providing for such revisions shall be processed and executed by the parties hereto. X. RIGHT OF TERMINATION CITY reserves the right to terminate this Agreement at any time by giving ENGINEER seven (7) days' notice; notice shall be deemed served upon deposit in the United States Mail, postage prepaid, addressed to the ENGINEER's business office at 4000 W. Chapman Avenue, P.O. Box 1149, Orange, California 92668. In the event of termination due to errors, omissions, or negligence of ENGINEER, CITY shall be relieved of any obligation to compensate ENGINEER for that portion of the work affected by such errors, omissions, or negligence of the ENGINEER. If this Agreement is terminated for any other reason, CITY agrees to compensate ENGINEER for the actual services performed up to the effective date of the notice of termination, on the basis of the fee schedule contained herein. i • RESOLUTION NO. 9 45 4 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A PROFESSIONAL ENGINEERING SERVICES AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND WOODWARD -CLYDE CONSULTANTS WITH REGARD TO THE INVESTIGATION OF SATURATED TERRACE DEPOSITS AT BIG CANYON RESERVOIR WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain Professional Engineering Services Agreement between the City of Newport Beach and Woodward - Clyde Consultants in connection with the investigation of saturated terrace deposits at Big Canyon Reservoir; and WHEREAS, the City Council has considered the terms and conditions of said agreement and found them to be fair and equitable, NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said agreement for engineering services above described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
