F -2(d) NOV 13 1984 CSC p�� TRAFFIC SIGNAL AGREEMENT WITH THE CITY OF IRVINE Approve the First Amendment to the Traffic Signal Agreement between the City of Newport Beach and the City of Irvine and authorize the Mayor and City Clerk to execute said Amendment. DISCUSSION The City took over operation of the traffic signals on MacArthur Boulevard at Newport Place /Von Karman Avenue and at Birch Street upon relinquishment by the State. It is desirable to have these two signals interconnected with others along MacArthur Boulevard to provide more efficient traffic flow. It is recommended that this be accomplished by connecting them to the City of Irvine's traffic signal computer. The adjacent signals which are shared jurisdiction with the City of Irvine are already connected to the computer. The proposed First Amendment to the Traffic Signal Agreement provides a mechanism whereby the City of Irvine is authorized to operate the two traffic signals as a part of their MacArthur Boulevard system. Staff has worked closely with the City of Irvine to develop what is thought to be the first agreement of its kind whereby one City operates traffic signals in another City -s jurisdiction for the benefit of the motoring public. • The initial cost to interconnect computer is $625 per location. A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AMENDMENT TO THE SIGNAL MAINTENANCE AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND THE "CITY OF IRVINE IN CONNECTION WITH THE SHARED JURISDICTION FOR THE OPERATION AND MAINTENANCE OF TRAFFIC SIGNALS WHEREAS, in 1979 the City of Newport Beach entered into an Agreement with the City of Irvine for operation and maintenance, under shared jurisdiction, of traffic signals; and WHEREAS, there has now been presented to the City an Amendment to the Signal Agreement to include operation of traffic signals on MacArthur Boulevard at Newport Place and Birch Street; and WHEREAS, the City Council has reviewed the terms and conditions of the Signal Amendment and finds them to be satisfactory, and that it would be in the best interests of the City to authorize the Mayor and City Clerk to execute said Amendment. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that the First Amendment to the Signal Maintenance Agreement is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach. Mayor ATTEST: City Clerk RSP /Signal • — FIRST AMENDMENT TO TRAFFIC SIGNAL AGREEMENT THIS FIRST AMENDMENT is made to that certain Agreement dated January 9, 1979, by and between the City of Newport Beach, hereinafter referred to as "Newport Beach" and the City of Irvine, hereinafter referred to as "Irvine". WHEREAS, Irvine and Newport Beach previously entered into an agreement for certain traffic signal and intersection lighting (installations; and WHEREAS, the parties are desirous of amending the provisions 1.r - 4 of that agreement. NOW, THEREFORE, I. Irvine and benefit of signals at IRVINE AND NEWPORT AGREE AS FOLLOWS: Newport Beach agree that it is to the mutual the parties to interface the timing of the those locations identified in Exhibit "B" attached hereto and incorporated herein by this reference. The parties therefore agree that such intersections shall be integrated into the City of Irvine Master Computer. II. Newport Beach will furnish service and /or perform all maintenance work at the locations identified in Exhibit "B" and will be responsible for the timing of the signals during such time as the intersection is operating solely from the timings pinned on the local controller. III. Irvine agrees to furnish service and /or perform maintenance work at the City's Master Computer and shall be responsible for the timing of the signals described in Exhibit "6" during such time as they are operated through the Irvine Master Computer as free, transition, or coordination phases. IV. For the purposes of this Agreement, the following terms shall be defined as set forth herein. Stand -by: The intersection is operating solely from the timings pinned on the local controller. Free:. Same operation as "Coordination" except there are no off -sets being established by the Master. Transition: Same operation as "Coordination" except the Master is adjusting timings to establish off -sets. Coordination: The Master has established all vehicle and pedestrian splits but the minimum time cannot be any shorter than the timing pinned on the local controller. If the pinned timing exceeds the pedestrian split, the intersection will be set to "stand -by ". If the local controller hasn't rotated in the specified time established by the Master, the intersection will be set to "stand -by ". Should there.be any malfunction or interconnect break which disallows the Master to communicate with the local controller, the intersection will be set to "stand -by" - 2 IS —.S 0 DATED: Ll 9 V. DORIS GEORGE City Clerk swk enc. cc: Traffic Engineering A G R E E M E N T THIS AGREEMENT, made and entered into this y{hj _ day of�, 1979, BY AND BETWEEN CITY OF NE14PORT BEACH, a municipal corporation hereinafter designated as "NEWPORT BEACH" and CITY OF IRVINE a municipal corporation hereinafter designated as "IRVINE" WITNESSETH: WHEREAS, IRVINE and NEWPORT BEACH have various traffic signal and intersection lighting installations that are partially in area under jurisdiction of NEWPORT BEACH, and WHEREAS, IRVINE and NEWPORT BEACH desire to specify the procedure for equitably distributing the maintenance costs for said installations, and WHEREAS, the provisions of Title 1, Division 7, Chapter 5, Article 1, of the California Government Code entitled "Joint Powers Agreements" authorize two or more public agencies to jointly exercise any power common to the contracting parties. NU-!, -! REFORE, IT IS AGREED by the parties hereto as follows: I. This Agreement shall supersede all previous agreements with respect to maintenance of traffic signals and intersection lighting. II. Routine maintenance work to be performed will include contracting for and/or furnishing of, electrical energies and the necessary repairs or replacements as required to insure a satisfactory service. Instal- lation or additional facilities is not a maintenance function under the provisions of this agreement. III. The maintenance and operational costs for traffic signal and inter- section lighting installations shall be borne by the parties hereto and shall be based on the actual maintenance and operational costs incurred at each installation: NEWPORT BEACH's share of said cost at each installation shall be a sum, bearing the same proportion to the total cost of maintenance, as the number of approach legs of highways under juris- diction of NEWPORT BEACH at the location involved, bears to the total number N M of approach legs of highways at such location: IRVINE's share of said cost at each installation shall be a sum, bearing the same proportion to the total cost of maintenance, as the number of approach legs of highways under jurisdiction of IRVINE at the location involved, bears to the total number of approach legs of highways at such location. IV. The minimum maintenance cost division at any intersection under the terms of this agreement shall be based upon one half (1/2) of one (1) approach leg of that intersection. A substantial portion of the traveled way shall lie within the jurisdiction of the agency concerned, where - ever the above minimum "1/2 leg" division is a part. V. For purposes of determining the number of highway approach legs applicable to each jurisdiction, the CITY limits shall be as they exist at the time the maintenance costs are incurred. VI. The traffic signal and highway lighting installationsat which the cost of maintenance is shared by IRVINE and NEWPORT BEACH, along with the pro- portion of costs for each agency, are shown on Exhibit "A ", attached hereto and made a part hereof. VII. NEWPORT BEACH will furnish, service and /or perform such maintenance work as is specifically delegated to it, and IRVINE will furnish, service and /or perform the work not otherwise assigned to NEWPORT BEACH, all as shown on Exhibit "A ", attached. VIII.The maintenance responsibilities for all future cooperative installations shall be borne by IRVINE unless otherwise provided for in the cooperative agreement for the installation. IX. The agency assuming the maintenance responsibilities in accordance with Section VI, VII, and VIII above will bill the other involved agency, as provided for in this Agreement, and will promptly be re- imbursed by the billed agency, for the appropriate maintenance costs. X. Exhibit "A" of this agreement may be amended as required for future traffic signal and highway lighting installations upon the mutual consent of the respective Public Works Directors or their representatives. -2- XI It is mutually understood and agreed: (a) That neither IRVINE nor any officer or employee thereof shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by NEWPORT BEACH under or in connection with any work, authority or jurisdiction delegated to NEWPORT BEACH under this agreement. It is also understood and agreed that, pursuant to.Government Code Section 895.4, NEWPORT BEACH shall fully indemnify and hold IRVINE harmless from any liability imposed for injury (as defined by Government Code Section ra10.8) occurring by reason of anything done or omitted to be done by NEWPORT BEACH under or in connection with any work, authority or juris- diction delegated to NEWPORT BEACH under this agreement. (b) That neither NEWPORT BEACH nor any officer or employee thereof shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by IRVINE under or in connection with any work, authority or jurisdiction not dele- gated to NEWPORT BEACH under this agreement. It is also understood and agreed that, pursuant to Government Code Section 895.4, IRVINE shall fully indemnify and hold NEWPORT BEACH harmless from any liability imposed for injury (as defined by Government Code Section 810.8) occurring.by reason of anything done or omitted to be done by IRVINE under or in connection with any work, authority or jurisdiction not delegated to NEWPORT BEACH under this agreement. DISCUSSION: The subject agreement has been prepared to formalize the maintenance responsibility and the sharing of costs for those traffic signals located on the boundaries between the City of Irvine and the City of Newport Beach. It further provides for the addition of future signals to the agreement as they are constructed. The sharing of operational and maintenance costs is based on the number of approach legs in each jurisdiction. This is the commonly used method which is presently specified in similar agree- ments with the State and County. Richard M.
