Box 247 Balboa Island, Ca. 92662 Amount of Contract see contract City Clerk DESIGN AND PROCUREMENT AGREEMENT (NEWPORT CENTER LIBRARY) THIS AGREEMENT, made and entered into this day of �, , 1979, by and between the CITY OF NEWPORT BEACH, hereinafter referred to as "City," and BURT C. GENTLE COMPANY, INC., hereinafter referred to as "Contractor." W I T N E S S E T H: WHEREAS, City has determined that it is necessary to retain a consultant for providing the design and procurement of the k interior furnishings and equipment for the Newport Center Brad'. of the Newport Beach Public Library System; and WHEREAS, Contractor is qualified to provide said consulting services and has submitted a proposal setting forth activities to be performed in connection with said consulting services; and WHEREAS, City has reviewed the proposal of Contractor and believes it would be in the best interest of City to retain Contractor to assist with the design and procurement of the interior furnishings and equipment for the Newport Center Branch Library, NOW, THEREFORE, in consideration of the foregoing and the mutual covenants hereinafter contained, the parties hereto agree as follows: 1. General A. City engages Contractor to perform the services hereinafter described for the compensation herein stated. B. Contractor agrees to perform said services in two phases upon the terms hereinafter set forth. 2. Services to be Performed by Contractor Under Phase I A. Prepare detailed floor and design plan showing type and location of all furnishings and equipment for the Newport Center Branch Library, including but not limited to shelving, reading and lounge furniture, technical services furniture, furniture for the technical services work room, administrative offices furniture as well as all of the interior finishing treatments such as draperies, blinds, lamps, wall coverings, graphics, and art work including coordination of color, finishes and fabrics. B. Provide a complete materials list of all items to be furnished by Contractor, indicating cost estimates, the manufacturer, model number, color, and source of procurement. City reserves the right to make reasonable corrections and changes in the materials list. C. Provide professional consultation for interpretation of design plans. 3. Services to be Performed by Contractor Under Phase II A. Purchase all items approved and authorized by City on the materials list. B. Coordinate all shipments and deliveries of goods and merchandise ordered from the materials list. C. Receive and inspect all items at the building site. D. Assemble and install all items in place per the approved floor and design plan. E. Dispose of all packing materials and debris in a manner to leave the building interior ready for occupancy. F. Use its best efforts to obtain manufacturers' warranties against defects in materials and workmanship for all items where applicable. All items provided by Contractor pursuant to this Agreement shall be warranted only to the extent of the manufacturers' warranties. G. Repair or replace any damaged items caused by Contractor, its agents or employees as well as be responsible for any damage to the building caused by Contractor, its agents or employees. 4. Fee Schedule and Payment P}iaco T A. In consideration for work done and services rendered under Phase I of this Agreement, City shall pay Contractor -2- either of the two following sums of money: (1) Eight Thousand One Hundred Sixty Dollars ($8,160.00) if City elects to proceed with Phase II of this Agreement; (2) Ten Thousand Two Hundred Dollars ($10,200.00) if City elects not to proceed with Phase II of this Agreement. Phase II B. In consideration for the work done and services performed under Phase II of this Agreement, City shall pay Contractor as follows: (1) Actual costs for all items plus sales tax purchased from the approved materials list; (2) All costs associated with the delivery, receipt, assemblage and installation of items purchased from the approved materials list; (3) Twenty percent (20 %) of all costs incurred under Paragraphs 1 and 2 to go toward overhead and profits. C. In consideration for the work done and services performed under this Agreement, City shall pay Contractor as follows: (1) Payment for services performed under Phase I of this Agreement shall be made by City upon completion of Phase I. (2) Payment for goods and services performed under Phase II of this Agreement shall be paid monthly based on sub- mittal by Contractor of invoices setting forth actual costs incurred for period covered by said invoices. 5. Cost Limitation It is agreed that the total costs including taxes, over- head and profits for all goods received and services performed under Phase I and Phase II of this Agreement shall not exceed the sum of One Hundred Seventy Thousand Dollars ($170,000.00). 6. Substitution of Items Items appearing on the approved materials list may be substituted for like items of another make, color, etc., upon -3- the written consent of City if for some reason said materials list item becomes unavailable. 7. Time of Performance Contractor shall submit the initial floor and design plan and materials list within thirty (30) days of the date of this Agreement. Following preliminary approval by City, Contractor shall within ten (10) days thereafter submit recommendations on design, colors, finishes and fabrics as well as cost estimates. Following any final modifications and /or corrections, Contractor shall submit final design and floor plans and materials list within ten (10) days thereafter. Upon final approval and authorization to proceed from City, Contractor shall place orders for all items, obtain best possible delivery dates from manu- facturers, and submit a delivery schedule based on manufacturers' acknowledgments for owner's reference. 8. Right of Termination A. City reserves the right to terminate this Agreement at any time for any reason by giving Contractor three (3) days' prior written notice. City agrees to compensate Contractor for the actual services performed up to the effective date of the notice of termination. B. City reserves the absolute right to elect or not to elect to proceed with Phase II as herein provided upon comple- tion of Phase I. 9. Authorization by Ci Pursuant to City Council Policy, the City Manager shall be authorized to approve Phase I of this Agreement. Phase II of this Agreement shall not be effective until approved by the City Council. 10. Independent Contractor Contractor agrees that in performing his services under this Agreement, he shall act as an independent contractor and shall have full control over his work and the manner in which -4- 0 it is performed. Contractor shall be responsible for providing California Workers' Compensation Insurance. 11. Hold Harmless Contractor agrees to defend any legal action commenced against City caused directly or indirectly by wrongful or negligent acts of Contractor's officers, employees or agents arising out of the performance of the work described in this Agreement and indemnify City against any liability, loss, cost, or damages, including attorneys' fees, resulting therefrom but not including any liability that may be due to the sole negligence of City or its employees. GENTLE COMPANY, INC., IN CONNECTION WITH THE NEWPORT CENTER BRANCH LIBRARY WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain Design and Procurement Agreement between the City of Newport Beach and Burt C. Gentle Company, Inc., in connection with the Newport Center Branch Library; and WHEREAS, the City Council has reviewed the terms and conditions of said Agreement and finds them to be satisfactory and that it would be in the best interest of the City to authorize the Mayor and City Clerk to execute said Agreement, NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that said Agreement above described is hereby approved, and the Mayor and City Clerk are authorized and directed to execute the same on behalf of the City of Newport Beach. It is estimated that this carpeting will show sufficient signs of wear within several years. In order to avoid substantial cost and inconvenience in the near future, it is recommended that the carpeting be upgraded at this time. The Board of Library Trustees proposes to purchase new carpeting and use the existing carpet as the pad for the new carpeting. The purchase and installation of the new carpet will cost $23,000.(NE�IAPORT CENTER BRANCH LIBRARY, CITY OF NEWPORT BEACH, LIBRARY FURNISHINGS, DESIGN & PROCUREMENT CONTRACT, PO 13516, REFERENCE: Floor Plan J -2495 Revision 6 10- 22 -79, SEE PAGE 15, ITEM A -17). There are ample funds available to be used for this needed Purchase. For example, there is in excess of $420,000 in the Building Excise Tax Fund. Also, there is in excess of $340,000 in the Federal Revenue Sharing Fund. It would appear that the Building Excise Tax Fund is the appropriate source of income for the reason that the City's Libraries have never yet received their one -third entitlement from this fund, and the $23,000 allotment would still leave the City's Libraries far short of the one -third allocation. In conclusion, the Board of Library Trustees requests that. the City Council authorize the expenditure of $23,000 for the necessary carpet addition to the Newport Center Branch Library at a time when this addition will result in the areatest economy and most Convenient installation. /L 1. Means, Purchasing Agent By fb C4TT COUNCIL SUBJECT: Council Approval of Phase II of Contract C -2087 CITY OF N%NW 84ACH This current budget provides $170,000.00 for furnishing the Newport Center Branch Library. On May 14, 1979 the City entered into a contract with the Burt Gentle Company providing for consulting, design, layout and costs under Phase I, and procurement under Phase II. The procurement consists of purchasing some items by the Burt Gentle Company on a cost plus basis, and supplying the procurement information to the City Purchasing Agent for all direct purchases. Phase I has been completed as authorized by the City Manager. Phase II will be implemented when approved by the City Council. Phase I has developed three alternatives for furnishing the library as shown on the attached Purchase Plan sheets. The figures shown include the consulting fee from Phase I. Plan "A" $294,534.00 Plan "B" $168,743.00 Plan "C" $169,477.00 The "special" funds of $13,000.00 shown on each of the proposals represents the amount anticipated from the fund raising activities of the Friends of the Library. Due to budget limitations I recommend Plan "C ". This provides no additional carpeting but more furniture than Plan "B ".
