Box 8127 Fountain Valley, Ca. 92708 Amount of Contract see contract A-t-� - Lg� A..9 City Clerk _ rM AGREEMENT THIS AGREEMENT, for purposes of identification, is hereby dated and effective the 14thday of November BY AND BETWEEN AND 1979, and is COUNTY SANITATION DISTRICT NO. 5 OF ORANGE COUNTY, CALIFORNIA, hereinafter referred to as "District "; CITY OF NEWPORT BEACH, herein- after referred to as "Newport Beach ". WITNESSETH: WHEREAS, District contemplates replacement of its existing trunk sani- tary sewer in Bayside Drive between the approximate limits of Carnation Avenue and one -half mile northwesterly of Carnation Avenue; and WHEREAS, Newport Beach desires to include water line construction, storm drain construction, and certain curb construction, all hereinafter referred to as "Newport Beach Improvements ", along Bayside Drive in conjunction with said sanitary sewer construction; and WHEREAS, it is mutually advantageous at this time to accomplish the Newport Beach Improvements at Newport Beach expense as an adjunct of the sanitary sewer construction. NOW, THEREFORE, it is mutually agreed by and between District and Newport Beach, as follows: Section 1: District shall have contract plans and specifications prepared for all of the work, hereinafter referred to as "Project ". Section 2: District shall include, in the contract plans and specifications for the Project, the Newport Beach Improvements, which shall include but not be r limited to water line construction, storm drain construction, and curb construc- tion, except for construction of any portion of those items which is needed solely due to District's sanitary sewer construction. Section 3: District, upon approval of plans and specifications for Project by Newport Beach, shall promptly undertake and perform all the work of advertising for bids and awarding a contract under applicable provisions of law governing such award. Section 4: District shall furnish a resident engineer during construction who shall be responsible for contract administration and for securing completion of the work in accordance with the approved plans and specifications. Newport Beach may furnish an inspector to consult with District's resident engineer regarding construction, but the decisions of District's resident engineer shall be final with regard to matters of contract administration and with regard to District's sanitary sewer facilities. Newport Beach's determinations regarding Newport Beach Improvements shall be final. Section 5: District shall arrange for any modifications, relocations or reconstruction of utilities and for the construction of any detours necessary for the construction of Project; and Newport Beach shall cooperate to the extent of its powers in making arrangements and official notices concerning utility relocations. Section 6: After award of contract for Project, District shall invoice Newport Beach and within thirty (30) days after receipt of invoice, Newport Beach shall pay to District its respective share of Project costs as outlined herein based on bid prices and estimated contract quantities. Section 7: Newport Beach shall pay the costs as specified below: a. The total contract cost actually paid the contractor for all water line construction, storm drain construction, and curb construction, except 2 MM for such construction of any portion of those items which is solely due to District's sanitary sewer construction; b. The actual cost billed to District by District's consulting engineer for preparation of the plans and specifications for Newport Beach Improve- ments. c. The lump sum of Two Thousand ($2,000.00) Dollars to cover District's cost of inspection, field engineering, and contract administration. d. Fifty (50 %) percent of the total cost of pavement restoration within the Project limits where District and Newport Beach Improvements construction overlap. District shall be solely responsible for the cost of pavement restoration in areas where there is no construction of Newport Beach Improvements. Section 8: Upon completion of construction and filing of a Notice of Completion, District shall submit to Newport Beach a statement of the actual total cost of Project and Newport Beach Improvements based on bid prices and final contract quantities, including the final obligations of Newport Beach. Section 9: If Newport Beach's total obligation exceeds the initial deposit, Newport Beach agrees to pay to District the full amount of the remainder within thirty (30) days after receipt of invoice from District. If Newport Beach's total obligation is less than the initial deposit, District shall reimburse Newport Beach within thirty (30) days after filing a Notice of Completion. Section 10: District shall be the "Lead Agency" within the context of the Environmental Quality Act of 1970 as amended, and District shall be responsible for complying with environmental requirements and filing required notices, except that Newport Beach shall be responsible for completing the environ- mental procedures relating to construction of Newport Beach Improvements. Section 11: Newport Beach shall indemnify and hold District harmless 3 from any liability imposed as a result of any alleged negligence by Newport Beach or its agents arising out of Newport Beach's performance under this Agreement. Section 12: District shall indemnify and hold Newport Beach harmless from any liability imposed by any alleged negligence by District or its agents arising out of District's performance under this Agreement. IN WITNESS WHEREOF, the parties hereto have executed this Agreement on dates opposite their respective signatures. H -2(d) SUBJECT: WATER LINE AND STORM DRAIN CONSTRUCTION IN BAYSIDE DRIVE- - JOINT PROJECT WITH COUNTY SANITATION DISTRICT NO. 5 (C -2129) RECOMMENDATION: Adopt a resolution approving a cooperative agreement for the work with Orange County Sanitation District No. 5; and authorizing the Mayor and the City Clerk to execute the agreement. DISCUSSION: Orange County Sanitation District No. 5 is currently preparing a project for replacement of their existing trunk sewer in Bayside Drive from Carnation Avenue to a point about 1/2 mile westerly of Carnation Avenue. Be- cause of the restricted roadway width and the substantial size of the construc- tion project, it will be necessary to close the street to through vehicular traffic for much of the construction period. The City also contemplates construction on Bayside Drive in the same area. A project for replacement of an inadequate existing storm ,drain at an estimated cost of $45,000 is included in the current budget; and replacement of existing water lines with a new 12- inch - diameter ductile iron pipe is pro- posed for the current $200,000 water main replacement program. In order to better coordinate the work and reduce the amount of in- convenience to the public, it is felt that the work could best be accomplished under a single project administered by the Sanitation District. The District's consulting engineer would prepare the plans for the City's portion of the work; and incorporate the plans with the District's, for construction under a single contract. Each agency will be responsible for the design and construction costs for its respective facilities. Construction is scheduled by the District to begin in approximately February, 1980. The work should be complete before substantial construction begins on CalTrans' project for replacement of the Upper Bay Bridge. an, c / 4;�,(� Benjamin B. Nolan Public Works Director :: RESOLUTION NO. 9680 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A COOPERATIVE AGREEMENT BETTA`EEN THE CITY OF NEWPORT BEACH AND ORANGE COUNTY SANITATION DISTRICT NO. 5 IN CONNECTION WITH THE WATER LINE AND STORM DRAIN CONSTRUCTION IN BAYSIDE DRIVE. WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain Cooperative Agreement between the City of Newport Beach and Oiange County Sanitation District No. 5 in connection with the water line and storm drain construction in Bayside Drive; and. , WHEREAS, the City Council. has reviewed- the terms and conditions of said agreement and finds them to be satisfactory and that it would be in the best interest of the City to execute said agreement, NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that the agreement above- described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
