THIS AGREEMENT is made and entered into on this 3rd day of December,
1979, by and between the CITY OF NEWPORT BEACH, a municipal corporation,
hereinafter referred to as "CITY ", and VTN.Consolidated, Inc., hereinafter
referred to as "CONSULTANT."
W I T N E S S E T H
WHEREAS, CITY'S Environmental Affairs Committee has determined that
a Environmental Impact Report is necessary prior to processing of a General
Plan Amendment No. 79 -2, an amendment to the Circulation Element of the
Newport Beach General Plan, in the City of Newport Beach, County of Orange,
State of California; and
WHEREAS, the CITY adopted a resolution authorizing the Mayor and City
Clerk to execute a Consulting Services Agreement with the CONSULTANT for the
preparation of said report on November 12, 1979; and
WHEREAS, CONSULTANT has submitted to CITY a proposal to prepare said
Report; and
WHEREAS, CITY desires to accept said proposal;
NOW, THEREFORE, in consideration of the foregoing, the parties hereto
agree as follows:
1. GENERAL
CONSULTANT agrees to prepare the subject Report in accordance with the
requirements set forth in paragraph 2 of this Agreemnt. CITY agrees to remit
to CONSULTANT the amounts set forth in paragraph 3 of this Agreement in
accordance with the terms and conditions set forth in this document.
2. SCOPE OF WORK
The subject Environmental Impact Report will be prepared in
accordance with the CONSULTANT'S proposal dated August 29, 1979, and as
modified by the CONSULTANT'S letters dated September 21, 1979, October 12,
1979, and November 15, 1979, which are attached to this Agreement, marked as
Exhibits "A ", "B" and by this reference incorporated herein at this point as if
fully set "forth. The City's Director of Public Works shall be authorized to
have additional work prepared pursuant to this Agreement as provided for in
paragraph 3 of this Agreement.

3. BILLING AIJOBIT

CONSULTANT shall be paid under this Agreement an a time and
material basis and in no event shall the mcxi om anount of this AgreenwnL
exceed Twenty -Seven Thousand No Hundred Fourty Dollai-s and no cents ($2.7,040.00).
Partial payments shall be made to CITY to CONSULTANT up n CONSULTANT'S
presentation of statements verifying the time and waterial costs incurred
by it in connection with this Agreement. Additional work prepared by the
CONSULTANT and authorized by the CITY may be prepared without additional
City Council approval, provided, however, that in no event shall said
additional work exceed ten percent of the total contract being Two Thousand,
Seven Hundred Four Dollars and no cents ($$2,704.00).
4. FAITHFUL PERFORMANCE
CONSULTANT shall use diligent efforts to complete this contract
within sixty -three (63) days after execution of this Agreement. The subject
Report must meet the approval of the Environmental Affairs Committee of the
City. In the event additional work is required due to input during the .public
hearings, said additional work shall be subject to a separate contract and
paragraphs 2 and 3 of this Agreement.
5. TERMINATION
This Agreement is subject to termination by the CITY at any time
upon serving written notice to CONSULTANT. The CITY shall be thereafter
liable to CONSULTANT only for fees and costs incurred as of the date CONSULTANT
receives such notice of termination.
IN WITNESS WHEREOF, the parties. hereto have entered into this Agreement
as of the date and year first above written.

SUBJECT: CONSULTING SERVICES AGREEMENT FOR THE PREPARATION OF AN EIR FOR
PROPOSED GENERAL PLAN AMENDMENT 79 -2 (CIRCULATION ELEMENT)
RECOMMENDATION:
Adopt a resolution authorizing the Mayor and City Clerk to execute
a Consulting Services Agreement with VTN, Consolidated, Inc., for
the preparation of an EIR for proposed General Plan Amendment 79 -2
(Circulation Element).
DISCUSSION:
The proposed General Plan Amendment 79 -2 (Circulation Element) will
make the changes in the Master Plan of Streets and Highways shown on the
attached project description. Items 1, 2, 5 thru 8, and 10 thru 13 are
outside the City and are being made to show the roadway designations as
adopted by the adjoining jurisdictions. Changes 3, 4, 9 and 15 are connecting
links, all or partially within the City, which need to be shown (or deleted
in the case of No. 15) to match adopted roadway designations from adjoining
jurisdictions. These changes are considered to be of minor significance and
are essentially housekeeping measures that require mention in an environmental
document; or documentation that they have been covered in the environmental
documents of other agencies.
Item No. 14 moves the beginning of the Avocado Avenue /MacArthur
Boulevard couplet to a point approximately 1600 feet northerly of San Joaquin
Hills Road (Plan C -4). This change (approved by the Council on May 29, 1979)
will place a road nearer to a residential area. To fully determine the effects
of this change, it is necessary to perform preliminary engineering studies and
an environmental review of the various available alternatives. At this time
it appears that an EIR is warranted.
The environmental document is being prepared in sufficient detail to
serve as the environmental document for the future construction of the couplet
northerly of San Joaquin Hills Road.
Proposals were requested from five firms to perform the preliminary
engineering and prepare the EIR. The services to be performed are shown on
the attachment.
The following three firms submitted proposals:

All three firms are well qualified to perform the work. The proposal
submitted by VTN, Consolidated, Inc. is the most acceptable and it is recom-
mended that they be retained to do the studies. Their fee for the services is
$27,040. This is broken down as follows:
Preliminary Engineering and Traffic Analysis $12,500
Environmental Review 8,140
Project Management & Report Preparation 6,400
$27,040
The consulting services agreement provides for the fee not to exceed
$27,040, with services to be paid for at standard hourly rates. The work is
to be completed in seven weeks from the City's notice to proceed.
This report is to be funded from the budgeted Gas Tax project for
"Prepare environmental impact reports and preliminary plans for street construc-
tion projects," Account No. 19- 3376 -001.

General Plan Amendment 79 -2
An Amendment to the Circulation Element to include (see attached index map):
1. Coast Highway -Add primary designation for the roadway westerly of the Santa
Ana River. Change outside the City.
2. Brookhurst Street -Add Major designation for the roadway northerly of Coast
Highway. Change outside the City.
3. 19th Street /Banning Avenue -Add Primary designation for the roadway to
connect 19th Street to Brookhurst Street. Change outside the City except
for one -foot wide strip in Newport Beach.
4. Seventeenth Street -Add Secondary designation for the roadway between
Placentia Avenue and Balboa Boulevard extended. Change outside the City
except for 300 feet westerly of Whittier Avenue.
5. Seventeenth Street -Add Primary designation for the roadway between Newport
Boulevard and Placentia Avenue. Change outside the City.
6. Orange Avenue -Add Secondary designation for the roadway between 17th Street
and 19th Street. Change outside the City.
7. Nineteenth Street - Change the designation from Primary to Secondary between
Irvine Avenue to Tustin Avenue. Change outside the City.
B. Del Mar Avenue - Change the designation from Major to Primary between Irvine
Avenue to Newport Boulevard. Change outside the City.
9. North Bristol Street -Add Primary designation and one -way couplet arrows
between University Drive Drive North to Red Hill Avenue. Change in the City
easterly of Campus Drive.
10. University Drive -Add Major designation for roadway easterly of MacArthur
Boulevard. Change outside the City.
11. San Miguel Drive - Adjust alignment northerly of Ford Road to more closely
follow the alignment shown on the County and City of Irvine Master Plans.
Change outside the City.
12. Bonita Canyon Road -Add Major designation easterly of MacArthur Boulevard.
Change outside the City.
13. San Joaquin Hills Transportation Corridor - Extend "Routes That Require
Further Coordination" designation easterly and show the name. Change
outside the City.
14. Avocado Avenue /MacArthur Boulevard Couplet- Change the map to show the couplet
beginning northerly of San Joaquin Hills Road; change the designation of
MacArthur Boulevard from Major to Primary between the beginning of the
couplet and Coast Highway and show Avocado Avenue as a primary northerly of
San Joaquin Hills Road.

1 Spyglass Hills Road - Remove the Primary roadway between San Joaquin
Hills Road and Coast Highway. The change is outside the City except
the northerly 950 feet.
All of the changes except numbers 9 and 14 are being made to bring the City's
Master Plan into conformance with route designations of the surrounding juris-
dications and are primarily outside the City limits of Newport Beach. Change
adds the Bristol Street /North Bristol Street couplet to the plan. This
change conforms to the recently completed CALTRANS project.
Change 14 moves the beginning of the Avocado Avenue /MacArthur Boulevard couplet
northerly of San Joaquin Hills Road. The environmental assessment on this item
should be sufficient to allow the construction of the roadway improvements
necessary to complete the couplet northerly of San Miguel Drive. At a minimum
the following alternates should be discussed:

At grade intersections at San Joaquin Hills Road
A grade separation at San Joaquin Hills Road
Others thought to be appropriate
For this change, preliminary engineering is to be provided to determine approximate
grades and the grading for the project.
SCOPE OF INVESTIGATION
The Environmental Impact Report shall include an analysis of the project in
accordance with CEQA and City Policy. The Environmental Impact Report shall
be prepared in such a manner so as to review the proposed project and allow
single determination on all phases of its' development from General Plan
Amendment through construction. The focus of analysis should be as follows:

PRELIMINARY ENGINEERING FOR THE ENVIRONMENTAL ASSESSMENT
1. Provide 1" = 40' topo map of the area between San Miguel Drive extended
and the point where Avocado Avenue would join MacArthur Boulevard
northerly of San Joaquin Hills Road (approximately 1600'). The contour
interval should be sufficient to calculate grading quantities and per-
form hydrology and noise studies. City has available both 40 scale and
100 scale aerials of the area flown in 1976. These are only horizon-
tally controlled.
2. Preliminary plan and profile of alternates (cover widths, grades, and
right -of -way requirements).
3. Prepare cross sections as necessary to determine noise effects, grading
and erosion control.
4. Provide intersection geometrics to show required lane configurations
for the alternates.
5. Provide hydrology to determine effects of the various alternates on
drainage in the area.
6. Provide I.C.U. analysis of the various intersection alternates.
7. Discuss the effect of the various alternates on the residual parcels.
8. Traffic volumes to be used in the study will be determined by City
staff and the consultant using existing data.

CITY CLERK TO EXECUTE A CONSULTING SERVICES
AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH
AND VTN CONSOLIDATED, INC. FOR THE PREPARA-
TION OF AN EIR FOR PROPOSED GENERAL PLAN
AMENDMENT NO. 79 -2 (Circulation Element)
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain Consulting Services
Agreement between the City of Newport Beach and VTN Consolidated,
Inc. for the preparation of an EIR for proposed General Plan
Amendment No. 79 -2 (Circulation Element); and
WHEREAS, the City Council has reviewed the terms and
conditions of said agreement and finds them to be satisfactory
and that it would be in the best interest of the City to
execute said agreement,
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Newport Beach that the agreement above described
is approved, and the Mayor and City Clerk are hereby authorized
and directed to execute the same on behalf of the City of
Newport Beach.

Inc., for the preparation of an environmental document in connec-
tion with General Plan Amendment No. 79 -2 (Circulation Element);
and
WHEREAS, the City Council has reviewed the terms and
conditions of said Agreement and finds them to be satisfactory
and that it would be in the best interest of the City to execute
said Agreement,
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Newport Beach that the Agreement above described is
approved, and the Mayor and City Clerk are hereby authorized and
directed to execute the same on behalf of the City of Newport
Beach.
