R.E., for John Wayne Airport Technical Services
At the request of the City Council, we are transmitting herewith
copies of the itemization of work performed by Mr. Gillfillan for
the City of Newport Beach from July 1980 through December 1980.
Further, for Council information we are attaching the prior
communications to the City Council in regard to this matter.
In late November it became apparent that the cost of the contract
had been exceeded and this office prepared a memorandum to the
City Council to renew the agreement. During November and
December 1980, a considerable amount of work was done in regard
to the many airport issues which were occurring at that time.
At the time the first memo was written to the Council, the
contract amount had been exceeded. The November and December
billings considerably exceeded the original contract amount. It
is apparent that the contract should have been more closely scru-
tinized during the performance to prevent the cost overrun.
The work being performed by Mr. Gillfillan is more than satis-
factory. It is beneficial to City staff in addressing the mul-
tipile airport issues facing the City at this time. It is sug-
gested that the contract be renewed, but at a higher maximum
amount to account for the past overrun and to accommodate finali-
zation of the variance and Master P1 n w k. It is suggested the
maximum figure be set

Subject: Renewal of Agreement with Walter E. Gillfillan,
R.E., for John Wayne Airport Technical Services
At the request of the Council, we are sending additional
information in regards to the existing agreement and proposed
agreement between the City of Newport Beach and Walter E.
Gillfillan for airport consulting services.
I am attaching a copy of the original agreement between the City
and Mr. Gillfillan as approved July 14, 1980. The agreement
provides for Mr. Gillfillan to perform work as set forth in his
letter dated June 26, 1980, at the rate of $75.00 per hour as
directed by the City Attorney.
Since entering into the original agreement, Mr. Gillfillan has
been directed to perform additional services not originally con-
templated by the agreement, such as appointment to the Orange
r County Airport Noise Abatement Committee and has attended several
meetings of the Orange County Airport Aviation Committee.
It is proposed that the City renew the agreement with Mr.
Gillfillan. The new agreement, a copy of which is attached
hereto, provides for the same hourly rate and the work is at the
direction of the City Attorney. The maximum fee is set at
$20,000. The Consultant is required to send monthly itemized
statements for services rendered. The agreement runs to June 30,
1981. The services contemplated at this time include additional
review of the Master Plan, ANCLUC, EIR 232 and Technical
Appendix, additional review and revision of the position papers
in regards to the Master Plan /ANCLUC, review of the EIR on the
DC9 -Super 80, review of the EIS on John Wayne Airport prepared by

the CAB, detailed review of the proposed Airport Access Plan,
including noise budget, additional review and preparation of a
comprehensive noise control program for John Wayne Airport, to be
part of the ultimate Master Plan /ANCLUC decision process by the
Board of Supervisors, preparation for and appearance as a witness
for the City of Newport Beach at the variance hearings for John
Wayne Airport, attending Orange County Airport Aviation Committee
meetings as needed, attending Orange County Noise Abatement
Control Committee as needed, and providing additional technical
assistance to the City Attorney, Planning Department, Public
Works Department and City Manager on airport related functions.
As is indicated above, at this particular time, a multitude of
airport related issues are coming to a head and a considerable
amount of time is needed to review each airport related issue and
prepare appropriate City response.
We are recycling with this memorandum our memoranda of
December 8, December 22, and that dated November 3, 1980, from
Mr. Gillfillan which outlines the seven items on which he has
prepared review and comment papers, the seven items on which
specific papers or other materials had been prepared for the
City, and the 15 contacts and meetings he has attended during the
initial performance phase of the agreement.

BEACH'a :;;c-ieipal corporation, hereinafter referred to as
"City," and WALTER E. GILLFILLAN, hereinafter referred to as
"Consultant."
WITNESSETH:
WHEREAS, the City has determined to employ professional out-
side consulting services in regards to reviewing the County of
Orange Master Plan, ANCLUC and EIR in regards to John Wayne Air-
port, together with additional technical services for the airport
noise variance hearings and FAA and CAB hearings regarding air-
line service to John •,•layne Airport; and
WHEPFAS, Consultant_ has submitted to City a proposal to
prepare sa'_'. work fo_ City; and
WHEREAS, City desires to accept said proposal,
NOW, THEREFORE, in consideration of the foregoing, the
parties hereto agree as follows:
1. .___?_ 2kL. Consultant agrees to perform the work outlined
in his p:= ^_a'_ dated June 26, 1980, addressed to the Mayor of
the City o`_ "ewport Beach. City agrees to pay to Consultant the
amount set forth in said proposal, an hourly rate of $75.00 and
with a total not to exceed $13,500.
2. SCOPE OF WORK. The scope of work shall be the work set
forth in said proposal, attached hereto and incorporated herein
and marked Exhibit "A." The time of commencing work included
within said proposal, time for completion of work, scheduling of
meetings and briefings shall be controlled by the City Attorney
of the City of Newport Beach.
3. BILLING AND PAYHF,NT. Consultant shall be paid under this
Agreement for hours worsted, but in no event shall the amount
exceed $13,:00. Consu_tant shall submit to City invoices which
will be uses as a basis for payment by City.

4. ^ERMINATION. This Agreement shall terminate on Decem-
ber 30, 178 or at such earlier time as the parties hereto
agree.

SCOPE OF WO ?K
My understanding is that you are most interested in the
review and com .ent on the SNA Master Plan and ANCLUC work.
Review and Comment- to be accomplished and submitted in writt-
en or oral form, as directed.

Recommend Actions- that are directed towards compatibility

SCHEDULE
It is anticipated that my work would begin on or about July 1
with the review and co=ents. Meetings with the Council, staff
and others would occur curing July.and August. It is estimated
that my tire required during this time would be about 22 days.
While there may be requirements for my time beyond August,
it is not possible for your staff to estimate what that might
be at this time. I have no problem with a contract that has a
termination date at the end of 1980 and a "not to exceed" amount.
FEE
To provide you with the maximum flexibility as to scope and
schedule, I propose an hourly rate, with a not- to- exc -ted amount.
My hourly rate for these services would be $75.00 and would in-
clude all my expenses to and from my home office and within
Los Angeles and Orange counties.

On July 14, 1980, the City Council approved -an agreement with
Walter E. Gillfillan, R. E., for services in reviewing the Master
Plan and ANCLUC for John Wayne Airport. The initial approval
involved consideration in the amount of $13,200.
Mr. Gillfillan has performed services for the City in relation-
ship to the Master Plan and ANCLUC and other areas in regards to
JWA. The work performed to date by Mr. Gillfillan has been very
helpful to the City staff in preparing comments in regards to
various airport proposals and activities. The work performed so
far by Mr. Gillfillan has slightly exceeded the original authori-
zation.
The Master Plan, ANCLUC, EIR and Technical Appendix have recently
been released and are being reviewed by Mr. Gillfillan to assist
the City in preparing comments on the documents and helping to
formulate a position in regards to JWA.
It is recommended that the City Council authorize a renewal of
the agreement with Mr. Gillfillan, that the authorized considera-
tion for the renewal should be $20,000, the work in addition to
ANCLUC and Master Plan review be directed by the City Attorney or
City Manager, and that Mr. Gillfillan continue to provide monthly
statements as to the work performed.

THIS AGREEMENT is made and entered into this day

of 1981, by and between CITY OF NEWPORT
BEACH, a municipal corporation, hereinafter referred to as
"City," and WALTER E. GILLFILLAN, hereinafter referred to as
"Consultant."
WITNESSETH:
WHEREAS, on July 14, 1980, the City entered into an
agreement with Consultant to perform airport consulting services
in regards to reviewing the County of orange Master Plan, ANCLUC
and EIR in regards to John Wayne Airport, together with addi-
tional technical services for the airport noise variance hearings
and FAA and CAB hearings regarding airline service to John Wayne
Airport; and
WHEREAS, additional services have been requested of
Consultant to perform additional airport consulting services and
continued performance on the above areas of concern, which proj-
ects are ongoing and require additional technical consideration;
and

WHEREAS, Consultant has submitted to City a proposal in
regards to said work; and
WHEREAS, City desires to accept said proposal,
NOW, THEREFORE, in consideration of the foregoing, the par-
ties hereto agree as follows:
1. GENERAL. Consultant agrees to perform the work outlined
in his proposal dated January 6, 1981, attached hereto and
incorporated herein by this reference and marked Exhibit "A."
City agrees to pay Consultant for services rendered at an hourly
rate of $75.00, not to exceed $35,000.00.
2. SCOPE OF WORK. The scope of work shall be as set forth
in said proposal marked Exhibit "A" attached hereto. The time of
commencing work included within said proposal, the time for com-

At the request of the Council, we are sending additional
information in regards to the existing agreement and proposed
agreement between the City of Newport Beach and Walter E.
Gillfillan for airport consulting services.
I am attaching a copy of the original agreement between the City
and Mr. Gillfillan as approved July 14, 1980. The agreement
provides for Mr. Gillfillan to perform work as set forth in his
letter dated June 26, 1980, at the rate of $75.00 per hour as
directed by the City Attorney.
Since entering into the original agreement, Mr. Gillfillan has
been directed to perform additional services not originally con-
templated by the agreement, such as appointment to the Orange
County Airport Noise Abatement Committee and has attended several
meetings of the Orange County Airport Aviation Committee.
It is proposed that the City renew the agreement with Mr.
Gillfillan. The new agreement, a copy of which is attached
hereto, provides for the same hourly rate and the work is at the
direction of the City Attorney. The maximum fee is set at
$20,000. The Consultant is required to send monthly itemized
statements for services rendered. The agreement runs to June 30,
1981. The services contemplated at this time include additional
review of the Master Plan, ANCLUC, EIR 232 and Technical
Appendix, additional review and revision of the position papers
in regards to the Master Plan /ANCLUC, review of the EIR on the
DC9 -Super 80, review of the EIS on John Wayne Airport prepared by

the CAB, detailed review of the proposed Airport Access Plan,
including noise budget, additional review and preparation of a
comprehensive noise control program for John Wayne Airport, to be

Board of Supervisors, preparation for and appearance as a witness
for the City of Newport Beach at the variance hearings for John
Wayne Airport, attending Orange County Airport Aviation Committee
meetings as needed, attending orange County Noise Abatement
Control Committee as needed, and providing additional technical
assistance to the City Attorney, Planning Department, Public
Works Department and City Manager on airport related functions.
As is indicated above, at this particular time, a multitude of
airport related issues are coming to a head and a considerable
amount of time is needed to review each airport related issue and
prepare appropriate City response.
We are recycling with this memorandum our memoranda of
December 8, December 22, and that dated November 3, 1980, from
Mr. Gillfillan which outlines the seven items on which he has
prepared review and comment papers, the seven items on which
specific papers or other materials had been prepared for the
City, and the 15 contacts and meetings he has attended during the
initial performance phase of the agreement.

it is not possible for your staff to estimate what that might

FEE
To provide you with the maximum flexibility as to scope and
schedule, I propose an hourly rate, with a not- to- ex<aed amount.
My hourly rate for these services would be $75.00 and would in-
clude all my expenses to and from my home office and within.

BEACH, a municipal corporation, hereinafter referred to as
"City," and WALTER E. GILLFILLAN, hereinafter referred to as
"Consultant."
WITNESSETH:
WHEREAS, on July 14, 1980, the City entered into an agree-
ment with Consultant to perform airport consulting services in
regards to reviewing the County of Orange Master Plan, ANCLUC and
EIR in regards to John Wayne Airport, together with additional
technical services for the airport noise variance hearings and
FAA and CAB hearings regarding airline service to John Wayne
Airport; and
WHEREAS, additional services have been requested of Consul- f
tant to perform additional airport consulting services and con-
tinued performance on the above areas of concern, which projects
are ongoing and require additional technical consideration; and

WHEREAS, Consultant has submitted to City a proposal in
regards to said work; and
WHEREAS, City desires to accept said proposal,
NOW, THEREFORE, in consideration of the foregoing, the par-
ties hereto agree as follows:
1. GENERAL. Consultant agrees to perform the work outlined
in his proposal dated January 6, 1981, attached hereto and incor-
porated herein by this reference and marked Exhibit "A." City
agrees to pay Consultant for services rendered at an hourly rate
of $75.00, not to exceed $35,000.00.
2. SCOPE OF WORK. The scope of work shall be as set forth
in said proposal marked Exhibit "A" attached hereto. The time of
commencing work included within said proposal, the time for com-
pletion of work, the scheduling of meetings, briefings and
specific direction on the work shall be controlled by the City
Attorney of the City of Newport Beach.
3. BILLING AND PAYMENT. Consultant shall be paid under
this Agreement for hours worked, based upon specifically

described itemized monthly billings presented to City by
Consultant at the end of each month during the term of this
Agreement.
4. TERM AND TERMINATION. This Agreement shall terminate
June 30, 1981, or at such earlier time as the parties hereto may
agree in writing, upon the giving of five (5) days' prior written
notice.
IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be made and entered into the day and year first
above written.

I propose that the following scope of work be made a
part of the first amendment to my contract dated July 14,
1980:
Under the direction of the City Attorney, the
Consultant shall: (1) prepare written material and make
oral presentations based upon his technical review of
assigned documents. (2) make recommendations to staff and
(3) attend meetings of the Airport Committee, Noise Abate-
ment Committee, City Council, and other meetings that may
be assigned.
These work assignments shall include, but not be
limited to:
- Airport Master Plan /ANCLUC /EIR
- development of City Council policy
- implementation of mitigation measures
- Airline Access Plan
- CAB Environmental Impact Statement
- CALTRANS variance hearing
To provide the flexibility that the City requires
to deal with the unpredictable aspects of the Master
Plan adoption and implementation, I propose that: (1) the
work assignments and expenditures be controlled by the
the City Attorney. (2) there not be a guaranteed min-
imum or maximum contract amount. (3) the term of the
contract be extended through June 30, 1981.
All other provisions of the original contract would
remain in affect.

On July 14, 1980, the City Council approved an agreement with
Walter E. Gillfillan, R. E., for services in reviewing the Master
Plan and ANCLUC for John Wayne Airport. The initial approval
involved consideration in the amount of $13,200.
Mr. Gillfillan has performed services for the City in relation-
ship to the Master Plan and ANCLUC and other areas in regards to
JWA. The work performed to date by Mr. Gillfillan has been very
helpful to the City staff in preparing comments in regards to
various airport proposals and activities. The work performed so
far by Mr. Gillfillan has slightly exceeded the original authori-
zation.
The Master Plan, ANCLUC, EIR and Technical Appendix have recently
been released and are being reviewed by Mr. Gillfillan to assist
the City in preparing comments on the documents and helping to
formulate a position in regards to JWA.
It is recommended that the City Council authorize a renewal of
the agreement with Mr. Gillfillan, that the authorized considera-
tion for the renewal should be $20,000, the work in addition to
ANCLUC and Master Plan review be directed by the City Attorney or
City Manager, and that Mr. Gillfillan continue to provide monthly
statements as to the work performed.

This office, together with the Mayor's office, has been seeking
out a consultant to assist the City in reviewing the Master
Plan and ANCLUC for Orange County Airport. The City does not
have available staff with expertise and experience in reviewing
airport master plans and airport noise control and land use
compatibility studies to make a thorough, detailed and complete
analysis of the documents being prepared for Orange County
Airport.
Of the persons referred to this office and the Mayor, we've
contacted several regarding the ANCLUC and Master Plan for
Orange County Airport and recommend the retention of Walter E.
Gillfillan, R.E., to become a consultant for the City. I am
attaching to this memorandum a copy of the proposal dated June 26,
1980, addressed to the Mayor, together with a biographical sketch
of Walter E. Gillfillan dated September, 1979. We feel that Mr.
Gillfillan is eminently qualified to review the Master Plan and
ANCLUC for Orange County Airport. Mr. Gillfillan has served as
the project manager for the joint action plan to improve compati-
bility between San Francisco International Airport and San Mateo
County environs area by reducing aircraft noise, improving ground
access, and improving air quality. Mr. Gillfillan also has been
retained by SCAG in regards to the Regional Airport Study and
recently has been retained by the State of California to appear as
an expert witness for the State in three pending airport noise
variance hearings, including Orange County. We have discussed the
employment of Mr. Gillfillan by the City of Newport Beach with the

attorneys for the State Department of Transportation, Division
of Aeronautics, who feel, as do we, that there is no conflict
of interest in employing Mr. Gillfillan to provide consulting
services for us in regards to the Master Plan and ANCLUC at
Orange County Airport.
Mr. Gillfillan has provided us with some work already in regards
to an overview of the Master Plan and ANCLUC in their present
status.
In conclusion, it is recommended that the City Council approve
the resolution authorizing the Mayor and City Clerk to execute
an agreement between the City of Newport Beach and Walter E.
Gillfillan, R. E., for consulting services in regards to the
Orange County Airport Master Plan and ANCLUC, consistent with
the proposal of June 26, 1980. The cost to the City will not
exceed $13,200.00. Mr. Gillfillan's work will be on specific
assignment and not a general hourly basis.

WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain Agreement for Consulting

WHEREAS, the City Council has reviewed the terms and
conditions of said Agreement and finds them to be satisfactory
and that it would be in the best interest of the City to
execute said Agreement,
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Newport Beach that the Agreement above described is
approved, and the Mayor and City Clerk are hereby authorized
and directed to execute the same on behalf of the City of
