Payments for materials, parts, and /or services completed are due monthly upon receipt of invoice by the Buyer and shall be made payable to Graycon, Inc., not later than the First (Ist) of the month following the date of invoice. 7. Seller shall maintain such inventory of materials, parts, and supplies as are practical for the maintenance of Buyer's equipment. It shall be understood that obsolescence and /or other circumstances beyond control of the Seller could affect availability of materials and /or parts required. Seller shall not be responsible for any damages as a result of "down" time of Buyer's equipment. 8. Seller shall assume full responsibility to inform the Buyer or his agent of any recommended replacement of parts, addi- tion, or alterations to the systems which in the Seller's opinion would increase thq efficiency, relieve the possibility of breakdown, or otherwise prolong the life of existing equipment. Seller shall submit with any such recommendation, MA -81 -9 an estimate of cost including all labor, parts, and /or materials, overhead, profit, permit fees, plan check fees, and appli- cable taxes for proper authorization to proceed from the Buyer or his agent before performing any such revisions or additions. Seller shall provide emergency service available to the Buyer on a 24 -hour basis to resolve and correct any operational or mechanical failure of equipment subject to this Contract Agreement. Buyer shall pay for all emergency service at the regular rates charged by the Seller. Overtime rates shall be paid by the Buyer when emergency service is required at a time other than normal working hours, 8:00 a.m. to 4:30 p.m., Monday through Friday. Service Rate Schedule A. Seller shall reserve the right to adjust the Contract price or the service rate schedule (either increase or decrease the hourly labor rates) commensurate with any changes in the labor rate under the Industry-Wide Labor Agreement during the effective dates of this Contract Agreement, 11. The area surrounding the equipment subject to this contract will at all times be free of obstruction, enclosure, or hazards, so that the Seller's agent will have ready access to said equipment. The Buyer agrees that adequate ventilation will at all times be afforded to the equipment. The Buyer also agrees to take all fire and safety precautions, all recom- mendations of the National Board of Underwriters and the California Safety commission. 12. The Seller shall be authorized to assign, subcontract, or sell all or any part of its rights and obligations under this Con- tract. 13. Should alterations, additions, adjustments, or repairs be made by others, Seller shall have the right to terminate its obligations hereunder. 14. Seller reserves the right to discontinue this Maintenance Service any time, without notice, should payments under this Contract not be made as agreed._ 15. Seller shall not, under any circumstances, be liable for any accident, injury, breakage, loss, or damage to the equipment or machinery, appliances, or property connected therewith, unless such loss or damage is caused by negligent acts of omission or commission by Seller's agents, employees, or subcontractors. 16. The Seller is not an insurer of the operation of the equipment subject to this Agreement. The Seller shall not be liable for any loss, cost, expense, or consequential damages of any nature caused by failure of the equipment. 17. This Contract Agreement shall begin on the effective date of this Agreement, and shall remain in effect for one (1) year from the effective date unless terminated by either party by giving to the other party at least thirty (30) days prior written notice by registered mail. This Agreement incorporates herein by reference the July 1, 1981 letter between the City Attorney's office and Joseph Welch, Service Manager and signed July 23, 1981; said letter is attached hereto and referred to as Exhibit "A ". This Agreement takes precedence over any and all proposals, correspondence, and oral agreements made prior to the date hereof, and the entire agreement of the parties is set forth herein. Graycon, Inc. service representative for the beach area has done a study of our air conditioning blueprints. They service other systems like ours and understand it thoroughly. HVAC systems that are serviced on a routine basis prevent unnecessary repairs by providing consistent and knowledgeable maintenance. Building, General Services, and Public Works Departments have been con- tacted. No one in these Departments is qualified to maintain HVAC systems or has knowledge of any in -house HVAC service. Additionally, it was thought that City policy was to use outside services for HVAC systems. The proposed HVAC maintenance service agreement from Graycon, Inc. has been reviewed by the City Attorney's office, which has made certain alterations to the proposed agreement. Graycon, Inc. has reviewed these changes and has accepted them. A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A MAINTENANCE SERVICE AGREEMENT WITH GRAYCON, INC. FOR NEWPORT CENTER BRANCH LIBRARY WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain Maintenance Service Agreement between the CITY OF NEWPORT BEACH and GRAYCON, INC. for the Newport Center Branch Library HVAC system; and WHEREAS, the City Council has reviewed the terms and conditions of said Maintenance Service Agreement and finds them to be satisfactory, and that it would be in the best interest of the City to execute said Maintenance Service Agreement. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that the Maintenance Service Agreement above described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
