NOTICE OF TERMINATION OF DEVELOPMENT AGREEMENT
This NOTICE OF TERMINATION OF DEVELOPMENT AGREEMENT ("Notice of
Termination") is executed and recorded by THE IRVINE COMPANY LLC, a Delaware
limited liability company ("TIC"), and CITY OF NEWPORT BEACH, a municipal corporation
and charter city ("City"), for the limited purposes as described herein.
City and TIC (as successor in interest to The Irvine Company, a Michigan corporation) are
parties to that certain North Ford Development Agreement recorded in the Official Records
of Orange County ("Official Records") on April 29, 1985 as Instrument No. 85-151866 (the
"Development Agreement"). The Development Agreement is recorded against and binds
and benefits certain real property located in Orange County as more fully set forth in the
Development Agreement (the "Property").
2. Pursuant to Section 6 of the Development Agreement, the term of the Development
Agreement expired, and City agreed to acknowledge such expiration by executing such
instruments as may be necessary to ensure proper termination and to remove the obligations
of TIC as to matters of title with regard to the parcels involved.
3. Upon execution of this Notice of Termination, the Development Agreement is and shall be
terminated and TIC (and the successor owners of the Property) and City shall be released
from and have no further rights, title and interest and obligations, duties, responsibilities,
conditions and restrictions under the Development Agreement.
