California AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES FOR REPORT ON CONDITION OF LIDO ISLE AND LITTLE BALBOA ISLAND BRIDGES THIS AGREEMENT is made and entered into this day of 1981, by and between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter referred to as "CITY," and the firm of WILLIAM M. SIMPSON, CONSULTING STRUCTURAL ENGINEER, hereinafter referred to as "ENGINEER." W I T N E S S E T H WHEREAS, CITY desires an in -depth inspection and an assessment of seismic restraint performed for the Lido Isle Bridge and the Little Balboa Island Bridge, and the preparation of a project report; such inspection, assess- ment, and project report, detailing the findings of the inspection and assess- ment, hereinafter referred to as "REPORT "; and WHEREAS, ENGINEER has submitted a proposal to CITY, dated September 8, 1981, to provide professional services for the preparation of REPORT; and WHEREAS, CITY desires to accept said proposal; NOW, THEREFORE, in consideration of the foregoing, the parties hereby agree as follows: I. GENERAL A. CITY engages ENGINEER to perform the services hereinafter described for the compensation set forth. B. ENGINEER agrees to perform said services upon the terms set forth hereinafter. II. SERVICES TO BE PERFORMED BY ENGINEER ENGINEER hereby agrees to perform the following services: A. Provide detailed field inspection to determine extent of structural and cosmetic deterioration of the bridges. B. Provide assessment of the need to alter restraints for either gravity or seismic loads upon the bridges. C. Prepare a detailed report of the inspection and assessment findings, plus details for construction of restraint altera- tions (if needed). D. Prepare recommendations and estimates of costs to effect structural and cosmetic repairs, plus restraint alterations (is needed) to each bridge. - 1 - III. DUTIES OF CITY CITY hereby agrees to provide ENGINEER with the following: A. Copies of available maps and plans of existing bridge improvements. B. Materials tests, if deemed necessary by CITY and ENGINEER during inspection phase of REPORT. IV. TIME OF COMPLETION Final REPORT shall be submitted to CITY on or before December 1, 1981. V. OWNERSHIP OF REPORT DOCUMENTS Original field notes, photographs, computation, details and REPORT shall become the property of CITY and may be repro- duced and utilized as deemed necessary by CITY. VI. RIGHT OF TERMINATION CITY reserves the right to terminate this Agreement at any time by giving ENGINEER seven days' prior written NOTICE OF TERMINATION; such notice shall be deemed served upon deposit in the United States mail, postage prepaid, addressed to ENGINEER's business office at 2222 Newport Boulevard, Newport Beach, CA 92663. In the event of termination due to error, omission or negligence of ENGINEER, CITY shall be relieved of obligation to compensate ENGINEER for that portion of REPORT affected by such error, omission or negligence of ENGINEER, and that portion of REPORT documents shall remain the property of ENGINEER. If this Agreement is terminated for any other reason, CITY agrees to compen- sate ENGINEER for actual service performed up to the effective date of the NOTICE OF TERMINATION, upon the basis of the FEE SCHEDULE hereinafter set forth. VII. FEE SCHEDULE AND PAYMENT In consideration for the SERVICES TO BE PERFORMED, described herein, CITY hereby agrees to compensate ENGINEER an amount arm based upon the FEE SCHEDULE set forth below. In no event shall Aggregate Compensation be greater than Fifteen Thousand Dollars ($15,000) except as otherwise provided hereinafter. A. Fees for ENGINEER's personnel shall be per the following FEE SCHEDULE: CLASSIFICATION FEE Engineering and Inspection $40 per hour Clerical and Drafting $20 per hour Operator with Boat $150 per 44 r 1) &y L"A In addition, ENGINEER may bill CITY for related costs, such as photography and reproductions, at cost plus ten percent (10 %) with prior approval of CITY. B. CITY shall remit PAYMENT to ENGINEER within fourteen (14) days after submittal of REPORT documents and invoice to CITY. Invoice shall include classifications of personnel, dates and hours worked on REPORT. VIII. ADDITIONAL WORK Additional work authorized by CITY and completed by ENGINEER, but not included in this Agreement, shall be compensated in accordance with SECTION VII, FEE SCHEDULE AND PAYMENT. IX. AMENDMENT The scope of services to be furnished by ENGINEER may be revised and Aggregate Compensation amended with prior written approval of CITY, except that an increase in Aggregate Compensation ex- ceeding One Thousand Dollars ($1,000) shall require that an amendment for such revision be processed and executed by CITY and ENGINEER. X. ASSIGNMENT This Agreement or any portion thereof shall not be assigned without the prior written consent of CITY. - 3 - XI. HOLD HARMLESS ENGINEER shall assume the defense of and indemnify and hold harmless CITY and its officers and employees from claims, loss, damage, injury and liability arising from error, omission or negligence in ENGINEER's performance of services required by this Agreement. C aaQ Z SUBJECT: AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES: REPORT ON CONDITION OF LIDO ISLE AND LITTLE BALBOA ISLAND BRIDGES RECOMMENDATION: Adopt a resolution authorizing the Mayor and the City Clerk to execute the subject agreement with William M. Simpson, Consulting Structural Engineer. DISCUSSION: Since their construction circa 1929, the Lido Isle and Little Balboa Island Bridges have sustained an undetermined amount of deterior- ation caysed by age and marine environment. In addition, the bridges are subject to heavier loads,and the design provisions for seismic restraints have changed since the original construction. It is the staff's desire to perform an in -depth inspection of the bridges, and to assess the sufficiency of their seismic restraints. William M. Simpson, Consulting Structural Engineer, has submitted a proposal to provide such inspection and assessment within the following scope of service: 1. A detailed field inspection to determine the extent of deterioration of the bridges; 2.. An assessment of the need to alter bridge supports for either gravity or seismic loads; 3. A detailed report of the inspection and assessment findings; and 4. Recommendations and estimates of costs to effect repairs to each bridge. The City will compensate Simpson according to his hourly fee schedule, plus photography and charter boat allowances, total not to exceed $15,000. Materials testing will be performed, if deemed necessary during inspection, with the City providing direct payment to the testing laboratory. r September 28, 1981 Subject: Agreement for professional engineering services: Report on condition of Lido Isle and Little Balboa Island bridges Page 2 Simpson is a well - established international consultant head- quartered on Balboa Peninsula. Simpson has not performed prior engineering service for the City, but has recently completed an in- spection, analysis and report for the rehabilitation of the City of Huntington Beach pier. Adequate funds for the report have been budgeted under Account No 02- 4197 -228. a. /V441 Benjamin B. Nolan Public Works Department 140M.1 RESOLUTION NO. 1'1 U 51 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NEWPORT BEACH AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES WITH WILLIAM M. SIMPSON, CONSULTING STRUCTURAL ENGINEER, IN CONNECTION WITH LIDO ISLE AND LITTLE BALROA ISLAND BRIDGES WHEREAS, there has been presented to the City Council of the City of Newport Beach a certain Engineering Services Agreement between the CITY OF NEWPORT BEACH and WILLIAM M. SIMPSON, in connection with consulting structural engineering services for Lido Isle and Little Balboa Island bridges; and WHEREAS, the City Council has reviewed the terms and conditions of said Engineering Services Agreement and finds them to be satisfactory, and that it would be in the best interest of the City to execute said Engineering Services Agreement. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport Beach that the Engineering Services Agreement above described is approved, and the Mayor and City Clerk are hereby authorized and directed to execute the same on behalf of the City of Newport Beach.
