AGREEMENT FOR DESIGN SERVICES
SAN MIGUEL PARK
THIS AGREEMENT is entered into this day of C: e�!�'L
1981, by the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter re-
ferred to as "CITY" and the firm of LANG & WOOD, LANDSCAPE ARCHITECTS,
hereinafter referred to as "ARCHITECT."
WITNESSETH:
WHEREAS, CITY desires to develop and landscape a vacant parcel of
land that is located easterly of San Miguel.Drive and southerly of Spy Glass
Hill Road in the City of Newport Beach, and which is known as San Miguel Park;
and
WHEREAS, design services are necessary to prepare a master plan for
the development and landscaping of the park; and to prepare plans, specifica-
tions, and estimates suitable for budgeting construction funds and construc-
ting the project by means of public bidding procedures; and
WHEREAS, ARCHITECT has submitted a proposal to provide said design
services and prepare said plans, specifications, and estimates; and
WHEREAS, CITY desires to accept said proposal from ARCHITECT;
NOW, THEREFORE, in consideration of the foregoing, the parties hereto
agree as follows:
I. GENERAL
A. CITY engages ARCHITECT to perform the services hereinafter
described for the compensation herein stated.
B. ARCHITECT agrees to perform said services hereinafter de-
scribed for the compensation herein stated.
II. PROFESSIONAL SERVICES TO BE PERFORMED BY ARCHITECT
A. Master Plan Phase:
1. Visit the site and review existing documents in order
to be familiar with conditions governing the site and construction thereon.

2. Confer with CITY's staff to gain an understanding of

3. Prepare conceptual drawings and material descriptions
delineating the general design of the project. Said drawings will indicate
all hardscape and softscape treatment in the form of plans, sections, details
and sketches as necessary to describe the project adequately.
4. Provide a topographic survey of property.
5. Attend one meeting of the Parks, Beaches, and Recreation
Commission to present the project to the Commission.
B. Preliminary Design Phase:
1. Prepare preliminary design which will include site plan,
grading and drainage solutions, planting layout, facilities layout, lighting
considerations, and play apparatus considerations.
2. Prepare a preliminary construction cost budget based
upon approved plans.
3. The product will consist of one rendered set of the
preliminary work, suitable for presentation at public meetings.
4. Secure written approval of CITY staff.
C. Construction Document Phase:
1. Prepare the following construction documents suitable
for use in public bidding procedures:
a. Grading plans
b. Hardscape construction plans
c. Architectural plans for a restroom building
d. Site electrical plan
e. Site irrigation plan
f. Site planting plan
g. Appropriate construction details
h. Technical specifications
i. Bid proposal
2. Arrange for soils analysis for agricultural suitability.
3. Calculate construction quantities.
4. Prepare construction estimate.
5. Revise construction documents if required.
a. If bids received exceed the approved budget by more
than 10%, ARCHITECT agrees to revise construction documents at no cost to CITY.

b. If bids received exceed the approved budget by 10%
or less, and revisions to the construction documents are required, the revision
shall be considered as additional services to be paid for by CITY.
6. The work product of ARCHITECT will consist of one set
of drawings on mylar sheets furnished by CITY; one set of specifications and
proposal typed on white bond paper; and one construction estimate.
III. COMPENSATION AND METHOD OF PAYMENT
A. Compensation for Design Services
1. Compensation for design services will be paid for on
an hourly basis at the following rates:

2. The total paid for each phase of design services shall
not exceed the following amounts:
Master Plan phase $ 3,000

B. Additional Design Services
1. Additional design services shall include, but not be
limited to, the following items not included in Section II above:
a. Attendance or presentations at public meetings in
excess of the one meeting included in Section II above.
b. Architectural models, additional renderings, and
additional presentation drawings in excess of those specified in Section II
above.
c. Revisions to the work following acceptance, changes
in scope or modifications of the project, design of and /or participation in
work beyond the designated site.
d. Formal bidding procedures and /or contract negotia-
tions with contractors.

2. Compensation for additional design services shall be
made at the same hourly rates and in the same manner as compensation for
design services.
C. Reimbursable Expenses
1. The following items will be considered additions to the
fee, reimbursable at the direct cost to ARCHITECT, plus 10% administration.
The figures shown below are allowances that cannot be exceeded without the
prior written authorization of CITY.
D. Consultants
1. ARCHITECT may retain the following consultants as part
of the design services:
Architect - Restroom Building
Civil Engineer - Site grading and horizontal controls
Electrical Engineer - Site electrical
Structural Engineers - Structural calculations
Irrigation Consultant - Irrigation
2. Compensation for consultants shall be paid by ARCHITECT
as an integral part of the design services, and no extra compensation therefor
will be paid by CITY.

D. Consultants
1. ARCHITECT may retain the following consultants as part

2. Compensation for consultants shall be paid by ARCHITECT

E. Maximum Compensation
1. The total compensation may not exceed Thirty -eight
Thousand Eight Hundred Ten Dollars ($38,810) without the prior written
approval of CITY.
2. Progress payments to ARCHITECT will be made monthly.
3. The sum of the monthly payments shall not exceed
Ninety Percent (90 %) of the maximum fee.
4. Balance of the total amount earned to be paid upon
completion of work specified in Section II (PROFESSIONAL SERVICES TO BE
PERFORMED BY ARCHITECT).
IV. OWNERSHIP OF PROJECT DOCUMENTS
Original drawings, reports, notes, maps and other documents
shall become the property of the CITY and may be reproduced and utilized as
deemed necessary by the CITY.
V. TIMING
A. Completion of Preliminary Analysis, Preliminary Design
and Final Design
1. Preliminary Project analysis shall be presented to CITY
for review within Fourteen.(14) calendar days after issuance of a notice to
proceed. The notice to proceed will be issued at the time when all base in-
formation has been received by the ARCHITECT from the CITY.
2. Preliminary design and cost estimate shall be completed
and submitted for review within Forty -five (45) calendar days following
authorization by CITY to proceed with preliminary design.
3. Final design, including all plans and other documents
for the Project shall be submitted to CITY for final review within One Hundred
Five (105) calendar days following authorization by CITY to proceed with final
design.
VI. RESPONSIBILITIES OF CITY
A. CITY shall provide the following information and services
in order for ARCHITECT to complete his work:
1. Plans for adjacent roads, utilities and easements.
2. Designate a representative to act in CITY's behalf
with respect to the Project. CITY's representative shall examine documents
submitted by ARCHITECT and shall render decisions promptly to avoid unreason-
able delay in the progress of ARCHITECT's services.

3. Report promptly in writing to ARCHITECT any fault or
defect in ARCHITECT's services or non - conformance during construction.
B. Services, information, and all documents furnished by CITY
or others retained by CITY shall be provided at CITY's expense. ARCHITECT
shall be entitled to rely on the accuracy and completeness thereof.
VII. RENEGOTIATION
If the Project is suspended for more than none (9) months or
abandoned in whole or in part and resumed after such suspension or abandon-
ment, ARCHITECT's compensation shall be subject to renegotiation.
VIII. RIGHT OF TERMINATION
CITY reserves the right to terminate this Agreement at any time
and for any reason by giving ARCHITECT seven (7) days' prior written notice;
notice shall be deemed served upon deposit in the United States Mail, postage
prepaid, addressed to any of the ARCHITECT's business offices. In the event
of termination due to fault by ARCHITECT, CITY shall be obligated to compen-
sate ARCHITECT for only those authorized services which have been completed
and accepted by the CITY. If this Agreement is terminated for any reason
other than fault of ARCHITECT, CITY agrees to compensate ARCHITECT for the
actual services performed up to the effective date of the notice of termina-
tion, on the basis of the fee schedule contained herein.
IX. PROJECT SCOPE REVISIONS
The scope of the Project may be changed and the maximum fee
revised upon prior written approval of CITY if the increase in the maximum
fee does not exceed Three Thousand Eight Hundred Eighty -one Dollars ($3,881.00).

Any revisions to the scope of the Project which would result in an increase
in the maximum fee exceeding Three Thousand Eight Hundred Eighty -one Dollars
($3,881.00) may be approved by CITY pursuant to a written amendment to this
Agreement executed by the parties hereto.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement
on the date first above written.

SUBJECT: DESIGN SERVICES AGREEMENT FOR SAN MIGUEL PARK
RECOMMENDATION:
Adopt a resolution approving a design services agreement with
Lang & Wood, Landscape Architects, in the estimated amount of
$38,810 to prepare plans and construction documents for improve-
ments at San Miguel Park; and authorizing the Mayor and the City
Clerk. to execute the agreement.
DISCUSSION:
The 1980 -81 budget contains an appropriation of $48,000 from the Park
and Recreation Fund to prepare plans, specifications, and a construction esti-
mate for developing a City -owned parcel at San Miguel and Spyglass Hill Roads.
Development will include a multi - purpose athletic field, small park-
ing lot, walks, playground equipment, picnic area, irrigation system, and
drought resistant, low maintenance type plantings. A public restroom will be
designed, but may or may not be built in the initial construction phase. The
location and schematic plan of development are shown on the attached sketch.
The firm of Lang & Wood is well known locally, and was the designer
of the City's Bayside Drive Park. Mr. Lang is considered to be an expert on
drought- resistant, native plantings.
Construction funds are not included in the current appropriation.
It is planned to use the construction estimate based on the completed plans as
part of a capital project request to be included in the 1982 -83 budget.

OF NEWPORT BEACH AUTHORIZING THE MAYOR AND
CITY CLERK TO EXECUTE A DESIGN SERVICES
AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH
AND LANG & WOOD LANDSCAPE ARCHITECTS IN
CONNECTION WITH CONSTRUCTION IMPROVEMENTS AT
SAN MIGUEL PARK
WHEREAS, there has been presented to the City Council
of the City of Newport Beach a certain Design Services Agreement
between the City of Newport Beach and Lang & Wood, Landscape
Architects, in connection with preparation of construction
documents for improvements at San Miguel Park; and
WHEREAS, the City Council has reviewed the terms and
conditions of said Design Services Agreement and finds them to be
satisfactory and that it would be in the best interests of the
City to execute said Design Services Agreement.
NOW, THEREFORE, BE IT RESOLVED by the City Council of
the City of Newport Beach that the Design Services Agreement
above - described is approved, and the Mayor and City Clerk are
hereby authorized and directed to execute same on behalf of the
City of Newport Beach.
