FOR

THIS AGREEMENT is made and entered into this r day of

11' 1982, by and between the CITY OF NEWPORT BEACH, a municipal
core ration, hereinafter referred to as "CITY," and the firm of WILLIAM M. SIMPSON,
CONSULTING STRUCTURAL ENGINEER, hereinafter referred to as "ENGINEER."
W I T N E S S E T H
WHEREAS, ENGINEER has recently performed for CITY an in -depth in-
spection, assessment of seismic restraint, and report on the condition of Lido
Isle Bridge; such inspection, assessment and report hereinafter referred to as
"REPORT "; and
WHEREAS, CITY desires to have plans and specifications prepared for
the rehabilitation of Lido Isle Bridge; such rehabilitation hereinafter re-
ferred to as "PROJECT "; and
WHEREAS, ENGINEER has submitted a proposal to CITY dated August 4,
1982, to provide engineering services for PROJECT, utilizing and augmenting in-
formation contained in REPORT; and
WHEREAS, CITY desires to accept said proposal;
NOW, THEREFORE, in consideration of the foregoing, the parties hereby
agree as follows:
I. GENERAL
A. CITY engages ENGINEER to perform the services hereinafter
described for the compensation set forth.
B. ENGINEER agrees to perform said services hereinafter de-
scribed under the terms set forth.
C. ENGINEER may perform additional engineering services, such
as those CITY deems necessary due to conditions discovered
during construction, in accordance with Section VIII,
ADDITIONAL WORK, and Section IX, AMENDMENT, herein following.
II. SERVICES TO BE PERFORMED BY ENGINEER
ENGINEER hereby agrees to perform the following services:

A. Provide centerline, topographical and additional structural
survey necessary to prepare completed construction plans,
including removals, joins, control points, etc.
B. Prepare detailed plans, specifications, Engineer's estimate
(PS & E) and bid proposal that provide for (1) bridge reha-
bilitation to restore the original as -built capacity; (2)
increased aesthetic appearance of the bridge, including
abutments, wingwalls and railing extensions, and (3) installa-
tion of seismic restrainers, all as recommended in REPORT.
Plans and specifications shall reference to CITY's Standard
Special Provisions and Standard Drawings for Public Works
Construction, the Standard Specifications for Public Works
Construction, and the Work Area Traffic Control Handbook,
and shall contain detailed provisions for public convenience
and safety, project site maintenance, contractor's work and
storage areas, etc., which supplement applicable sections
of the aforementioned Standards. Plans and specifications
shall require methods and materials of rehabilitation,
aesthetic treatment and seismic restraint which are intended
to provide the level of protection necessary for an additional
twenty years' maintenance -free use of Lido Isle Bridge.
C. Resolve construction problems (but not inspect construction)
which may occur as a result of inaccurate or insufficient
content in the plans or specifications.
III. DUTIES OF CITY
CITY hereby agrees to provide ENGINEER with the following:
A. Copies of contract plans, specifications, estimates, bid
proposals, etc., from previous CITY projects (for ENGINEER's
reference).
B. CITY's standard mylar plan sheets.
C. Copies of existing Lido Isle Bridge improvement records and
related field survey notes, bench marks and centerline data.
IV. TIME OF COMPLETION
Final plans, specifications and estimate shall be submitted to
CITY for review by November 19, 1982.

V. OWNERSHIP OF CONTRACT DOCUMENTS
Original plans, specifications, etc., produced through this
AGREEMENT are property of CITY and may be reproduced and
utilized as deemed necessary by CITY.
VI. RIGHT OF TERMINATION

CITY reserves the right to terminate this AGREEMENT at any time
by giving ENGINEER seven days' prior written NOTICE OF TERMINATION;
such notice shall be deemed served upon deposit in the United
States mail, postage prepaid, addressed to ENGINEER's business
office at 2222 Newport Boulevard, Newport Beach, CA 92663. In
the event of termination due to error, omission or negligence of
ENGINEER, CITY shall be relieved of obligation to compensate
ENGINEER for that portion of REPORT affected by such error, omis-
sion or negligence of ENGINEER, and that portion of REPORT
documents shall remain the property of ENGINEER. If this Agree-
ment is terminated for any other reason, CITY agrees to compensate
ENGINEER for actual service performed up to the effective date of
the NOTICE OF TERMINATION, upon the basis of the FEE SCHEDULE
hereinafter set forth.
FEE SCHEDULE AND PAYMENT
In consideration for the SERVICES TO BE PERFORMED, described
herein, CITY hereby agrees to compensate ENGINEER an amount
based upon the FEE SCHEDULE set forth below. In no event shall
Aggregate Compensation be greater than Seventeen Thousand Five
Hundred Dollars ($17,500) except as otherwise provided herein-
after.

B. CITY shall remit PAYMENT to ENGINEER within fourteen (14)
days after submittal of monthly billing to CITY. Billings
shall include classifications of personnel, dates and hours
worked.
VIII. ADDITIONAL WORK
Additional work authorized by CITY and completed by ENGINEER,
but not included in this Agreement shall be compensated in
accordance with SECTION VII, FEE SCHEDULE AND PAYMENT.
IX. AMENDMENT
The scope of services to be furnished by ENGINEER may be revised
and Aggregate Compensation amended with prior written approval
of CITY, except that an increase in Aggregate Compensation ex-
ceeding Six Thousand Dollars ($6,000) shall require that an
amendment for such revision be processed and executed by CITY
and ENGINEER.
X. ASSIGNMENT
This Agreement or any portion thereof shall not be assigned
without the prior written consent of CITY.
XI. HOLD HARMLESS
ENGINEER shall assume the defense of and indemnify and hold
harmless CITY and its officers and employees from claims, loss,
damage, injury and liability arising from error, omission or
negligence in ENGINEER's performance of services required by
this Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement on the date first written above.

SUBJECT: AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES: LIDO ISLE BRIDGE
REHABILITATION (C -2292)
RECOMMENDATION:
Authorize the Mayor and the City Clerk to execute the subject agree-
ment with William M. Simpson, Consulting Structural Engineer.
DISCUSSION:
Since its construction in 1929, the Lido Isle bridge has sustained
a significant amount of deterioration caused by aging materials and the marine
environment. The bridge is also now subject to heavier axle loads; and should
be retrofitted with seismic restrainers in order to comply with current
CalTrans recommendations.
A 1981 report on the condition of the Lido Isle bridge by William M.
Simpson, Consulting Structural Engineer, details rehabilitation and retrofit
work needed for the bridge. More recently, Simpson submitted a proposal
to provide the following professional services for such a project:
1. Centerline, topographical, and additional structural surveys
necessary to prepare contract documents.
2. Plans, specifications, Engineer's estimate and bid proposal
that provide for (a) bridge structure rehabilitation to restore
the original as -built capacity; (b) injection sealing of cracks,
application of a waterproof sealant coating, and miscellaneous
repairs to the bridge, including abutments, wingwalls, and
railing extensions; and (c) installation of seismic restrainers;
all as recommended in the Simpson report.
3. Resolution of construction problems which may occur during the
course of the work.
Compensation would be in accordance with Simpson's hourly fee sched-
ule, with total fee for the services specified above not to exceed $17,500.
In addition, a $6,000 allowance for additional professional services, such as
those staff deems necessary due to conditions discovered during construction,
will be provided for in the contract.

Simpson's preliminary estimate for rehabilitation and retrofit de-
tailed in his report totals $161,765, using 1981 construction costs. Account
No. 02- 4197 -248 provides $194,000 for the total project, including professional
services.
The contract documents are to be completed on or before November 19,
1982. Barring unforeseen delay, work could commence on or about February 1,
1982.
