AGREEMENT FOR ARCHITECTURAL SERVICES
THIS AGREEMENT entered into this hay of 1983,
by and between THE CITY OF NEWPORT BEACH, A Municipal Corporation
and Charter City (hereinafter "City "), and WILSON V. WOODMAN &
ASSOCIATES, a California corporation, (hereinafter "Architect ") ,
is made with reference to the following facts:
A. City wishes to retain architect to perform profes-
sional services in conjunction with the design and construction
of a professional and technical building; and
B. Architect has represented to City that it is
properly licensed and capable of performing the services called
for in this Agreement;
NOW THEREFORE, the parties hereto agree as follows:
1. DUTIES OF ARCHITECT
Basic Services - Architect's professional services shall
consist of the following:
(a) Design development
(b) Construction documents,

(c) Construction administration,
(d) Architect shall also obtain bids from qualified
professionals to provide civil engineering service,
soils testing and reports and testing of soil com-
p action and concrete foundation during
construction.
2. DUTIES OF CITY
The Building Department of City shall provide structural
engineering services as follows:
(a) Calculations
(b) Rough layouts and details sufficient to allow a
draftsman to prepare drawings.
(c) Review and approval of structural drawings.
(d) Review and approval of shop drawings.
(e) Construction coordination.
(f) Drafting will be done by a draftsman to be selected
by and work under the direction of the Building
Department.
The cost of the Draftsman and other Design Costs
applicable to this portion of the work will be paid by Architect

under an allowance of $6,500.00, the amount to be included in
Architect's fixed fee. Architect will not be responsible for

costs exceeding this allowance. Any portion of this allowance
not used will be credited to City on the final billing.
City will also select, from the bids obtained by
Architect, the person or firm to perform civil engineering
services, prepare soils testing and reports and perform soils
compaction and concrete foundation tests during construction.
City will be fully responsible for payment for these services.
3. ARCHITECT'S ADDITIONAL SERVICES
(a) Any work let under separate contracts shall be
subject to additional compensation.
(b) If, after a scheme has been approved, the
Client makes a decision which, for its proper
execution, involves additional services and
expense for changes in or additions to the
drawings specifications or other documents; or
if the Architect be put to labor or expense by
delays caused by the Client or a contractor,
or by the delinquency or insolvency of either,

or as a result of damage by fire or other
casualty, the Architect is to be paid by the
Client for such additional service and
expense.
4. COMPENSATION
For the basic services to be performed Architect
shall be paid $72,000. The proportion of basic compensation to be
attributed to the basic services as follows:
Design Development 25%
Construction Documents 60%
Construction Administration 15%
Statements shall be rendered monthly in proportion
to amount of services completed and paid within 10 days of rendi-
tion. Until actual cost of construction is determined payments
on account shall be based upon estimated costs approved by the
Client. No deductions to be made on account of penalty,
liquidated damages, or other sums withheld from payments to con-
tractors.

5. TERMINATION RIGHTS
The City may, without cause and upon giving
Architect seven (7) days written notice, terminate this agree-
ment. In the event of early termination the City shall pay
Architect for the services to be performed to the date of
termination.
6. ADDITIONAL SERVICES
For additional services, the architect shall be
paid for work let under separate contracts, an additional
compensation of a sum equal to 2.9 times Direct Personnel cost,
including principals, and related payroll costs. Architect shall
also be paid a sum equal to 1.1 times the cost of consultants for
structural, mechanical and electrical enginering or other
specialized work equipment.
7. REIMBURSEMENTS
Architect shall be paid a sum equal to 1.1 times
the actual costs incurred by Architect, in the interest of the
Project. The expenses for which reimbursement is allowed include
telegrams, long distance telephone calls, travel and out -of -town
expenses, cost of models or renderings, fees paid for securing

approvals and reproduction of additional documents.
B. SURVEYS AND BORINGS
The Client will furnish a certified survey of the
building site together with full information regarding existing
structures, rights, zoning, and other restrictions, easements,
boundaries and contours of the building site and also with res-
pect to sewer, water, gas and electrical services.
9. ADMINISTRATION
The Architect will make such periodic visits to the
work as he deems necessary to ascertain whether it is being
executed in conformity with drawings, specifications or direc-
tions. The Architect is not responsible for the performance of
contractors, for their errors or omissions, or the safe conduct
of the work.
10. SUCCESSORS AND ASSIGNMENTS
Neither the Client nor the Architect shall assign
or transfer his interest in this agreement without the written
consent of the other.

11. OWNERSHIP OF DRAWINGS AND SPECIFICATIONS
The City of Newport Beach shall be the owner of the
drawings and specifications, but shall not sell or otherwise
transfer those documents.
12. ARBITRATION
All questions in dispute under this agreement shall
be submitted to arbitration in accordance with the provisions,
then obtaining, of the Standard Form of Arbitration Procedure of
the American Arbitration Association.
13. ADDITIONAL PROVISIONS
"Architect" as used in this agreement means the
undersigned corporation which agrees to furnish architectural
services by and under the direction of certificated architects as
provided herein.
14. SCOPE OF AGREEMENT
This is the entire agreement between the parties
and there are no agreements, conditions, or representations bet-
ween the parties except as expressed herein.
This agreement was executed by the parties hereto as of
the day and year first above written.

SUBJECT: Professional /Technical Building Architectural Contract
Attached for your consideration is a contract with Wilson V. Woodman and
Associates for architectural services to design the Professional /Technical
building in the amount of $72,000.00 fixed fee. The $72,000.00 fee is for
architectural services for complete plans and specifications for the proposed
Professional /Technical building.
An additional funding of $15,000.00 is requested to pay for items which the
City as owner needs to do to augment this agreement. These items include a
soils investigation, surveying and other civil engineering work, testing of
soils, concrete and other construction materials. It is anticipated this
amount will also fund reproduction costs for plans, specifications, and
bidding documents as well as most of the reimbursable expenses encountered
by the architect.
The attached contract has been revised by the City Attorney's office and
approved as to form.
