At its adjourned Meeting of June 26, 1984, the Irvine
City Council approved the agreement with Newport Beach
to resurface Campus Drive between Jamboree Boulevard
and MacArthur Boulevard.
Accordingly, enclosed are three duplicate originals of
the contract. Please sign all docmtents and return
two copies to this office.

AGREEMENT
THIS AGREEMENT, made and entered into this day of ,
1984.
AND
BY AND BETWEEN
The CITY OF NEWPORT BEACH,a municipal corporation
hereinafter designated as "NEWPORT BEACH ",
The CITY OF IRVINE, A municipal corporation,
hereinafter designated as "IRVINE"
W I T N E S S E T H
WHEREAS, NEWPORT BEACH proposes to repair and resurface Campus Drive
between Jamboree Road and MacArthur Boulevard, hereinafter referred to as PROJECT;
and
WHEREAS, a portion of Campus Drive between Jamboree Road and MacArthur
Boulevard is within incorporated limits of IRVINE; and
WHEREAS, IRVINE desires to participate in NEWPORT BEACH's project to
resurface the portion of PROJECT within incorporated limits of IRVINE; and
WHEREAS, NEWPORT BEACH and IRVINE wish to define areas of responsibility
for the design, construction and inspection of PROJECT; and
WHEREAS, Campus Drive is a secondary arterial highway on NEWPORT BEACH's
and IRVINE's Master Plan of Arterial Highways.
NOW, THEREFORE, IT IS AGREED by the parties hereto as follows:
I. NEWPORT BEACH shall:
A. Be and is hereby designated as Lead Agency for PROJECT and shall
prepare and process all necessary environmental documents required by the California
Environmental Quality Act of 1970 (CEQA) as amended.
B. Be and is hereby designated as Project Engineer, Contracting and
Construction Agent for the parties to do and perform all things necessary, except
such actions as are specifically delegated to IRVINE herein, in order to design and
construct said IRVINE portions of PROJECT in accordance with the approved plans and
specifications as approved by IRVINE, and to execute and deliver all documents
required in connection with the construction and completion of said PROJECT.

C. Submit preliminary plan layout to IRVINE staff to mark thereon
the work required within IRVINE portion of PROJECT.
D. Perform the work of preliminary design engineering, advertising
for bids and award of contract, at no expense to IRVINE.
E. Submit final plans and specifications to IRVINE prior to
advertising PROJECT for bids, for review and approval by IRVINE, as to design and
construction features affecting PROJECT within incorporated limited of IRVINE.
F. Upon approval of the plans, specifications and estimate for
PROJECT by IRVINE, promptly undertake and perform all the work of advertising for
bids and awarding the construction contract to the lowest responsible bidder
complying with all applicable provisions of the law governing such award.
G. Promptly furnish IRVINE upon award of the PROJECT construction
contract a summary of the contract bids, a cost breakdown for IRVINE's share of
construction costs and a construction schedule, and keep IRVINE informed of any
revisions in said schedule.
H. Obtain the written concurrence of IRVINE prior to issuing
PROJECT change orders affecting PROJECT design for portions of PROJECT within
incorporated limits of IRVINE.
I. Not accept improvements under the contract for PROJECT until
IRVINE approves, in writing, the construction as it affects the operations and
maintenance of PROJECT within incorporated limits of IRVINE.
J. During the period of construction, have jurisdiction over the
construction area including that portion within incorporated limits of IRVINE.
II. IRVINE shall:

A. Be and is hereby designated as a "Responsible Agency" for compliance
B. Review for approval the plans and specifications as to design
and construction features affecting the construction, operation and maintenance
of the portion of PROJECT within incorporated limits of IRVINE.
C. Be responsible for one hundred percent (100 %) share of
construction cost for that portion of PROJECT construction within incorporated
limits of IRVINE plus a proportionate share of the pavement marking and striping,
construction inspection, materials testing, and contract administration costs
based on the ratio of IRVINE's construction costs to the total contract
construction costs. IRVINE's construction cost shall not include adjusting to
grade any utility covers other than sewer or storm drain covers, unless the
utility has prior rights.

D. At all times during the progress of construction of PROJECT
within incorporated limits of IRVINE have access to the work thereon for the
purpose of inspection and, should IRVINE deem any remedial measures to be
necessary, IRVINE shall notify NEWPORT BEACH thereof.
E. Review completed construction for PROJECT and give NEWPORT
BEACH approval to accept improvements within incorporated limits of IRVINE.
Approval shall be withheld only for work not completed per the approved plans and
specifications.
III. PAYMENTS AND FINAL ACCOUNTING:
A. After NEWPORT BEACH receives bids for PROJECT construction,
IRVINE will, upon NEWPORT BEACH's request, deposit with NEWPORT BEACH funds for
IRVINE's share of PROJECT construction costs based on actual bid prices.
B. After the acceptance of the improvement under the contract by
NEWPORT BEACH, NEWPORT BEACH shall submit to IRVINE for review and approval a
Final Accounting Report for PROJECT. If said Final Accounting Report as approved
by IRVINE shows that the total cost to IRVINE is less than the amount deposited
with NEWPORT BEACH, NEWPORT BEACH shall promptly reimburse IRVINE the difference
between the amount deposited and the actual cost. If said Final Accounting Report
as approved by IRVINE shows that the total cost to IRVINE is more than the amount
deposited by IRVINE, IRVINE shall promptly reimburse NEWPORT BEACH for the
difference between the amount deposited and the actual cost.
C. NEWPORT BEACH shall submit with the Final Accounting Report a
certification that all expenditures applicable to PROJECT have been made and
that all copies of invoices and warrants are on file with NEWPORT BEACH.
IV. IT IS MUTUALLY UNDERSTOOD AND AGREED:
A. Upon acceptance of the improvements under the contract by
NEWPORT BEACH, IRVINE shall accept maintenance responsibility for the portion of
PROJECT within incorporated limits of IRVINE.
B. That neither IRVINE nor any officer or employee therof shall be
responsible for any damage or liability occurring by reason of anything done or
omitted to be done by NEWPORT BEACH under or in connection with any work, authority
or jurisdiction delegated to NEWPORT BEACH under this agreement. It is also
understood and agreed that, NEWPORT BEACH shall fully indemnify, defend, and hold
IRVINE harmless from any liability imposed for injury occurring by reason of
anything done or omitted to be done by NEWPORT BEACH under or in connection with
any work, authority or jurisdiction delegated to NEWPORT BEACH under this agreement.

C. That neither NEWPORT BEACH nor any officer or employee thereof
shall be responsible for any damage or liability occurring by reason of anything
done or omitted to be done by IRVINE under or in connection with any work, authority
or jurisdiction not delegated to NEWPORT BEACH under this agreement. It is also
understood and agreed that IRVINE shall fully indemnify, defend, and hold NEWPORT
BEACH harmless from any liability imposed for injury occurring by reason of
anything done or omitted to be done by IRVINE or in connection with any work,
authority or jurisdiction not delegated to NEWPORT BEACH under this agreement.
IN WITNESS WHEREOF, NEWPORT BEACH has caused this agreement to be
executed by its Mayor and attested by its Clerk, and IRVINE has caused this
agreement to be executed by its Mayor and attested by its Clerk, all thereunto
duly authorized by their respective City Councils.

SUBJECT: CAMPUS DRIVE RESURFACING FROM Mac ARTHUR BOULEVARD TO JAMPOREE
BOULEVARD (C -2436)
RECOMMENDATIONS:
1. Authorize the Mayor and the City Clerk to execute Cooperative
Agreement between City of Newport Beach and City of Irvine.
2. Approve the plans and specifications.
3. Authorize the City Clerk to advertise for bids to be opened
at 11:00 A.M. on July 31, 1984.
DISCUSSION:
This project provides for a jointly funded Newport Beach -City of
Irvine asphaltic concrete overlay of Campus Drive from MacArthur Boulevard
to Jamboree Boulevard (see attached exhibit). The project will provide a
smooth- riding surface and an adequate structural section for present and
future traffic demands. The City of Newport Beach and the City of Irvine
staff feel that the joint contract will provide the public with a maximum
dollar benefit with minimum disruption.

will pay their proportionate share of the items of work, with the City of
Irvine also paying their proportionate share of City of Newport Beach's
inspection and material testing costs.
The Engineer's estimate for all work is $141,000.00. Funds for
the project will be provided from the following accounts:

The plans and specifications were prepared by the City's Public
Works Department and have been approved by the City of Irvine. The estimated
