AGREEMENT FOR CONSULTING SERVICES
FOR
AERIAL PHOTOGRAPHY OF CITY
THIS AGREEMENT is made and entered into this 0_?j&f_1 day of
June, 1984, by and between the CITY OF NEWPORT BEACH, a Municipal Corporation,
hereinafter referred to as "CITY ", and the firm of AIRBORNE SYSTEMS, INC.,
hereinafter referred to as "CONSULTANT."
W I T N E S S E T H
WHEREAS, CITY desires to obtain aerial photographic services of the
entire land area within CITY boundaries, such services to be hereinafter de-
fined and referred to as "CONSULTANT SERVICES "; and
WHEREAS, CONSULTANT has submitted a proposal to CITY, dated
May 14, 1984, to provide said CONSULTANT SERVICES; and
WHEREAS, CITY desires to accept said proposal;
NOW, THEREFORE, in consideration of the foregoing, the parties
hereto do hereby agree as follows:
I. GENERAL
A. CITY engages CONSULTANT to perform CONSULTANT SERVICES
hereinafter described for the compensation hereinafter
stated.
B. CONSULTANT agrees to perform CONSULTANT SERVICES upon the
terms hereinafter set forth.
II. CONSULTANT SERVICES TO BE PERFORMED
A. If necessary to provide aerial photographic
accuracy, establish ground control.
B. Fly over and photograph in a predetermined grid, the en-
tire land area within boundaries of the City of Newport
Beach. Aerial contact print format shall be 9 by 18
inches at a 1- inch - equals- 215 -feet scale.
C. Produce screened mylars in said predetermined grid, of
entire land area within boundaries of the City of Newport
Beach. Mylar format shall be 24 by 36 inches at a 1 -inch-
equals -40 -feet scale; that is, mylar- scaled dimensions
between points 1,000 feet or greater apart shall not vary
more than 212 percent from true dimensions.

D. Produce a reproducible drafted index to the screened
mylars. Index format shall be 24 by 36 inches at a
1 -inch equals 1000 or 1500 -feet scale.
E. Provide one set contact prints of aerial negatives, one
set screened 40 -scale mylars and one reproducible index
to the screened mylars to CITY upon completion of all
services described herein.
III. DUTIES OF CITY
A. Provide copies of file records to CONSULTANT as necessary
to obtain photogrammetric ground control throughout the
City of Newport Beach.
B. Confer as necessary with CONSULTANT during his performance
of CONSULTANT SERVICES.
IV. TIME OF COMPLETION
CONSULTANT shall complete CONSULTANT SERVICES specified in
Section II within sixty calendar days after execution of this
Agreement, except that an additional day shall be provided
for each day delay of fly over due to unsatisfactory
atmospheric conditions.
V. OWNERSHIP OF CONSULTANT SERVICES DOCUMENTS
'Items generated by CONSULTANT to be provided to CITY as
specified in Section II E shall become property of CITY
upon completion of CONSULTANT SERVICES, and may be utilized
as deemed necessary by CITY.
VI. RIGHT OF TERMINATION
CITY reserves the right to terminate this Agreement at any
time by giving CONSULTANT seven (7) days' prior written
Notice of Termination. Such Notice shall be deemed served
upon deposit in the United States mail, postage prepaid,
addressed to CONSULTANT's business office at 10700 Walker
Street, Cypress, CA 90630. In the event of termination due
to error, omission or negligence of CONSULTANT, CITY shall be
relieved of any obligation to compensate CONSULTANT for that
specific portion of this Agreement affected by such error,
omission, or negligence, and that specific portion of CONSULTANT
SERVICES documents shall remain the property of the CONSULTANT.

If this Agreement is terminated for any other reason, CITY
agrees to compensate CONSULTANT for actual CONSULTANT SERVICES
performed up to the effective date of the Notice of Termination
on the basis of percentage of completion of compensation here-
inafter set forth.
VII. COMPENSATION
A. In consideration of the performance of CONSULTANT SERVICES
specified in Section II, CITY shall compensate CONSULTANT
not to exceed the following:

B. Aggregate compensation to CONSULTANT shall not exceed
Twenty -Six Thousand Three Hundred Thirty -Six Dollars
($26,336) except as otherwise provided hereinafter.
C. CITY shall remit compensation to CONSULTANT within twenty
(20) days after CITY's receipt of completed CONSULTANT
SERVICES specified in Section II and invoice.
VIII. AMENDMENT
The scope of services to be performed by CONSULTANT may be
revised and the compensation amended with prior written
approval of CITY, except that an increase in aggregate
compensation exceeding Two Thousand Dollars ($2,000) shall
require that an amendment for such revision be processed and
executed by CITY and CONSULTANT.
IX. ASSIGNMENT
This Agreement or any portion thereof shall not be assigned
without the prior written consent of CITY.
X. HOLD HARMLESS
CONSULTANT shall assume the defense of and indemnify and hold
harmless CITY and its officers and employees from claims, loss,
damage, injury and liability arising from error, omission,

or negligence in CONSULTANT's performance of services required
by this Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement on the date first written above.

RECOMMENDATION:
Authorize the Mayor and the City Clerk to execute the subject
agreement with Airborne Systems, Inc.
DISCUSSION:
The preliminary FY 1984 -85 budget contains an appropriation to provide
for aerial photography and a complete set of 40 -scale mylar enlargements of the
entire land area of the City. The mylars are to be.used by Engineering, Marine,
Traffic, and other department staff to expedite plan preparation, to minimize
field trips, to provide easy -to- understand presentation displays, and to docu-
ment most above- ground features as of the flyover date. The previous 40 -scale
photography for such purposes was flown five years ago, and does not cover
the entire land area of the City.
Airborne Systems, Inc., has submitted a proposal to provide the follow-
ing services for the project:
1. Establish photogrammetric ground control throughout the City
as necessary to provide accurate scale enlargements.
2. Flyover and photograph the entire land area of the City, and
provide one set of aerial contact prints of same.
3. Provide 40 -scale mylar enlargements of the entire land area of
the City, where scale accuracy at any locati on the mylars
shall not vary more than 2z percent from trutrdimensions.
Approximately 425 24--by 36 -inch mylars will be required.
4. Produce a reproducible index to the mylars.
All work is to be completed within 60 days after the flyover.
Airborne Systems, Inc., is a well - established photogrammetry-
geophysics firm formerly known as Fugro Geometrics, Inc., or Ertec Airborne
Systems, Inc. Compensation is not to exceed $26,336. Sufficient funds are
included in the FY 1984 -85 budget item for this work. Upon approval by City
Council, the funds will be encumbered effective July 1, 1984.
