THIS AGREEMENT, made this 2nd day of July, 1984, by and
between THE CITY OF NEWPORT BEACH, a Municipal Corporation and
Charter City, (hereinafter "City ") and ROBERT BLISS, an
individual doing business as BLISS BUSINESS SYSTEMS, (hereinafter
"Bliss ") is made with reference to the following:
WHEREAS, City wishes to retain Bliss to perform
interactive programming services in conjunction with
computerization of Building Department operations; and
WHEREAS, Bliss has experience and expertise to prepare
such software; and
WHEREAS, Bliss, pursuant to a contract dated April 12,
1984, has prepared programs to be used in the computerization of
the Building Department functions and is knowledgeable with
respect to those functions; and
WHEREAS, Bliss is the most appropriate person to
perform the interactive programming services required by this
Agreement; and
WHEREAS, the parties now desire to memorialize their
respective rights, as follows:lSERVICES TO BE PERFORMED BY
BLISS
Bliss is to perform the following services:
(a) The design, coding, test and documentation of the
following programs:
(i) individual record display;
(ii) load /add record;
(iii) file maintenance (fixit);
(iv) addition of sub permits to building permit
record;
(v) inspector's update; and
(vi) parametric search programs.
(b) The approximate total lines of code shall be
28,000;
(c) All programming will be performed consisted with
prevailing data processing standards.
(d) All programming shall be written in structured ANSI
COBOL 74, and will be subject to acceptance by the
City Data Processing Manager.
(e) All programs to be prepared by Bliss shall be
complete, and accepted by the City Data Processing
Manager on or before August 20, 1984.

2. DUTIES OF CITY
City shall perform the following duties:
(a) City shall pay to Bliss, upon completion of all
program and upon acceptance of all programs by the
Data Processing Manager, the sum of Twelve Thousand
Dollars ($12,000);
(b) City shall provide Bliss with all miscellaneous
supplies necessary to perform the duties required
of this Agreement; and
(c) City shall provide Bliss with computer time. The
computer shall be available to Bliss during both
prime time and non -prime time hours, however, the
use of the computer by Bliss shall be subject to
the right of the City to process the then - current
production load.
3. PROGRESS MEETING /PROGRESS REPORTS
Bliss and City Data Processing Manager will hold bi-
weekly meetings at the City of Newport Beach during the term of
this Agreement. The purpose of these meetings will be to discuss
progress made by Bliss in the performance of the duties required
by this Agreement. Bliss shall submit written progress reports,
in a format to be specified by the City Data Processing Manager,
in conjunction with the bi- weekly progress meetings.

4. OWNERSHIP OF DATA AND PROGRAMS
All programs prepared by Bliss shall become the
exclusive property of City. In addition, Bliss shall, at City
request, supply the Data Processing Manager with all information
regarding Building Department functions, processes and operations
discovered during the performance of the services required by
this Agreement.
5. FINAL ACCEPTANCE
City shall have no obligation to pay Bliss pursuant to
this Agreement unless, and until, all programs required to be
prepared are accepted, as to form and content, by the City Data
Processing Manager. Further, City shall have no obligation to
pay Bliss for time, money or materials spent in the performance
of this Agreement if all programs are not fully completed and
accepted on or before August 20, 1984.
6. ASSIGNMENT
This Agreement may not be assigned by either party with-
out the express written consent of the other.
7. COMPLETE AGREEMENT
This Agreement contains the entire understanding of the
parties, and any representation made by either party prior to the
effective date of this Agreement, whether oral or in writing,
shall be of no force and effect.
