Andersen City Clerk WEA:lr attach. 3300 Newport Boulevard, Newport Beach AGREEMENT BETWEEN THE CITY OF NEWPORT BEACH AND LIBRARY AUTOMATION CONSULTANT THIS AGREEMENT, made and entered into this 11V,4 day of tcV 1984, by and between the CITY OF NEWPORT BEACH, 3300 Newport Boulevard, Newport Beach, California 92663, a municipal corporation of the State of California, hereinafter referred to as "CITY ", and SUSAN BAERG EPSTEIN, LTD., 1992 Lemmos, Costa Mesa, California 92626, a corporation, hereinafter referred to as "CONSULTANT" W I T N E S S E T H WHEREAS, CITY and CONSULTANT desire to perform a study to assist CITY in the planning, development, selection and purchase of equipment, and implementation of an automated library circulation control and online public access catalog (PAC), hereinafter referred to as "SYSTEM" for CITY's four Branch libraries, hereinafter referred to as "LIBRARY ", such study herein- after referred to as "STUDY "; and WHEREAS, the CONSULTANT is duly qualified to provide consulting services regarding library automation systems; and WHEREAS, the CITY wishes to purchase such services from the CONSULTANT; NOW, THEREFORE, in consideration of the mutual understandings and agreements set forth, the CITY and CONSULTANT agree as follows: I. Scope of Services A. The CITY agrees to purchase and the CONSULTANT agrees to furnish services regarding the planning, development, selection, purchase and implementation of an automated library SYSTEM for the Newport Beach Public Library. A number of activities performed as part of the STUDY for an automated library SYSTEM include the following: 1.) NEEDS ASSESSMENT. Conduct a needs assessment outlining the LIBRARY's current and future automation needs. Specific tasks include: a.) A half -day briefing to members of the LIBRARY staff and other interested parties on the current state of the art in library automation. This provides necessary background information for discussing specific solutions to the LIBRARY's needs. b.) Interviews with members of the staff involved in circulation, catalog, and reserve activities, as well as Library Administration. c.) Observation and systems analysis of current circulation, catalog, and reserve operations. This step may result in suggestions for improve- ments in manual operations. d.) Meetings with the LIBRARY Project Team, a committee composed of representatives from different branches and different areas of specialization. -1- Agreement - Library Automation Consultant e.) Preparation of a basic cost analysis of the current manual circulation, catalog, and reserve operations. f.) Preparation of a basic cost analysis with recommenda- tions of alternative methods for retrospective conversion of the LIBRARY'S collection. 2.) FUNCTIONAL AND PERFORMANCE SPECIFICATIONS. Create clearly defined and detailed written functional and performance specifications to be used in considering any automation system. Specific tasks include: a.) Creation of the LIBRARY'S functional specifications for an automated library SYSTEM, based on information supplied during observations and staff meetings. b.) Production of a report of the functional specifications in such a form that they could be used as a part of a later Request for Proposal (RFP). This report should consist of approximately 20 pages. c.) Creation of the LIBRARY'S performance specifications for an automated library SYSTEM. The performance specifications are to be presented in a short, two- to six - page document. 3.) CONSIDERATION OF ALTERNATIVES. Evaluate alternative means of meeting the LIBRARY'S needs of circulation control and card catalog functions. Among the alternatives considered will be: 1. Use the CITY Sperry - Univac system in a shared environment within the CITY, 2. Share a library- specific circulation system with another library in another jurisdiction, 3. Buy a turnkey standalone circulation control system and operate it exclusively for the LIBRARY, 4. Continue to use the manual system. a.) Identify service delivery implications for each alternative. b.) Provide a qualitative assessment of the alternatives, including physical space and staffing and identify those features that are common to all as well as the positive and negative attributes of each alternative: (i). to facilitate a decision concerning the most cost - effective and appropriate alternative for the LIBRARY, and (ii). to assist the CITY and the LIBRARY in determining which alternative will provide the most benefits to the LIBRARY. c.) Prepare a comparison chart of funding and purchasing methods, one stage vs. two stage, identifying both positive and negative aspects, economies and costs, for each method to provide information on the most cost effective method of funding and purchasing the SYSTEM. d.) Estimate all costs to the CITY and the LIBRARY on a five- to seven -year period. e.) Make a presentation to the Board of Library Trustees of the findings of the first three tasks of the STUDY, in a crisply written five- to ten -page report documenting the alternatives to be followed by an oral presentation -2- 0 Agreement - Library Automation Consultant to the Board of Library Trustees, This report shall be in such a form that it can be suitable for use by the Board of Library Trustees. f.) Meet with representatives of the CITY administration to describe the type of computer applications necessary for a library SYSTEM. 4.) COMPLETED REQUEST FOR PROPOSAL. Develop a written, formal Request for Proposal RFP) in clear and specific language that reflects the state of the art in hardware, software, and services for an integrated library automation SYSTEM including, but not limited to, circulation control, an on- line public access catalog (PAC) and future expansion capability for new features and other integrated functions. The functional and performance specifications developed for Activity 2 will be included in this Request for Proposal. 5.) EVALUATION OF REQUEST FOR PROPOSAL. Evaluate the Request for Proposal (RFP) responses submitted by the vendors in order to assist the CITY and LIBRARY Project Team in making a selection. Specific tasks include: a.) Prepare a comparison chart of the major areas of concern for each vendor. b.) Prepare a written, detailed evaluation of each vendor once the CITY and LIBRARY have narrowed the decision to no more than three vendors. c.) Visit the LIBRARY for at least one day to discuss responses, the adjusted cost of the proposal, the features present and absent, the degree of completion of the features mentioned by each vendor, the degree of risk that the CITY and the LIBRARY assume with each vendor and related topics. d.) Indicate what additional information is needed from the vendors and evaluate those vendor responses, also. 6.) CONTRACT NEGOTIATIONS WITH VENDOR(S). Conduct contract negotiations with vendors in order to secure a favorable contract for the CITY and the LIBRARY that will result in the implementation of an effective and efficient integrated automated system. Said negotiations shall be held at the LIBRARY Administration offices. 7.) IMPLEMENTATION OF AUTOMATED LIBRARY SYSTEM. CONSULTANT will assist the LIBRARY Project Team, advising, as needed, in the areas of installation, operation, labeling, testing, public relations, staff training, and revision of library procedures to successfully implement the SYSTEM, as follows: a.) Investigate alternative methods and prepare a cost estimate for retrospective conversion of the present LIBRARY collection with detailed plans for on -going conversion of new materials once the SYSTEM is operational. b.) Conduct a post - implementation evaluation of the SYSTEM after it has been operational six months to one year. B. PROGRESS REPORTS. CONSULTANT shall submit progress reports as may be required by LIBRARY. C. COMPLIANCE WITH LAW. CONSULTANT shall comply with all federal, state and local laws and regulations governing all activities related to and generated by this Agreement. -3- 0 0 Agreement - Library Automation Consultant II. Cost and Payment of Purchased Services A. The total amount to be paid for such purchased services shall not exceed Nineteen Thousand ($19,000.00) Dollars. This amount shall include travel and all other expenses which may be incurred by the CONSULTANT. B. Payment for the purchased services shall be made after the completion of each of the first six activities described in Section I of this Agreement and within thirty (30) days of receipt of invoices from the CONSULTANT. Payment, except as provided in paragraph II. C. and D. herein, shall be made pursuant to the following activity schedule: 1. Needs Assessment $ 3,500 2. Functional and Performance $ 2,000 Specifications 3. Consideration of Alternatives $ 2,000 4. Completed Request for Proposal $ 1,500 5. Evaluation of RFP vendor responses $ 3,000 6. Contract negotiations with vendors $ 2,000 7. Implementation of automated LIBRARY $ 5,000 maximum SYSTEM TOTAL $19,000 maximum C. Activities #4, 5, and 6 shall be combined into one all - inclusive "Contract Negotiations with Owning Library" if decision is made by CITY and LIBRARY to share joint use of an existing library automation SYSTEM. The payment for this activity shall be $3,000. D. In addition, CONSULTANT will assist with SYSTEM implementation as outlined in Activity #7, as needed. The time spent by the CONSULTANT will be billed at the rate of $62.50 per hour, with liability and payment not to exceed a total of Five Thousand ($5,000) Dollars for this activity. These fees will be billed monthly and will be paid within thirty (30) days of receipt of invoices from the CONSULTANT. III. Term The term of this Agreement shall commence upon the date of execution by CITY and shall end when all activities, as listed and defined in Section I, "Scope of Services ", are successfully and satisfactorily completed. IV. Faithful Performance CONSULTANT shall at all times faithfully, industriously and to the best of her ability, experience and talent perform all duties that may be required of and from her pursuant to the express and implicit terms hereof, to the reasonable satisfaction of CITY and LIBRARY. CONSULTANT is not empowered and agrees not to make commitments for or on behalf of CITY and LIBRARY without the express written consent of the Library Director. V. Data Privacy All data collected, created, received, maintained or disseminated for any purposes in the course of the CONSULTANT'S performance of this Agreement, shall be retained in confidence and shall not be used for any other purpose without prior written consent of LIBRARY. Agreement - Library Automation Consultant VI. Indemnity and Insurance Indemnity: The CONSULTANT agrees to defend, indemnify and hold harmless, the CITY, LIBRARY, its officials, employees and agents from any and all liability, loss or damage CONSULTANT may suffer as a result of claims, demands, judgments or costs, including reasonable attorney's fees, arising out of or related to CONSULTANT'S performance of this Agreement. B. Insurance: The CONSULTANT does further agree that in order to protect itself as well as the CITY and the LIBRARY under the indemnity agreement provision, it will at all times during the terms of this contract have and keep in force: 1) Comprehensive liability insurance policy, with the CITY and LIBRARY named as additional insured in the minimum amounts of $300,000 per individual and $500,000 per occurance for bodily injury and $300,000 for Property damage. 2) Certificates of the above shall be filed with City Clerk and will be attached and become a part of this Agreement. This Agreement is and shall remain without force and effect until such certificates are so filed and attached. Nothing contained in this Agreement shall constitute a waiver by the CITY or LIBRARY of any statutory limitations on liability. VII. Termination A. The CONSULTANT shall, in writing within ten (10) days, notify the LIBRARY whenever it is unable to, or anticipates being unable to provide the required quality or quantity of purchased services. Upon such notification, the LIBRARY and the CONSULTANT shall determine whether such inability will require a modification or termination of the contract. This Agreement may be terminated by either party at any time, with or without cause, upon ten (10) days' notice, in writing, delivered by mail or in person. 'In the event this contract is so terminated, the LIBRARY will be considered the owner of all documents, records and materials which the CONSULTANT may have prepared in performance of this Agreement. If this Agreement is terminated by the LIBRARY, the CONSULTANT shall be paid for actual time worked at the rate of Five Hundred ($500.00) dollars per eight (8) hour work day plus actual expenses up to the maximum amounts listed for each activity on the payment schedule contained in Section II. B. of this Agreement. VIII. Amendments A. Any amendments, variations, modifications or waivers of provisions of this Agreement shall be valid only when they have been reduced to writing, duly signed and attached to the original of this Agreement. Any amendments, variations, modifications or waivers of the specific tasks contained in Section I of this Agreement shall be valid only when they have been reduced to writing, duly signed and attached to the original of this Agreement. IX. Unauthorized Wor No claim for service furnished by the CONSULTANT not specifically provided in the Agreement will be allowed by the LIBRARY, nor shall the CONSULTANT do any work or furnish any material not covered by the Agreement, unless previously approved in writing by the LIBRARY. Such approval shall be considered to be a modification of the Agreement. -5- Agreement - Library Automation Consultant X. Ownership of Documents Upon completion of this Agreement the LIBRARY shall be considered the owner of all documents, records and specifications, programs, reports, papers, materials which the CONSULTANT may have prepared in performance of this Agreement. CONSULTANT agrees to provide CITY and LIBRARY with original documents or materials whenever requested to do so. XI. Independent Contractor Status A. The parties to this Agreement intend that the relation between them created by this Agreement is that of employer- independent contractor. The manner and means of conducting the work are under the control of the CONSULTANT, except to the extent they are limited by statute, rule or regulation and the express terms of this Agreement. B. No Civil Service status or other rights of employment will be acquired by virtue of the CONSULTANT'S services. None of the benefits provided by the CITY to its employees, including but not limited to unemployment insurance, workers' compensation insurance, retirement and deferred compensation plans, vacation and sick leave, are available from the CITY to the CONSULTANT, its employees or agents. From any fees due the CONSULTANT, deductions shall not be made for any state or federal taxes, FICA payments, PERS payments, or other purposes normally associated with an employer - employee relationship. Payment of the above items, if required, are the responsibility of the CONSULTANT. XII. Subcontracting and Assignments The CONSULTANT shall neither enter into subcontracts for performance of any of the Purchased Services contemplated under this Agreement, nor assign this Agreement without prior written approval of the CITY and LIBRARY and subject to such conditions and provisions as the CITY and LIBRARY may deem necessary. The CONSULTANT shall be responsible for the performance of all subcontractors. XIII. Entire Aareement It is understood and agreed that the entire Agreement of the parties is contained herein and that this Agreement supercedes all oral agreements and negotiations between the parties relating to the subject matter hereof as well as any previous Agreements presently in effect between the CONSULTANT and the CITY and LIBRARY relating to the subject matter hereof. XIV. Notices Notices to the parties shall, unless otherwise requested in writing, be sent by U. Background: In October, 1980, the Library contracted for a study, "A Report on the Sperry - Univac System 80 Proposal to the Newport Beach Public Library ", conducted by Susan Baerg Epstein. This report recommended that the Library develop func- tional and performance specifications outlining the Library's needs and that these specifications be used in considering any automated circulation system. In April, 1981, the Library contracted for a report, "A Needs Assessment for the Newport Beach Public Library ", also written by Susan Baerg Epstein. This report outlined the specific steps to be taken by Newport Beach Public Library in evaluating a circulation system and the appropriateness of the shared system (City's Sperry - Univac) for the Library. In April, 1984, the Library will contract for a study, to be conducted by Susan Baerg Epstein, to assist the City and the Library in the planning, development, selection and purchase of equipment and implementation of an automated library circulation control and online public access catalog (PAC). Discussion: Newport Beach Public Library is one of two library systems out of ten (10) in Orange County that is not automated or in the process of automating. The City of Orange is the other library system. MEMORANDUM Honorable Mayor and Mors of the City Council • April 17, 1984 Page 2 The Board of Library Trustees has taken a conservative and cautious approach to library automation for Newport Beach Public Library. The Board, as well as staff over the past few years, have been studying and analyzing the impli- cations and impacts of library automation on services, staff, facilities and budgets. The Board has attended both California Library Association (C.L.A.) and American Library Association (A.L.A.) conferences; visited other libraries that were automated; spoken to library automation vendors; read extensively in the field of library automation literature; discussed the topic with patrons, staff, other Library Directors; and devoted many Board meetings to the subject. The Board has performed these many activities in order to become more know- ledgeable, be better informed and thoroughly understand this complex subject. The Board, in its Mission Statement, "will implement, where feasible, those technological advances that are deemed beneficial to our library users." We believe that there is no time like the present to implement a library automa- tion SYSTEM for Newport Beach Public Library. Scope of Services: A number of activities performed as part of the STUDY for an automated library SYSTEM include the following: A. Needs Assessment. B. Functional and Performance Specifications. C. Consideration of Alternatives. D. Completed Request for Proposal. E. Evaluation of Request for Proposal. F. Contract Negotiations with Vendors. G. Implementation of Automated Library System. Activities D., E., and F. would be combined into one all- inclusive "Contract Negotiations with Owning Library" if decision is made by CITY and LIBRARY to share joint use of an existing library automation SYSTEM. Specific tasks for each activity are detailed in the proposed agreement. Fiscal Impact: The total cost for services purchased from Susan Baerg Epstein shall not exceed Nineteen Thousand ($19,000) Dollars and may cost no more than Fourteen Thousand ($14,000) Dollars if a number of activities are combined. Since this is an unbudgeted item, funds to pay for her services will come from the Library Revenue Account #11- 633 -00, Public Library Foundation Program (formerly S.B. 358). Additional revenue of approximately $35,000 will be received in fiscal year 1984 -85 from the Public Library Foundation Program that will be available, if needed. Specify, test, and implement the changes necessary to the remaining portions of the BIBLIOS system required to operate the acquisitions system. Pioneer Multi- County Library System (Norman, Oklahoma) Develop an implementation plan for the shared use of the University of Oklahoma automated circulation system, including: - retrospective conversion of material and patron records - contract negotiation and equipment changes - changes in manual technical services and circulation procedures - changes in procedures resulting from an automated circulation system - telecommunications design and installation - training programs - public relations program for staff and public San Diego Public Library, San Diego County Library (San Diego, California) (joint contract) - Review and assist in development of a Request for Proposal for a shared automated circulation control system. - Plan patron and item conversion procedures for each library. - Develop five year automation plans including database management, acquisitions, cataloging, catalog production, film booking circulation control, and management information. - Assist in vendor selection and contract negotiation. - Participate in contract negotiations between the two libraries and the San Diego Data Processing Corporation. - Consult with each library regarding current and proposed policies and procedures. ( *) see the "Client Reports" section • -3- • Colorado State Library (Denver, Colorado) - As part of the emerging Colorado Network, conduct workshops for all types of libraries explaining the progress of the Colorado Network and the role of individual Colorado libraries and systems. - Conduct statewide workshops on such topics as: "An introduction to library automation technology," "Computers, libraries, and networking," "Resource sharing alternatives," "Emerging automation technologies," and "Use of microcomputers in small libraries. Fullerton Public Library (Fullerton, California) - Review automated circulation needs. - Write a report outlining alternatives for automated circulation, including shared use of an existing system, joint use of a city - owned computer, and puchase of a turnkey system. (x) - Assist the library in budget preparation, site planning, staff training, and necessary policy and procedural changes. - Participate in contract negotiations with the owner of the shared circulation system.
