City Hall • 3300 Newport Boulevard, Newport Beach, California 92663 C - z4z AGREEMENT FOR PROFESSIONAL SERVICES FOR FINLEY TRACT STREET RECONSTRUCTION THIS AGREEMENT is made and entered into this C /7U day of October, 1984 by and between the City of Newport Beadh, a municipal corporation hereinafter known as "CITY" and the firm of Fusrc , Williams t#ndgren.. &:Shor°t, hereinafter known as "ENGINEER." W I T N E S S E T H WHEREAS, CITY desires to construct roadway and drainage improvements in Finley Tract, including 34th, 35th, 36th and Short Streets, Finley and Clubhouse Avenues, and tract alleys; such improvements hereinafter known as "PROJECT "; and WHEREAS, CITY desires to have contract documents prepared for PROJECT: and WHEREAS, ENGINEER has submitted a proposal to CITY, dated October 2, 1984, to provide professional services and prepare contract documents for PROJECT; and WHEREAS, CITY desires to accept said proposal; NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree as follows: I. GENERAL 1. CITY engages ENGINEER to perform professional services herein- after described for the compensation hereinafter stated. 2. ENGINEER agrees to perform said services upon the terms hereinafter set forth. II. SERVICES TO BE PERFORMED BY ENGINEER ENGINEER hereby agrees to perform the following services: 1. Centerline Control and Tie -Out Recovery of centerline control, closure of traverse, monumen- tation tie -out and field note submittal. Includes pre- survey research. 2. Topographical Survey Collection of detailed field information over PROJECT area. Includes, but is not limited to, locating and elevating 1 of 4 • existing curb, roadway, valley gutters, driveways, meter boxes, utility poles, storm drains and inlet structures. 3. Base Maps Preparation of base maps reflecting field conditions at a scale of 1" = 10', to be used for design purposes. 4. Street Plans Preparation of grading - paving - demolition plan for PROJECT area, complete with plan and profile views, special pro- visions to the standard specifications, quantities and an ENGINEER'S cost estimate. 5. Utility Coordination Consult with appropriate utility companies and coordinate the relocation and /or temporary services required as a result of PROJECT. 6. Consultation Consultation with CITY staff and their contractors during design and construction phases of PROJECT. Includes office and field meetings. III. DUTIES OF CITY CITY hereby agrees to provide ENGINEER with the following informa- tion and materials free of charge: 1. CITY'S standard mylar plan and profile sheets and title sheet; 2. Samples of previous CITY contract documents for similar types of construction; and 3. Copies of Public Works improvement records relevant to PROJECT. IV. TIME OF COMPLETION All services to be performed by ENGINEER shall be completed within 120 calendar days from the date of this agreement. V. OWNERSHIP OF CONTRACT DOCUMENTS Field notes, calculations, and contract documents, such as original construction drawings, special provisions, etc., generated by ENGINEER under the terms of this agreement shall become the pro- perty of CITY, and may be utilized by CITY as deemed necessary. VI. RIGHT OF TERMINATION CITY reserves the right to terminate this agreement at any time by providing ENGINEER seven days' prior written notice. Notice 2of4 VII VIII shall be deemed served upon deposit in United States mail, postage paid, addressed to ENGINEER'S business office at 601 N. Parkcenter Drive, Suite 104, Santa Ana, CA 92705. In the event of termination due to error, omission or negligence of ENGINEER, CITY shall be relieved of any obligation to compen- sate ENGINEER for that portion of this agreement affected by such error, omission or negligence. If this agreement is terminated for any other reason, CITY agrees to compensate ENGINEER for actual service performed up to the effective date of the notice of termination, on the basis of Section VII, as hereinafter set forth. FEE SCHEDULE, TOTAL COMPENSATION AND PAYMENT 1. In consideration of the performance of services specified in Section II, CITY hereby agrees to compensate ENGINEER based upon the following fee schedule: CLASSIFICATION OF PERSONNEL HOURLY RATE Principal $ 60.00 Supervising Engineer /Surveyor $ 46.00 Designer /Survey Tehcnician $ 38.00 Drafting $ 30.00 Twb= Mah'Survey Crew $103.00 Three -Man Survey Crew $129.00 Clerical /Support Services $ 20.00 2. Additionally, CITY shall compensate ENGINEER for reproduc- tion at direct costs and for vehicle use at $.2.0 per mile e" for all reproduction and mileage expenses attributed to performance of services specified in Section II. 3. In no event shall total compensation to ENGINEER be greater than Twenty -five Thousand Dollars ($25,000), except as otherwise provided for hereinafter. 4. CITY shall remit payments to ENGINEER within 30 days after receipt of ENGINEER'S invoice. Invoice shall include classi- fications of personnel, dates and hours worked in the per- formance of services specified in Section II. ADDITIONAL SERVICES In consideration of the performance of additional services authorized by CITY in writing, CITY hereby agrees to compensate ENGINEER an amount based upon the hourly rate shown in Fee 3of4 i • Schedule hereinabove; except that an increase in total compen- sation exceeding Two Thousand Five Hundred Dollars ($2,500) shall require that an amendment for such additional services by processed and executed by the parties hereto. IX. ASSIGNMENT This agreement or any portion thereof shall not be assigned without authorization by CITY in writing. X. HOLD HARMLESS ENGINEER shall assume the defense of and indemnify and hold harmless CITY and its officers and employees from damage or liability arising from error, omission or negligence in ENGINEER'S performance of service required by this agreement. F-3(a) Authorize the Mayor and the City Clerk to execute a professional services agreement with Fuscoe, Williams, Lindgren & Short. DISCUSSION: The current budget contains an appropriation for the redesign of streets and alleys within the Finley Tract. The redesign is needed in order to provide for better drainage, adequate curb heights, replacement of broken or deteriorated improvements, and completion of the original improvement. Accordingly, staff has obtained a proposal from Fuscoe, Williams, Lindgren and Short (FWLS) to provide the following professional services for the project: 1. Provide centerline control and tie -out, 2. Prepare topographical survey, 3. Prepare master base maps, 4. Prepare construction plans and specifications, 5. Utility coordination, and 6. Consultation during design and construction. Compensation would be in accordance with FWLS's rate schedule (attached) with a total fee for services specified above not to exceed $25,000. Adequate funds are budgeted in Account No. 02- 3397 -309 to compensate the consultant. The contract documents should be completed this spring. Funds will be requested in the FY 1985 -86 budget so that reconstruction may begin after nit summer, if desired. Benjamin B. Nolan Public Works Director LRD:jd Att.
