Project Engineer KLP:em Att: 1 CITY OF NEWPORT BEACH, CALIFORNIA CONTRACT NO. 2465 AGREEMENT FOR DESIGN SERVICES [dill NEW COMMUNITY YOUTH CENTER BUILDING THIS AGREEMENT is entered into on this 96t- day of }z , 1986, by the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter re- ferred to as "CITY ", and the firm of DENNIS C. WOOD AND ASSOCIATES, hereinafter referred to as "ARCHITECT." WITNESSETH: CITY desires to construct a new building at its Community Youth Center located near the intersection of Fifth Avenue and Iris Avenue in Corona del Mar; and Professional design services are necessary to prepare plans, specifica- tions, and estimates suitable for obtaining approvals from public agencies and constructing the building by means of public bidding procedures; and ARCHITECT has submitted a proposal to furnish said professional design services; and CITY desires to accept said proposal from ARCHITECT;. NOW, THEREFORE, CITY and ARCHITECT agree as follows: I. GENERAL CITY engages ARCHITECT to perform the professional services herein- after described for the compensation herein stated; and ARCHITECT agrees to perform the professional services hereinafter described for the compensation herein stated. II. SCOPE OF PROFESSIONAL SERVICES TO BE PROVIDED UNDER THIS AGREEMENT A. The scope of the professional services to be provided by ARCHITECT under this Agreement include: 1. Development of a schematic plan for the proposed building. 2. Preparation of working plans, specifications, and esti- mate for a new building of conventional construction containing approximately Five Thousand (5,000) square feet of floor space. 3. Coordination of the work of consultants selected and re- imbursed by ARCHITECT, including structural engineer, mechanical engineer, plumbing engineer, and electrical engineer. 1 of 0 4. Coordination of the design work of consultants to be selected and reimbursed by CITY, including civil engineer, soils engineer, and landscape architect. B. The following are not included in the basic professional services to be provided under this Agreement. 1. Design of utilities located more than five (5) feet from the outside of the new building. 2. Design of parking lot and other site developments. 3. Design of landscaping and irrigation systems. 4. Construction contract administration. When provided, this service shall be compensated for in accordance with paragraph III.C.3. below. C. The work product of ARCHITECT will consist of one set of re- producible drawings on sheets of size 24" x 36 "; one set of job Specifications typed on white bond paper; and one estimate. III. COMPENSATION AND METHOD OF PAYMENT A. Compensation for design services. 1. Compensation for design services will be paid for on the basis of a fixed fee. The total costs for all design services to be provided under this Agreement will be Twenty -four Thousand Five Hundred Dollars ($24,500) and shall not be increased without the prior written approval of CITY. 2. The total cost for all design services to be provided under this Agreement may not exceed Twenty -six Thousand Nine Hundred Fifty Dollars ($26,950) without a revision to this Agreement. B. Additional Services 1. Additional services shall include, but not be limited to, the following items not included in Section A above: excess of one meeting. a. Attendance or presentations at public meetings in b. Preparation of architectural models, additional ren- derings, and additional presentation drawings in excess of those specified above. c. Revisions to the contract documents following approval by the City Council; changes in scope or modifications of the Project; or de- sign of any work outside the designated site. 2 of 5 d. Environmental documents, special use permits, or other special applications beyond building permits. 2. Compensation for additional services shall be made at hourly rates and in the manner described in paragraphs G and H of this sec- tion. C. Bidding and construction admistration services 1. ARCHITECT shall perform bidding and construction ad- ministration services only when authorized in advance by CITY. 2. Compensation for bidding and construction administration services shall be made at the hourly rates and in the manner described in paragraphs G and H or this section. 3. Total compensation for bidding and compensation services shall not exceed Four Thousand Five Hundred Dollars ($4,500). D. Reimbursable Expenses 1. The following items will be considered additions to the design services and will be reimbursable by CITY at ARCHITECT's direct cost. a. All reproduction of drawings, duplicate mylars, specifications, and other material provided in conjunction with the project. E. Phases of Design Services 1. The following shall be considered the lump sum price to be paid for the following phases of design services: a. For the Preliminary Design Phase, eight thousand five hundred seventy five dollars ($8,575). b. For the Construction Documents Phase, Seventeen Thousand One Hundred Fifty Dollars ($17,150). F. Completion of Design Phases 1. Each of the design phases shall be considered complete when accepted in writing by CITY. G. Manner of payment 1. Progress payments will be made to ARCHITECT monthly. a. From each progress payment, Ten Percent (10 0/) will be deducted and retained by CITY, and the remainder less the amount of all previous payments will be paid to ARCHITECT. Upon completion of each phase of the design services, the amount previously deducted and retained by CITY will be paid to ARCHITECT. 3of5 H. Hourly Rates of Compensation 1. Hourly rates of compensation to be paid for additional design services and for bidding and construction administration services shall be as follows: a. ARCHITECT (1) Architect (Dennis C. Wood & Associates) Hourly rate $50 per hour b. Consultants Selected and Reimbursed by ARCHITECT (1) Structural Engineer (Martin & Tranbarger) Hourly rate $50 per hour (2) Heating, Ventilation & Air Conditioning Engineer (Tsuchiyama & Kaino) Hourly rate $60 per hour (3) Plumbing Designer (T & K) Hourly rate $60 per hour (4) Electrical Engineer (RWR Associates) Hourly rate $40 per hour IV. OWNERSHIP OF PROJECT DOCUMENTS Original drawings, reports, notes, maps and other documents shall become the property of CITY and may be reproduced and utilized as deemed neces- sary by CITY. V. RESPONSIBILITIES OF CITY A. CITY shall provide the following information and services in order for ARCHITECT to complete his work: 1. Plans for adjacent roads, utilities and easements. 2. Designate a representative to act in CITY's behalf with respect to the Project. CITY's representative shall examine documents submitted by ARCHITECT and shall render decisions promptly to avoid unreasonable delay in the progress of ARCHITECT's services. 3. Report promptly in writing to ARCHITECT any fault or defect in ARCHITECT's services or non - conformance during construction. B. Services, information, and all documents furnished by CITY or others retained by CITY shall be provided at CITY's expense. ARCHITECT shall be entitled to rely on the accuracy and completeness thereof. VI. RENEGOTIATION If the Project is suspended for more than nine (9) months or 4of5 9 0 abandoned in whole or in part and resumed after such suspension or abandon- ment, ARCHITECT's compensation shall be subject to renegotiation. VII. RIGHT OF TERMINATION A. CITY reserves the right to terminate this Agreement at any time and for any reason by giving ARCHITECT seven (7) days' prior written notice; notice shall be deemed served upon deposit in the United States Mail, postage prepaid, addressed to ARCHITECT's business office. In the event of termination due to fault by ARCHITECT, CITY shall be obligated to compensate ARCHITECT for only those authorized services which have been completed and ac- cepted by CITY. If this Agreement is terminated for any reason other than fault of ARCHITECT, CITY agrees to compensate ARCHITECT for the actual ser- vices performed up to the effective date of the notice of termination, on the basis of the fee schedule contained above in Section III. VIII. PROJECT SCOPE REVISIONS The scope of the Project may be changed and the maximum fee re- vised upon prior written approval of CITY if the increase in the maximum fee does not exceed Two Thousand Four Hundred Fifty Dollars ($2,450). Any revisions to the scope of the Project which would result in an increase in the maximum fee exceeding Two Thousand Four Hundred Fifty Dollars ($2,450) may be approved by CITY pursuant to a written amendment to this Agreement executed by the par- ties hereto. Authorize the Mayor and City Clerk to execute a Professional Services Agreement with Dennis C. Wood and Associates in the estimated amount of $24,500. DISCUSSION: The 1984 -85 budget contains an appropriation of $465,000 from the Park and Recreation Fund to construct a new 5,000 square foot building, to demolish existing buildings, and for site development at the Community Youth Center. The location is shown on the attached sketch. After interviewing three local architectural firms that had • expressed interest in the project, the staff invited Dennis C. Wood and Associates to submit a proposal to design the building. Dennis Wood had previously prepared plans for a new combination sailing center and public restroom building that was proposed to be built at the 19th Street public beach, but was not built. Compensation will be based on the consultant's hourly rate schedule, with an estimated total price of $24,500 which cannot be exceeded without prior written consent, and which cannot be exceeded by more than 10% without an amendment to the agreement. It is planned to award a contract for the building and adjacent site development in the spring of 1985; and to request funds for the tot lot in the 1985 -86 budget so that the tot lot may be completed as soon as the new building is completed and the old buildings demolished. The architect will coordinate the work of other consultants on the building, including the structural engineer, the heating, ventilating and air conditioning engineer, plumbing engineer, and electrical engineer.
