AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES
FOR
HOSPITAL ROAD WIDENING FROM NEWPORT BOULEVARD TO OLD NEWPORT BOULEVARD;
CLIFF DRIVE STREET IMPROVEMENTS ADJACENT TO CLIFF DRIVE PARK
THIS AGREEMENT is made and entered into this a day of
1985, by and between the CITY OF NEWPORT BEACH, a municipal
corporation, hereinafter known as "CITY ", and the firm of FUSCOE WILLIAMS
LINDGREN & SHORT, Civil Engineers and Land Surveyors, hereinafter known as
"ENGINEER ".
W I T N E S S E T H
WHEREAS, CITY desires to construct roadway and drainage improvements
along Hospital Road from Newport Boulevard (CalTrans Route 55) to Old Newport
Boulevard and along Cliff Drive adjacent to Cliff Drive Park (approximately
1,150 linear feet); such improvements hereinafter known as "PROJECT ", and
WHEREAS, CITY desires to proceed with preparation of contract documents
for PROJECT; and
WHEREAS, ENGINEER has submitted a proposal to CITY, dated March 19,
1985 and modified by letter dated April 3, 1985, to provide professional engi-
neering services to prepare contract documents for PROJECT; and
WHEREAS, CITY desires to accept ENGINEER's proposal as modified;
NOW, THEREFORE, in consideration of the foregoing, CITY and ENGINEER
agree as follows:
I. GENERAL
A. CITY engages ENGINEER to perform the services hereinafter
described for the compensation hereinafter stated.
B. ENGINEER agrees to perform said services upon the terms
hereinafter set forth.
II. SERVICES TO BE PERFORMED BY ENGINEER
A. Hospital Road Portion:
1. Research -- Review public records and contact utility com-
panies for existing and proposed utility locations.
2. Street Plans-- Prepare.one set of street build -out plans (72
feet curb -to -curb with sidewalks) complete with storm drain
and catch basin relocation, signal plans, median island

reconfiguration in Newport Boulevard, intersection modifi-
cation of Old Newport Boulevard, striping plan, special
provisions to standard specifications, and quantities.
(Does not include shoring plan or hydrology and hydraulic
calculations.)
3. Consultation -- Attend progress meetings with City and
CalTrans staffs during plan preparation.
4. Construction consultation -- Provide in -field clarification
of plans and special provisions.
5. Topo Base Map -- Prepare one topo base map for design
purposes.
6. Topo Survey -- Provide field measurements and data gathering
1. necessary for design and control purposes for proposed
street build -out.
7. Data Collection (Traffic Engineering)
a. Assemble existing traffic signal and channelization
plans, and traffic count data for the area.
b. Collect directional 24 -hour machine counts on Hospital
Road between Newport Boulevard and Old Newport
Boulevard.
c. Collect manual turning movement counts at Old
Newport /Hospital Road /Westminster intersections (A.M.,
noon and P.M approximately six hours).
8. Preliminary Design Concepts (Traffic Engineering)
a. Prepare up to three alternative concepts for the
reconstruction of Hospital Road and modifications to
Old Newport /Hospital Road /Westminster intersection.
City's 1" = 40' scale aerial photos will be used for
these purposes. The design concepts will be placed on
reproducibles of the aerials and will include the full
widening of Hospital Road to 72 feet.
b. Present alternatives to City for review, comment and
selection of design alternative.
9. Reprographics -- Provide blueprinting, copying, etc., as
necessary for design, plan preparation and plan check
purposes.

10. Permits -- Satisfy the requirements of and obtain the State of
California (CalTrans) encroachment permit.
B. Cliff Drive Portion:
1. Research -- Review public records and contact utility com-
panies for existing and proposed utility locations.
2. Drainage analysis -- Analyze storm runoff patterns in rela-
tion to existing catch basin locations and resolve design
considerations for build -out condition.
3. Street Plans -- Prepare one set of street build -out plans
complete with catch basin relocation /elimination, special
provisions to standard specifications, and quantities.
4. Consultation -- Attend progress meetings with City staff
during plan preparation.
5. Construction consultation -- Provide in -field clarification
of plans and special provisions.
6. Topo Base Map -- Prepare one topo base map by aerial methods
for design purposes.
7. Topo Survey -- Provide field measurements and data gathering
for design and topo base map purposes (includes targeting
and control for base map).
8. Reprographics -- Provide blueprinting, copying, etc. as
necessary for design, plan preparation, and plan check
purposes.
III. DUTIES OF CITY
A. Provide copies of pertinent CITY records including street,
water and storm drain plans; atlas sheets; and tie notes.
B. Provide standard mylar drawing sheets.
C. Prepare environmental documents and secure coastal development
permit, if required, and pay all fees for CalTrans encroachment
permit.
IV. TIME OF COMPLETION
ENGINEER shall comlete all services specified in Section II, except
for construction consultation, on or before August 20,-Im. �
V. OWNERSHIP OF DOCUMENTS m8S
Original notes, maps, topographic information, photographs and
other documents generated by ENGINEER for PROJECT shall become

property of CITY upon completion or termination of ENGINEER's
services, and may be utilized as deemed necessary by CITY.
VI. RIGHT OF TERMINATION
CITY reserves the right to terminate this Agreement at any time by
giving ENGINEER seven (7) days' prior written notice. Such notice
shall be deemed served upon deposit in United States mail, postage
paid, addressed to ENGINEER's business office at 601 Parkcenter
Drive, Suite 104, Santa Ana, CA 92705. In the event of termination
due to error, omission or negligence of ENGINEER, CITY shall be
relieved of obligation to compensate ENGINEER for that portion of
this Agreement affected by such error, omission or negligence. If
this Agreement is terminated for any other reason, CITY agrees to
compensate ENGINEER for that portion of PROJECT documents completed
upon the effective date of Notice of Termination on the basis of
the hourly rates hereinafter set forth.
VII. HOURLY RATES. CONSULTANT
A. In consideration of the performance of services specified in
Section II, CITY hereby agrees to compensate ENGINEER an amount
based upon the following hourly rates:

B. Reproductions made by ENGINEER during performance of services
specified in Section II shall be compensated at cost plus
Fifteen Percent (15 %).
C. Vehicular mileage accrued by ENGINEER during performance of
services specified in Section II shall be compensated at Twenty
Cents (20¢) per mile.

D. In no event shall Aggregate Compensation be greater than
Thirteen Thousand Seven Hundred Dollars ($13,700) for the
Hospital Road portion nor Nine Thousand Fifty Dollars ($9,050)
for the Cliff Drive portion of this Agreement except as other-
wise provided herein.
E. CITY shall remitpayments to ENGINEER within 30 days after
receipt of ENGINEER's invoice. Invoice shall include classifi-
cations of personnel, dates and hours worked in the performance
of services specified in Section II.
VIII. AMENDMENT
The scope of services to be performed by ENGINEER shall be revised
and Aggregate Compensation amended with prior written approval of
CITY, except that an increase in Aggregate Compensation exceeding
One Thousand Dollars ($1,000) shall require that an amendment for
such revision be executed by ENGINEER and CITY.
IX. ASSIGNMENT
This Agreement or any portion thereof shall not be assigned without
authorization by CITY in writing.
X. HOLD HARMLESS
ENGINEER shall assume the defense of and indemnify and hold
harmless CITY and its officers and employees from damage or liabi-
lity arising from error, omission or negligence in ENGINEER's or
ENGINEER'S Consultant's performance of services required by this
Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement on
the date first above written.

Authorize the Mayor and the City Clerk to execute a professional ser-
vices agreement with Fuscoe Williams Lindgren & Short, Civil Engineers
and Land Surveyors.
DISCUSSION:
The current budget contains appropriations for the design and con-
struction of street improvements at the locations described above. The con-
struction is required for the completion of curb, gutter, sidewalk and ultimate
street width along each street.
Hospital Road will be widened from a 40 -foot to a 72 -foot street
width (2 through lanes each direction, 1 turning lane, and 2 shoulder bike
lanes). A fill slope or retaining wall will be required to support the proposed
southerly sidewalk and to retain a slope along the proposed northerly sidewalk.
Caltrans traffic signal poles and Route 55 crosswalks will have to be relocated
and perhaps medians modified in order to accommodate the proposed widening. The
intersection of Old Newport Boulevard, Hospital Road and Westminster Avenue
will be analyzed and rechannelized as necessary to optimize traffic flow.
Cliff Drive is to be completed to a 36- to 40 -foot street width (1-
through lane each direction). This width will permit curbside parking adjacent
to most areas of Cliff Drive Park. The proposed curb should reduce the number
of vehicles which are driven across the park. The Parks Superintendent has
expressed a desire to improve the park in the near future, contingent upon the
construction of curb to act as a protective barrier for his improvements.
The firm of Fuscoe Williams Lindgren & Short (FWLS), Civil Engineers
and Land Surveyors, has proposed to provide the following professional services
for the project:
1. Research of existing improvement records.
2. Drainage analysis.
3. Topographic survey.
4. Consultation with City and Caltrans staffs, and obtain Caltrans'
permit.
5. Street improvement plans, special provisions, and Engineer's estimate.
6. Traffic engineering, including alternative design concepts for
Hospital Road.
7. Reprographics.
8. Construction consultation.

Compensation would be in accordance with FWLS's rate schedule
(attached), with total fees for services specified above not to exceed $14,700
for the Hospital Road portion nor $9,050 for the Cliff Drive portion. Adequate
funds are budgeted under Hospital Road (Acct. No. 19- 3306 -005) and Cliff Drive
(Acct. No. 19- 3307 -006) to compensate the consultant.
The construction documents will be completed by August 20, 1985, so
that, barring complications and delays, construction may begin on October 15,
if desired.

field or office employees, during the lifetime of this agreement.
