AGREEMENT
THIS AGREEMENT is made and entered into on this �.d�'o�2�G2 j��,Z,aJ4 by
and between the CITY OF NEWPORT BEACH, a municipal corporation, hereinafter
referred to as "CITY," and Courton and Associates hereinafter referred to
as "CONSULTANT."
W I T N E S S E T H
WHEREAS, the CITY has determined that it requires an Environmental Impact
Report for the Santa Ana Heights Annexation; and
WHEREAS, CONSULTANT agrees to prepare said report, and
WHEREAS, CITY desires to have said report prepared;
NOW, THEREFORE, in consideration of the foregoing, the parties hereto
agree as follows:
1. GENERAL
CONSULTANT agrees to prepare the subject study in accordance with the
requirements set forth in Paragraph 2 of this Agreement. CITY agrees to remit
to CONSULTANT the amounts set forth in paragraph 3 of this Agreement in
accordance with the terms and conditions set forth in this document.
2. SCOPE OF WORK
The subject study will be prepared in accordance with the
California Environmental Quality Act, (CEQA), the State CEQA Guidelines the
CONSULTANT proposals dated October 29, 1984 and designed as Exhibit "A"
attached, and City Policy respectfully; and by reference incorporated herein
at this point as if fully set forth.
3. BILLING AND PAYMENT
CONSULTANT shall be paid under this Agreement on a time and material
basis and shall not exceed Twenty -five Thousand Dollars ($25,000.00).
Partial payments shall be made by CITY to CONSULTANT upon CONSULTANT'S
presentation of statements verifying the time and material costs incurred by
it in connection with this Agreement.
4. FAITHFUL PERFORMANCE
CONSULTANT shall use diligent efforts to complete this contract
within One hundred eighty (180) days after execution of this Agreement.
The subject study must meet the approval of the City.
5. TERMINATION
This Agreement is subject to termination by the CITY at any time upon
serving written notice to CONSULTANT. The CITY shall be thereafter liable to
CONSULTANT only for fees and costs incurred as of the date CONSULTANT receives
such notice of termination.
IN WITNESS WHEREOF, the parties here to have entered into this Agreement
as of the date and year first above written.

Dear Ms. Temple:
Courton and Associates is pleased to have the opportunity to
present this proposal to the City of Newport Beach. We have enjoyed
working with the City staff during the last four years for the
approval and implementation of the Newport Dunes Redevelopment
Plan, and I am looking forward to continuing our positive
relationship.
The attached proposal provides for the preparation of an Environ-
mental Impact Report for an estimated total cost of services of
$25,000, including reproduction. We are prepared to commence
work immediately to complete the environmental process for the
City of Newport Beach.

Dear Ms. Temple:
Courton and Associates is pleased to submit this proposal for the
preparation of an Environmental Impact Report for the annexation
to the City of Newport Beach of the Santa Ana Heights area within
the City's sphere of influence. The Environmental Impact Report
can be completed for a cost of $25,000 based on our analysis
of existing information. The entire process can be accomplished
in 148 days, including Statute of Limitations, as outlined in the
attached work schedule.
Courton and Associates has a great deal of experience in the
project area in the preparation of environmental impact reports
for special districts, private land owners and City and County
governments. Our key personnel have performed services in the
project area for the Newport Irvine Waste Management Planning
Agency (NIWA), The Irvine Company, County Sanitation Districts
of Orange County, and the Irvine Ranch Water District. Our
representation of the Newport Dunes for successful approval
and implementation of the Newport Dunes Redevelopment Plan
has provided us a unique opportunity to work with both the City
and the County on a sensitive jurisdictional issue. The
annexation of Santa Ana Heights would involve contact with the
same County and City representatives as was required for the
Newport..Dunes project.
ANTICIPATED PROJECT ISSUES
Based on our continuing analysis of the project, our past
experience and our knowledge of the immediate area, we anticipate
the following issues to be important:

6. Traffic - The effects of the annexation on existing and
projected traffic patterns including the ability to
correct inter -area street circulation deficiencies and
inadequacies.
7. Noise - Identification of the potential impacts of
crease in noise levels on future residents, as well as
' existing noise generation.
' ENVIRONMENTAL IMPACT REPORT PREPARATION
The following section addresses the accomplishment of tasks,
including pertinent costs, for the completion of the EIR.
Task I - Notice of Preparation
A Notice of Preparation will be prepared and issued to all effected
agencies and interested parties as required by the California
Environmental Quality Act. Comments received will be specifically
' addressed in the EIR.

Timely Completion - The preparation of the EIR must be
accomplished within the time parameters of the City.

Cost and Benefits - The costs and benefits of the proposal
should e assessed to identify whether adequate excess
revenue is available from the project area to provide
necessary public services, utilities, flood control, parks
and emergency services. Adequate controls must be identified
to assure that proper land development occurs to prevent
future residents from paying unnecessary costs for
'
correction or repair. The potential for broadening the tax
base through the annexation will be evaluated with emphasis

on the elimination of possible double taxation.

Public Acceptance - The public acceptance of the proposed
annexat ion should be considered and direction included
in the general formulation of the project alernatives.

Planning - Determination of the ability to implement the
general plan to achieve orderly development. Consideration
of the planning efforts on adjacent City and County lands
to assess compatibility.

A description of the existing project area characteristics in-
cluding area boundaries, geographic setting, physical environment,
land use, economic activity, population characteristics, regional
air quality and environmental setting.
' Estimated Cost: $2,000
Task III - Regulatory Agency Requirements
' Identification of local, State and Federal Agency requirements.
Estimated Cost: $ 750
Task IV - Fiscal Impact Analysis
Determination of the overall cost and revenue impact on the City
of future development in the project area. Marginal cost and
revenue factors and the impacts on city services, will be assessed,
as well as revenues derived from development. The impacts of
property taxes and the effects of applicable legislation on
the ability to finance services will be identified.
Estimated Cost: $8,650
Task V - Proposed Annexation Analysis
Analysis and discussion of the proposed annexation including
principal features, costs, environmental impacts, and development
of mitigation measures. This task also includes attendance at
required public meetings and preparation of the Draft Environmental
Impact Report.
Estimated Cost: $6,500
Task VI - Public Review and Hearing
tConduct of a public workshop with Citizens Environmental Quality
Advisory Committee during EIR preparation. Submittal of Draft
EIR to State Clearing House and interested parties and analysis
of public inputs. Conduct of Public Hearings as required by
California Environmental Quality Act. Attendance of Planning
Commission and City Council meetings.

Task VII - Final Environmental Impact Report
Response to public comments and preparation of Final EIR. Notice
of completion, Non- statutory Advisement, Notice of Determination,
Statement of Findings and Fact, and Statement of Overriding
Considerations.

STANDARD COMPENSATION SCHEDULE

General Provisions of Agreement
1. Travel, reproduction, and supply costs are billed at a cost
plus 15 %.
2. Hourly rates apply to work time as well as travel time and
waiting time which occurs at public hearings, depositions,
or court testimony.
3. For court testimony, the above rates are to be increased
50 percent.
4. Statements will be submitted monthly for work in progress
or upon completion of work. Statements are payable within 30
days of the statement date. Any invoice unpaid after 30 days
shall be subject to interest at the maximum permitted by law.
5. Client hereby agrees that the balance in a billing statement
is correct and binding unless the client notifies the
consultant in writing within ten days of the date of billing
and informs consultant of alleged incorrect item.
6. All documents produced as a result of this agreement shall
remain the property of the consultant and may be used by
the consultant without consent from the client.
7. The consultant makes no warranty as to his findings except
that the work is performed using generally accepted methods.
8. The client agrees to limit the consultant's liability to
the client, because of professional negligent acts, errors, or
' omissions by the consultant, to the consultant's fee.
9. Any controversy or claim arising out of or relating to this
contract, or the breach thereof, shall be settled by arbitration
' in accordance with the rules of the American Arbitration Associa-
tion, and judgement upon the award rendered by the arbitration
may be entered in any court having jurisdiction thereof.

Suggested Action
If desired, %,uthorize the Mayor and City Clerk to execute a contract with
Courton & Associates for the purpose of providing consultant services for the
preparation of an Environmental Impact Report for the annexation of the Santa
Ana Feights Area within the City's Sphere of Influence.
Backqround
On une 27, 1984, the City Council formally expressed its intent to participate
to the extent of 408 of the cost of preparation of an Environmental Impact
Report for the annexation and prezoning of the Santa Ana Heights Area within
the City's Sphere of Influence. The remaining 608 of the cost was to be
deposited with the City by the residents of Santa Ana Heights.
On July 25, 1984, $15,000 was deposited with the City by the Santa Ana Heights
residents for the purpose of preparation of the EIR. A budget amendment for
the City's share of EIR costs was approved and staff was directed to prepare
and circulate a Request for Proposals for preparation of the.EIR.
Discussion
On October 12, 1984, the Planning Department circulated the attached Request
for Proposals (RFP) for the preparation of an Environmental Impact Report for
the annexation of the Santa Ana Heights Area within the City's Sphere of
Influence. This RFP was circulated to nine local environmental consulting
firms and to Hawkins -Mark Tell, a consultant opportunities information service.
In response to the circulated RFP, the Planning Department received one
• proposal from Courton & Associates, a Planning and Environmental Research. firm
located in Newport Beach. Staff has interviewed Lawrence H. Buxton, President
of Courton & Associates, regarding the proposed EIR.
Based upon this interview and the proposal submitted (copy attached) , it is
staff's recommendation that the City Council enter into a contract with Courton
& Associates to prepare an Environmental Impact Report for the annexation to
the City of Newport Beach of the Santa Ana Heights Area within the City's
Sphere of Influence for a fee not to_ exceed Twenty -five Thousand Dollars
($25,000.00).

Courton & Associates has prepared Environmental Impact Reports for a wide
variety of projects, including water and waste -water facilities and housing
• development projects. Other projects include land use planning and
engineering, post- Proposition 13 financing, and governmental relations. The
firm participated in the Newport Dunes Settlement Agreement between the City of
Newport Beach and the County of Orange.

Staff is of the opinion that Courton & Associates is capable of preparing the
EIR for the annexation of the Santa Ana Heights Area in a timely and profes-

consultant for the preparation of an Environmental Impact Report for the

(CEQA), the State CEQA Guidelines, and City Policy. .
Scope of Services
The purpose of this Environmental impact Report (EIR) is
to
assess the

impacts of the annexation of this area on the area and the

of Newport
prepared in conformance with the California

The City of Newport Beach has budgeted $25,000 for the preparation of this
Environmental Impact Report.
Method of Proposal
Each proposal submitted must include the following:
1. Cover letter and introduction, not to exceed two pages, to
include name, address and telephone number of person or persons
who may be contacted and who are authorized to represent the
proposer.
2. Description of the study approach.
3. The estimated date on which you agency could begin providing the
described services, and the length of time required to complete
the various tasks included within the Scope of Services.
4. Names and resumes of staff who would be directly involved in
providing the services, including the designation of a specific
• project manager. This requirement includes any sub- consultants
proposed for any portion of the scope of Services.
5. Identification of qualifications and previous experience in
providing similar services. A copy of an EIR prepared by the
consultant shall be submitted with the proposal if the consultant
has never prepared an EIR for the City of Newport Beach.
6. Line item budget. and budget narrative in sufficient detail to
identify involvement of all members of the project team,

7. Assurances Section - Each proposal must contain assurances that
the consultant will establish and maintain such records and files
as are necessary to demonstrate that the terms and conditions of

Courton and Associates is pleased to submit this proposal for the
preparation of an Environmental Impact Report for the annexation
' to the City of Newport Beach of.the Santa Ana Heights area within
the City's sphere of influence. The Environmental Impact Report
can be completed for a cost of $25,000 based on our analysis
of existing information. The entire process can be accomplished
in 148 days, including Statute of Limitations, as outlined in the
attached work schedule.
Courton and Associates has a great deal of experience in the
project area in the preparation of environmental impact reports
for special districts, private land owners and City and County
governments. Our key personnel have performed services in the
project area for the Newport Irvine Waste Management Planning
AAf�ency (NIWA), The Irvine Company, County Sanitation Districts
' of Orange County, and the Irvine Ranch Water District. Our
representation of the Newport Dunes for successful approval
and implementation of the Newport Dunes Redevelopment Plan
has provided us a unique opportunity to work with both the City
and the County on a sensitive jurisdictional issue. The
annexation of Santa Ana Heights would involve contact with the
same County and City representatives as was required for the
' Newport.Dunes project.
ANTICIPATED PROJECT ISSUES
' Based on our continuing analysis of the project, our past
experience and our knowledge of the immediate area, we anticipate

projected traffic patterns including the ability to
correct inter -area street circulation deficiencies and
inadequacies.
7. Noise - Identification of the potential impacts of
increase in noise levels on future residents, as well as
' existing noise generation.

The following section addresses the accomplishment of tasks,
including pertinent costs, for the completion of the EIR.

and emergency services. Adequate controls must be identified
to assure that proper land development occurs to prevent
future residents from paying unnecessary costs for
correction or repair. The potential for broadening the tax
base through the annexation will be evaluated with emphasis
on the elimination of possible double taxation.

' as well as revenues derived from development. The impacts of
property taxes and the effects of applicable legislation on
the ability to finance services will be identified.

Conduct of a public workshop with Citizens Environmental Quality
Advisory Committee during EIR preparation. Submittal of Draft

Commission and City Council meetings.

General Provisions of Agreement
1. Travel, reproduction, and supply costs are billed at a cost
plus 15 %.
2. Hourly rates apply to work time as well as travel time and
waiting time which occurs at public hearings, depositions,
or court testimony.
r3. For court testimony, the above rates are to be increased
50 percent.
' 4. Statements will be submitted monthly for work in progress
or upon completion of work. Statements are payable within 30
days of the statement date. Any invoice unpaid after 30 days
shall be subject to interest at the maximum permitted by law.
5. Client hereby agrees that the balance in a billing statement
' is correct and binding unless the client notifies the
consultant in writing within ten days of the date of billing
and informs consultant of alleged incorrect item.
' 6. All documents produced as a result of this agreement shall
remain the property of the consultant and may be used by
the consultant without consent from the client.
7. The consultant makes no warranty as to his findings except
that the work is performed using generally accepted methods.
8. The client agrees to limit the consultant's liability to
the client, because of professional negligent acts, errors, or
omissions by the consultant, to the consultant's fee.
9. Any controversy or claim arising out of or relating to this
' contract, or the breach thereof, shall be settled by arbitration
in accordance with the rules of the American Arbitration Associa-
tion, and judgement upon the award rendered by the arbitration
may be entered in any court having jurisdiction thereof.

On Nov. 13, 1984 the council is scheduled to consider commissioning an
environmental impact report and a cost /benefit analysis of annexing our
Santa Ana Heights area.
First I would like to reintroduce ourselves to you and the rest of the city
council. We are a group of property owners within the area you are studying,
and we are known as ABCOM. We derive our membership from the currently zoned
area of A -1 agriculture. Our members and supporters own 70% of the property
within this presently zoned A -1 district. Therefore we have a very concerned
opinion of what you are contemplating.
We want to point out to the city of Newport Beach that not everyone in Santa
Ana Heights would support annexation at this time. The community at best
is split on this issue. If you owned homes and property in our area would
you want it used simply as a pawn in someone else's battle and have to con-
tinue on not knowing what your property can be used for. If someone has
a job change and has to move, or if someone wants to get out from under the
noise of the airport, he cannot do so. We don't have the freedom to sell
our property because no one would buy a home that may not be used as a home
in the future, nor would they purchase our property for a commercial use
not knowing if this will be permitted. We are prisoners to our properties
and the terrible environment created by John Wayne Airport.
The city itself has supported a plan to leave John Wayne Airport as it is
and even increasing flights and expansion to 55 flights daily. Tell us how
this is going to correct our environment. You are only going to make it
a lot less attractive to housing than it already is, let alone state laws
which forbid planning residential under an airport flight and noise problem.
Specifically section 21670 through 21678 of the Public Utilities Code re-
quires the Land Use Commission to establish standards for land uses around
airports to ensure noise and safety computability. This law also 'requires
the County, the City of Newport Beach, and other cities around John Wayne
Airport to ensure that their land use plans and decisions prevent the

establishemnt and expansion of incompatable uses around the airport. the
law also encourages the elimination of existing incompatable uses that limit
the ability of airports to provide their transportation functions.
Let's face it, you are not going to eliminate Santa Ana Heights problems by
annexation, you are only going to use us as a pawn in your fights with the
County of Orange. Once you get an agreement with the County, our land uses
will still be incompatable and will still be subject to common sense as well
as laws forbidding housing in our area. If you think our neighborhood is
charming, I ask that you drive along Acacia, Birch, Cypress, or Orchard Drive
and take note of the run down condition of the housing, streets, etc. There
is a transient population that rents and does not have any pride of ownership.
There are longtime residents who do not dare paint, fix -up, or add on when
they have no future. This community is a run down area that your safety
inspectors would be kept busy full time trying to bring up to acceptable
standards. We do not appreciate the city studying our area with the intent
of only using us for its own gains and not addressing the true problem of an
area that is blighted because of it's location near an airport. A responsible
look at our neighborhood will not show residential uses as being compatable
with the airport and we think you would only be fooling the existing residential
users by trying to convince them that it would be good planning in leaving
their area as residential. The state law does not allow it and the reality
exists right now that there are problems.
Does the city of Newport Beach support what it's planner Mr. Deli= states,
"The state laws regarding noise levels and land use guidelines would not hold
up in a court of law, so this does not concern him. "? What he suggests is
it's okay to break the law and disregard it's intent because he feels he can
beat it in court. we don't want to suffer any longer waiting for litigation
to be gone through all over again while our neighborhood is left neglected
and in decay.
How can the city of Newport project an E.I.R. cost of up to $25,000? Why don't
you ask the County what they have spent to date on their E.I.R. for land use
in our area? I suspect it has cost them including attorneys and planners in
excess of 50 times this amount, maybe 100 times. Do you think your E.I.R.
and conclusions will go uncontested. This is doubtful.
Once your planning for our area is complete who will pay for sidewalks, lighting,
street improvements, etc. that are necessary. If we pay the same taxes we
will expect the same degree of city services and improvements.
We do not see why we should support annexation to the city of Newport Beach
when you have publicly stated your number one reason would be to see how they
can use us to their gain in a fight over airport expansion. The city would
only be starting over what the county has been doing for several years now.

We land owners will hold the city liable for further denying us our rights
as property owners.
In closing we can only ask that you consider the following facts:
1. The airport is here to stay. Every organized group is
not looking to eliminate the airport but to control it's
growth. All groups are talking about additional sites.
Complete closure is not a realistic approach. Our problems
are here with the current Airport status.
2. Our area is not conducive to residential uses according
to state law, County studies, Airport Land Use Commission,
Newport Beach's own General Plan as it relates to noise
guidelines, let alone our own living example of existing
conditions.
3. An E.I.R. done properly, will take a much larger budget
than proposed, and will it really find housing as the
best use next to an Airport?
4. The city-itself has approved only compatable uses in the
noise sensitive areas of John Wayne Airport, i.e., 3 story
glass building on the north east corner of Irvine & Orchard
Drive. Also the office buildings adjacent to the YMCA
at the end of University.
5. The unbearable traffic conjestion within our community
is on the way to and from offices and hotels in the city
of Newport.
6. The proponent, S.P.O.N., is not interested in our neigh-
borhood, but in using us in one of their battles of
dissruption.
7. The C,ounty.:is well on it's way to finishing a land plan
for our community as it relates to the Airport. They
have spent the money on varous studies and E.I.R. which
run from the extremes of no airport to an open airport.
Your fight is still with the Airport and it's expansion,
don't just use us.
We are not advocates of the Airport or expansion but we are realists that
know the Airport will be here at least in the near future. We need planning
to take place with the facts as they are, we don't need to be thrown back
to the beginning and lose many years of County work because you feel you
might gain by using us.
