The proposed action is for the City Council to authorize an agreement between
the City and the I.T. Corporation for the cleanup of hazardous materials spills
within the City.
The I.T. Corporation, 336 West Anaheim Street, Wilmington, California, on request
will respond emergency equipment and personnel to assist local agencies in the
control and disposal of hazardous materials. Their services include portable
analytical equipment for the assessment of potential hazardous materials
characteristics such as, flammability, explosibility and corrosion rate. They
will advise and assist the local safety officials in determining the correct
procedures to neutralize and /or handle a hazardous material in a safe manner.
Also, they will provide equipment and personnel to properly transport and
dispose of the material. This service is available 24 hours per day, seven days
per week with a response time of 30 minutes to one hour.

AGREEMENT FOR HAZARDOUS MATERIALS CLEANUP
Agreement made and entered into this Try day
of , 1983, by and between the CITY OF NEWPORT
BEACH, a M icipal Corporation and Charter City (hereinafter
referred to as "the City"), and IT CORPORATION, a California
corporation (hereinafter referred to as "IT ").
WHEREAS, IT performs services in conjunction with the
cleanup and management of emergency spills of hazardous, toxic or
otherwise noxious substances; and
WHEREAS, the City is desirous of availing itself of the
services of IT in connection with emergency spills of hazardous,
toxic or otherwise noxious substances, and
WHEREAS, the parties hereto propose to enter into this
agreement to provide that when specified officers of the City
request the emergency response services of IT, the provision of
said services shall be subject to and governed by the provisions
hereof.
The parties hereby agree as follows:
1. Purpose of Contract and Limitations. This agree-
ment is intended to establish the procedure for insuring payment
in the event IT's services are requested by the City; the City is
not obligated by this agreement to request IT's services during
the duration of this agreement.
2. Scope of Contract. IT agrees to supply and furnish
its emergency response unit together with any other appropriate

personnel, material or equipment, when requested to do so by
those officer or employees of the City specified in Schedule 1,
which is attached hereto and incorporated by reference. The
services to be performed included, but are not necessarily
limited to, the containment, management, cleanup and disposal of
hazard, toxic, or otherwide noxious substances which may have
spilled or leaked on public or private property and which present
a danger to the health, safety or welfare of the citizens of
Newport Beach. The City shall have no responsibility to pay for
services requested by any officer or employee not specified in
Schedule 1. The services to be rendered by IT shall be performed
in accordance with the accepted standards that pertain in the in-
dustry. The duties to be performed by IT pursuant to this
agreement shall be performed in a timely manner and with due
regard to minimizing the expenses incurred by the City.
3. Supply of Emergency Services. IT operates a 24-
hour Emergency Response Unit and will use its best efforts to
make the same available to the City when requested to do so pur-
suant to this agreement; the supply of services by IT is subject
to availability and IT reserves the right not to respond to a
request if, in IT's oinion, the danger involved does not justify
the risk to IT's personnel. Conversly, City reserves the right
to contract with, and request the services of, any business,
other than IT, which engages in the cleanup and disposal of
hazardous waste spills, and City shall incur no liability whatso-
ever should it determine not to request services of IT in the

event of a spill or discharge of hazardous waste or materials.
4. Payment Procedures. Payment for services performed
by IT pursuant to this contract shall be made in accordance with
the following procedures:
(a) IT shall submit its billing for services
rendered to the City of Newport Beach and the City,
within thirty (30) days from the date on which it re-
ceives the billing from IT, shall demand payment from
the person or persons responsible for the spill or dis-
charge. The City will be the party to determine the
identity of the person responsible for the spill or
discharge and IT will cooperate with City in making that
determination.
(b) If the person or persons responsibile for
the spill or discharge do not comply with the payment
demand within thiry (30) days from the date on which it
is mailed, the City shall pay IT for services rendered,
and, in that event, any right, title, claim or interest
of IT with regard to the services rendered shall be
subrogated to the City. In the event that City is re-
quired to institute legal action to recover sums paid by
City to IT for services performed to this agreement IT
agrees to fully cooperate in the prosecution of such
action.
5. Contract Price. The City hereby agrees to pay IT
for said services at the rates set out in IT's Industrial Rate

Schedule (Los Agneles region), dated April 1, 1981, a copy of
which is attached hereto as Schedule 2. Said rate schedule may
be revised only upon approval of the City Council. The rates
charged by IT represent the reasonable value of the services
rendered by the various employees of IT.
6. Supervision of Work.
(a) IT agrees that services which it provides
pursuant to this agreement shall be subject to the
supervision of officials of the Fire Department of the
City or such other official as the City may appoint.
Nevertheless, IT reserves the right when confronted with
an emergency situtation to take such action as it deem
necessary or appropriate, having regard to the paramount
need to protect the lives and safety of its personnel,
employees of the City and members of the public.
(b) IT agrees to be responsible for the ser-
vices which it may provide pursuant hereto. City is
responsible for security and crowd control in and around
the area of any spill or discharge. Security and crowd
control will be provided by employees of the Newport
Beach Fire Department or Newport Beach Police
Department, and neither IT nor its employees shall in
anyway interfer with or obstruct employees of the City
in the performance of those duties.
7. Insurance. IT has procured and agrees to maintain
throughout the duration of this contract a policy or policies of

insurance, including the following:
(a) Workers' Compensation Insurance in
respect of IT employees.
(b) General Liability Insurance in an amount
of not less than $5,000,000.
(c) Property Damage Insurance in an amount
not less than $1,000,000.
(d) City shall be a named insured on all of
the policies of insurance described above.
(e) The insurance to be provided by IT pursu-
ant to this agreement shall be primary coverage, the
carrier having no right of contribution from either the
City of Newport Beach or its insurance carriers.
8. Independant Contractor. It is the intentin of the
parties that IT be an independant contractor under this agreement
and that no agency or employment relationship be created between
the employees of IT and City by virtue of this agreement.
9. Hold Harmless Clause. IT agrees that it indemnify,
defend and hold harmless the City, and its officers and
employees, from any and all claims or lawsuits, made or filed
against the City which allege negligence or other wrong doing, on
the part of IT in the performance of services pursuant to this
agreement.
10. Term of Contract. This contract shall commence and
become effective on the day and year first above written and
shall continue in full force on a year -to -year basis, unless

terminated sooner as provided herein.
11. Termination. This agreement may be terminated by
either party by providing sixty (60) days prior written notice of
intention to terminate. Notice shall be deemed given when depo-
sited in the U. S. mail, first class postage prepaid, and
addressed as follows:

12. Compliance with Applicable Law. The City hereby
warrants that in entering into and executing this agreement, the
City has complied with all requirments prescribed and set forth
in statute, including California Government Code, the Charter of
the City, the Municipal Code of the City, and all other regula-
tions and enactments which concern or regulate the ability of the
City to enter into contract. The City hereby waives in respect
of any claim by IT for payment for services rendered pursuant to
this agreement, any and all defenses based upon any provisions in
the City's Charter, Bylaws, Municipal Code or other regulation or
statute which defines the formalitites required by the City to
enter in binding contract IT, in the performance of services
pursuant to this agreement shall comply with all applicable
Federal, State and local laws, rules, ordinances and regulations.
13. Attorneys' Fees. In the event of suit being
brought by either party hereto, to enforce, interpret or construe

any term or terms of this agreement, the prevailing party shall
be entitled to collect from the other all court costs and
attorneys' fees incurred pursuant to such suit, in addition to
such other relief as the court or tribunal may grant.
14. Assignment Provision. This agreement shall not be
assignable by IT without the prior written consent of City.
15. Entire Agreement. This agreement constitutes the
entire agreement of the parties with respect to the subject
matter hereof and supercedes any and all other agreements, under-
standings, statements or representations, either oral or in
writing.

- The EMERGENCY RESPONSE UNIT consists of a crew cab truck with lift
gate, and trailer containing equipment essential to Response Team
personnel for hazardous andior: unknown spill emergencies.
This includes portable analytical equipment for the assessment of
potential hazardous materials characteristics such as flammability,
explosibility and corrosion rate determination. Also contained are
skin and respiratory protective equipment and a safety shower /eye-
wash assembly.

TERMS AND CONDITIONS
1) Straight Time: 1st eight hours between 7:00 a.m. to 5:00 p.m., Mondays
through Fridays.
Overtime: All hours over eight on weekdays and all day on Saturdays.
Doubletime: 12:00 Midnight Saturdays to 12:00 Midnight Sundays and
holidays.
Shift - 2nd Shift - 4:30 p.m. to 12:30 a.m. Weekdays
- 3rd Shift - 12:30 a.m. to 8:00 a.m. Weekdays
Laborer Shift Differential: Second Shift - Add $ 3.80 /hour to Straight
Time.
Third Shift - Add $ 4.40 /hour to Straight
Time.
We require twenty -four (24) hours advanced notice for shift work. Shift
rates apply only to laborers.
2) Labor minimum is six (6) hours. Equipment minimum is four (4) hours or
one (1) day, whichever applies.
3) Charges for labor working outside the Los Angeles Basin:
- With lodging: $35.00 per day per man.
- Without lodging: $10.00 per day per man.
- Meals: None charged - included above.
4) Interest shall be payable at the rate of 11 percent (li%) per month on
all invoices and /or statements which remain unpaid thirty days after
presentation thereof.
5) All charges are portal to portal at applicable rates.

6) All subcontractor work, and outside rentals not listed herein will be
invoiced at cost plus 15 %, except for subcontractor work in support of
Emergency Response Unit Services,which will be invoiced at cost plus
25 %.
7) All vacuum truck and disposal charges are cost plus 10 %.
8) Where combination rates apply, required specialized and /or safety
equipment, additional personnel, etc., will be invoiced at current pub-
_ lished prices.
9) Hydroblast combination rates include 200 feet of water supply hose and
200 feet of high pressure blasting hose. -
10) SUPERSUCKER (TM) combination rates include 200 feet of 4 ", 6" or 8"
hose, or combinations thereof. Damaged hoses will be invoiced at cost
of repair or replacement.
11) Where daily rates are listed, a day is defined as an eight -hour period.
Hours in excess of eight (8) hours within a 24 -hour period will be
charged at 50% of the daily rate.
12) Material and chemicals will be quoted upon request at job time.
13) Powered equipment prices contained herein are subject to fuel cost sur-
charges, the amount of which will be issued by separate notice.
14) Hoses - weekly rate is four (4) times daily rate and monthly rate is
three (3) times the weekly rate.
